- Q2 sales rose 1.2% reported and were flat organically. Europe and APMEA had mid-single-digit organic growth, offset by a low-single-digit organic decline in the Americas. Acquired sales added $7.5; foreign exchange reduced sales by $1.0.
- For the first six months, sales increased 1.5% reported and 1.8% organically. Organic growth was 0.4% in the Americas, 4.4% in Europe, and 8.3% in APMEA; currency reduced sales by $10.5, while acquisitions added $7.5.
- Q2 operating income rose 4.7%; six-month operating income rose 10.6%. Gross-margin improvement reflected pricing, favorable mix, and productivity, partly offset by labor and overhead inflation and lower volume. SG&A was 28.3% of sales in both Q2 and the first half of 2023, versus 26.9% and 27.0%, respectively, in 2022.
- First-half operating cash flow improved mainly from higher net income and reduced working-capital investment. Free cash flow was 63.2% of net income, versus 26.2% a year earlier.
Financial position, debt, and capital allocation
- At June 25, 2023, cash and cash equivalents were $291.9, versus $310.8 at year-end 2022. Current assets were $1,023.1 and current liabilities $404.8.
- Long-term debt carrying value was $98.0, down from $147.6 at year-end; the company had drawn $100.0 on its $800 million revolving facility and had $687.5 of unused and available credit after letters of credit. The reported net cash position was $193.9. The company reported compliance with credit agreement covenants.
- First-half financing cash outflow was $96.9, including $80.0 of debt repayments, partly offset by $30.0 of borrowings, $22.3 of dividends, and $7.7 of share repurchases. The declared dividend was $0.36 per share for Q2, compared with $0.30 a year earlier.
- After quarter-end, the board declared another $0.36-per-share dividend and authorized a new stock repurchase program of up to $150 million. At quarter-end, $20.3 remained under the prior repurchase authorization.
- Expected capital expenditures for the second half of 2023 were approximately $20–$25.
Changes and management commentary
- Q2 Americas sales declined 2.4% reported, reflecting lower volumes in specialty products including gas connectors and marine instrumentation, and radiant heating. Europe sales increased 6.0%, and APMEA sales increased 32.9%, substantially reflecting the Enware acquisition; the acquisition was described as immaterial to consolidated results.
- Management cited pricing, product mix, productivity, and savings from prior restructuring as operating-income tailwinds. Inflation, lower volume, and increased investments—including smart and connected initiatives and commercial excellence—partly offset those gains.
- Management described the 2023 economic outlook as uncertain. It noted mixed non-residential construction indicators, high interest rates, tighter lending, inflation, and possible pressure on residential and other new construction. The company said it would continue investing in products, connected solutions, growth, and productivity. It did not provide specific full-year revenue or earnings guidance; it cautioned that interim results may not indicate full-year performance.
Risks, contingencies, and unusual items
- Key exposures include foreign exchange, floating interest rates, commodity costs, inflation, and supply-chain or logistics disruption. The company uses derivatives for hedging, not trading; a $100 million interest-rate swap fixes a portion of floating-rate exposure through March 2026.
- Management estimated reasonably possible contingency losses of approximately $3.3 above amounts accrued. For the Chemetco environmental site, remediation scope and costs remain undetermined, so a reasonably possible loss range could not be estimated. Management said the matters are not currently expected to materially adversely affect financial condition, while noting outcomes could affect results or cash flows in a particular period.
- Q2 2023 included $1.6 of restructuring charges and after-tax restructuring and acquisition-related charges of $2.5, or $0.08 per diluted share. The Enware-related restructuring program was estimated to incur $2.0 of restructuring charges plus $0.9 of other exit costs through Q1 2024.
- The company reported effective disclosure controls and no material change in internal control over financial reporting during the quarter. It reported no material changes to the risk factors in its 2022 Form 10-K.

- Capital allocation following the new $150 million repurchase authorization, including buybacks, dividends, acquisitions, and planned second-half capital expenditures.
