Filing summary
Entity clarification: The supplied filing is NextEra Energy Partners, LP (NYSE: NEP), not XPLR Infrastructure, LP. It is the Form 10-K for the fiscal year ended December 31, 2023, filed February 20, 2024. Financial amounts below are in U.S. dollars; dollar figures are millions unless stated otherwise.
Business context and reporting period
NEP owns contracted wind, solar, solar-plus-storage and battery-storage assets, plus an equity-method investment in Pennsylvania pipeline assets. At year-end, it reported approximately 10,118 net MW of renewable generating capacity and a 48.6% limited partner interest in NEP OpCo; NEE Equity held the remaining 51.4%. NEP’s stated strategy is to acquire contracted clean-energy assets and pursue wind repowering, with cash distributions to unitholders as its primary objective.

| Metric | 2023 | 2022 |
|---|---|---|
| Operating revenue | $1,078 | $969 |

| Income (loss) from continuing operations | $(232) | $969 |

| Basic and diluted earnings per common unit | $2.18 | $5.62 |

Operating expenses exceeded operating revenue in 2023, producing a 2.6% operating loss margin, versus a 4.5% operating margin in 2022. Interest expense was $(394) million in 2023, compared with reported interest income of $848 million in 2022; the sharp swing largely reflected unfavorable derivative mark-to-market results in 2023 versus substantial gains in 2022. These non-cash valuation changes make the year-to-year earnings comparison unusually volatile.
At December 31, 2023, total long-term debt, including current maturities, was $6,289 million, compared with $5,288 million a year earlier. Cash and cash equivalents were $274 million. NEP reported a $4,232 million liquidity position, comprising cash, $1,511 million due under the cash sweep and credit support agreement, and revolving-facility availability net of letters of credit. Current liabilities were $1,671 million and current assets were $2,216 million; current debt maturities were $1,348 million. Management said liquidity and operating cash flows should meet operating, maintenance, distribution and liquidity needs, while noting that growth, buyouts and refinancing depend on access to capital on acceptable terms.
Capital expenditures, excluding acquired-project purchase prices, were $1,269 million; NEER reimbursed $1,063 million. NEP distributed $309 million to common unitholders in 2023, equivalent to $3.3765 per unit for the year. It paid a further $0.88 per unit in February 2024.
Material changes versus 2022
- Revenue grew 11%, primarily reflecting projects acquired in late 2022 and 2023; unfavorable wind resource partly offset the increase.
- Operating results weakened to a $28 million loss, as depreciation and amortization increased by $127 million, mainly due to acquired projects. O&M expense declined modestly, partly because the IDR fee was suspended.
- NEP reported a $375 million pre-tax gain on its December 2023 sale of the Texas pipelines, included in discontinued operations. The sale generated approximately $1.8 billion in cash proceeds; approximately $437 million of related debt was repaid.
- Reported net income attributable to NEP fell to $200 million from $477 million. Results include the Texas pipeline disposal gain and significant derivative valuation movements, so headline earnings do not by themselves indicate the underlying trend in continuing operations.
- Operating cash flow fell by $45 million. Investing cash use declined substantially, mainly due to the pipeline-sale proceeds and lower acquisition spending. Financing cash flow turned negative, primarily reflecting $972 million of Class B noncontrolling-interest buyouts.
- NEP issued $750 million of 7.25% senior unsecured notes due 2029, issued approximately $316 million of common units through its ATM program, and spent approximately $972 million on Class B buyouts. Year-end common units outstanding were 93.4 million, versus 86.5 million a year earlier.
Outlook, risks and unusual items
The filing provides no quantified earnings, cash-flow or distribution-growth guidance. Management describes its strategy as growth through selective acquisitions and repowering, but emphasizes that acquisitions, buyouts, refinancing and future distributions depend on financing availability and terms. The MSA’s IDR fee was suspended for quarters from January 1, 2023 through December 31, 2026.
- Debt and refinancing: Contractual debt maturities were approximately $1,348 million in 2024, $702 million in 2025 and $2,047 million in 2026. A substantial portion of debt is fixed-rate or hedged, but refinancing costs and capital-market access remain important risks. NEP reported compliance with debt covenants at year-end; substantially all of the revolving credit facility was extended to 2029 in February 2024.
- Related-party and liquidity exposure: NEP relies on NEE affiliates for management, operations, credit support and cash-sweep arrangements. Approximately $1,511 million of swept funds was held in accounts of NEER or affiliates at year-end and reported as due from related parties. The filing identifies risks if funds or credit support are not returned or provided as required.
- Operating and counterparty risks: Renewable output varies with weather and resource conditions; projects also face equipment, transmission, severe-weather, cyber, regulatory and environmental risks. Pacific Gas and Electric accounted for approximately 14% of 2023 consolidated revenue. The former Texas-pipeline counterparty Mex Gas Supply represented approximately 11%, associated with discontinued operations.
- Other unusual considerations: The Texas-pipeline gain materially affected 2023 earnings. Purchase accounting for the 2023 related-party acquisition involved significant Level 3 valuation estimates and was identified as a critical audit matter. NEP reported no goodwill impairment in its 2023 annual test.
Deloitte issued an unqualified opinion on the financial statements and internal controls; management and the auditor concluded internal control over financial reporting was effective as of December 31, 2023.
Important facts for investors to verify
- Confirm the intended issuer: this filing covers NEP, not XPLR Infrastructure, LP.
- Review the debt maturity schedule, refinancing plans and the February 2024 credit-facility extension, especially the 2024–2026 maturities.
- Assess the availability and collectability of the $1,511 million cash-sweep balance due from NEE affiliates and the terms of associated credit support.
- Separate recurring operating performance from derivative mark-to-market effects and the Texas-pipeline disposal gain; check continuing-operations cash generation and project-level results.
- Evaluate dilution from ATM issuances and potential convertible-note or noncontrolling-interest settlements, alongside the cash-distribution outlook and buyout obligations.
- Check exposure to major offtakers, resource variability, contract expirations, project repowering requirements and environmental or transmission constraints.
