Cash flow and capital allocation

Cash flow itemQ1 2023Q1 2022
Operating cash flow from continuing operations$76 million$188 million
Capital expenditures$224 million$123 million
Cash used in investing activities$216 million$120 million
Cash used in financing activities$10 million$24 million

Operating cash flow declined primarily because operating assets and liabilities used $79 million of cash in Q1 2023, compared with generating $42 million in Q1 2022. Capital spending increased mainly due to investments in tractors and trailers. Full-year 2023 gross capital expenditures are expected to be between $500 million and $600 million.

Material changes versus the prior comparable period

  • Revenue increased modestly, supported partly by higher fuel surcharge revenue, while foreign currency movements reduced reported revenue growth by approximately 2.5 percentage points.
  • Salaries, wages and benefits increased 5.1% to $762 million and rose to 40.0% of revenue from 38.3%, reflecting inflation and, to a lesser extent, higher headcount.
  • Purchased transportation declined 10.4% to $457 million, benefiting from lower third-party rates and greater insourcing of linehaul transportation.
  • Insurance and claims declined 21.4% to $44 million due to improved damage-related operating performance.
  • Transaction and integration costs increased to $22 million from $7 million, and restructuring costs increased to $24 million from $6 million.
  • Interest expense increased to $42 million from $37 million, primarily because of higher floating interest rates on the term loan facility.
  • Corporate Adjusted EBITDA improved to a $9 million loss from a $40 million loss, partly reflecting the recast allocation of approximately $80 million of annual corporate costs to North American LTL.

Guidance, outlook, risks and unusual items

  • Management expects 2023 gross capital expenditures of $500 million to $600 million and intends to fund them with cash on hand and available liquidity.
  • XPO’s 2023 objective is to produce more than 6,000 trailers, compared with 4,705 produced in 2022. The company also targets 900 net new LTL terminal doors by the first quarter of 2024 from an October 2021 baseline; 369 net new doors had been added through Q1 2023.
  • Management expects additional transaction and integration costs related to rebranding and stock-based compensation in 2023 and 2024.
  • Inflation, fuel and maintenance costs, labor and equipment shortages, economic recession, customer demand, foreign currency movements and higher interest rates remain key operating risks. Management stated that fuel surcharge clauses and general rate increases help mitigate certain cost pressures.
  • The European receivables securitization program was fully utilized at March 31, 2023, with approximately $217 million of maximum capacity. In May 2023, XPO extended the program’s scheduled expiration from July 2024 to July 2026.
  • XPO disclosed ongoing insurance contribution litigation and a California investigation involving underground storage tanks, hazardous materials and hazardous waste. Potential losses or sanctions were not reasonably estimable for certain matters, and no material liability was accrued for those exposures.
  • Management stated that existing liquidity and capital sources are sufficient to support operations over the next 12 months. Disclosure controls were deemed effective, and no material changes to previously disclosed risk factors were reported.

Important facts for investors to verify

  • The sustainability of the improved consolidated Adjusted EBITDA margin despite lower operating income and increased restructuring and transaction costs.
  • Progress toward the 2023 capital expenditure plan, trailer production target and terminal-door expansion objective.
  • Cash conversion and liquidity after materially higher capital expenditures and lower operating cash flow.
  • Interest-rate exposure, term-loan refinancing requirements and continued compliance with debt covenants.
  • Potential cash effects from the California environmental investigation, insurance contribution litigation and other legal contingencies.
  • The effect of discontinued operations and prior-period recasts when comparing current earnings and EPS with 2022 results.
