XPO, Inc. 2022 Form 10-K Summary
Business Context and Reporting Period
XPO, Inc. filed its annual report for the fiscal year ended December 31, 2022. XPO operates two continuing reportable segments: North American Less-Than-Truckload (LTL) and European Transportation. The company had approximately 38,000 employees, 554 locations in 17 countries and approximately 48,000 customers.
Historical results of GXO Logistics, RXO and the North American intermodal operation are presented as discontinued operations. Accordingly, continuing-operations comparisons primarily reflect North American LTL and European Transportation.
On November 1, 2022, XPO completed the spin-off of RXO, its former brokered transportation platform. XPO also completed the sale of its North American intermodal operation in March 2022 and received approximately $705 million of net cash proceeds. The Board had authorized a potential divestiture of the European business, but the filing states that there is no assurance regarding whether, when or on what terms it will occur.

Cost of transportation and services increased to $4.945 billion, or 64.1% of revenue, from 63.9% in 2021, primarily because of higher fuel costs. SG&A declined to $678 million, or 8.8% of revenue, from $756 million, or 10.5%, reflecting lower compensation-related and professional-fee costs.
North American LTL revenue increased 12.6% to $4.645 billion. Adjusted EBITDA rose to $1.012 billion, with a 21.8% margin versus 22.0% in 2021. Pounds per day decreased 2.2%, while gross revenue per hundredweight excluding fuel surcharges increased 7.0% to $21.18.
European Transportation revenue was essentially flat at $3.073 billion, with foreign-currency movement reducing reported revenue by approximately 12.3 percentage points. Adjusted EBITDA increased to $169 million, with a 5.5% margin versus 5.4% in 2021.
Balance Sheet, Debt and Liquidity

- Total debt, including finance leases and other financing, was $2.638 billion principal, with $2.579 billion classified as debt excluding current maturities. Total debt carrying value was $2.532 billion.
- The company had approximately $930 million of total liquidity, including $470 million available under its ABL Facility and $460 million of cash.
- XPO repurchased $408 million of Senior Notes due 2025 in November 2022 and redeemed $630 million of those notes in April 2022. Debt extinguishment losses totaled $39 million.
- The term loan facilities had $2.003 billion principal outstanding and a 5.93% interest rate at year-end. No significant debt maturities were scheduled before 2025.
- XPO was in compliance with its debt covenants at year-end. The ABL Facility was amended in February 2023 to extend maturity to April 2026 and transition from LIBOR-based rates to SOFR-based rates, subject to specified springing-maturity provisions.
- Future interest payments on debt were estimated at $510 million, including $148 million payable within 12 months. Operating lease obligations totaled $891 million, and finance lease obligations totaled $224 million.
Material Changes Versus the Prior Comparable Period
- Revenue increased 7.2%, led by North American LTL pricing and growth.
- Operating income increased $65 million, while income from continuing operations increased $88 million.
- Cash flow from continuing operations increased $334 million, aided by higher earnings, non-cash expenses and lower interest paid.
- Interest expense declined 36.0% to $135 million as average debt balances decreased.
- Goodwill impairment of $64 million was recorded in the fourth quarter for two European Transportation reporting units after the RXO spin-off changed the reporting-unit structure.
- Transaction and integration costs increased to $58 million from $36 million, and restructuring costs increased to $50 million from $19 million.
- The effective tax rate increased to 28.6% from 10.4%, partly because 2021 benefited from significant discrete tax items and 2022 included a nondeductible goodwill impairment charge.
- Continuing operations improved materially, but reported net income also benefited from $482 million of discontinued-operation income, including a $430 million pretax gain on the intermodal sale.
- Management changed during the year: Brad Jacobs became executive chairman, Mario Harik became chief executive officer and Carl Anderson became chief financial officer in November 2022.
Guidance, Outlook, Risks and Unusual Items
Management expects 2023 interest expense of approximately $185 million to $195 million and gross capital expenditures of approximately $500 million to $600 million. Management stated that existing liquidity and capital sources should support operations for the next 12 months.
XPO plans to continue investing in North American LTL network capacity, technology, driver training and equipment. The company targets 900 net new terminal doors from an October 2021 baseline by the first quarter of 2024; 369 net new doors had been added by December 31, 2022. XPO produced 4,705 trailers in 2022 and plans to allocate more than $200 million for approximately 1,600 new North American tractors in 2023.
- Key operating risks include freight-volume declines from recessionary conditions, competitive pricing pressure, labor and driver shortages, wage inflation, fuel-price volatility, supply-chain disruption and adverse weather.
- Foreign-currency movements materially affect reported European revenue and earnings. A uniform 10% strengthening of the U.S. dollar was estimated to reduce net assets by $37 million against the euro and $22 million against the British pound.
- A hypothetical 1% increase in interest rates would increase annual interest expense by approximately $20 million on the term loans and $12 million on a fully drawn ABL Facility, partially offset by approximately $5 million of additional interest income on cash.
- XPO is exposed to self-insurance claims, litigation, environmental matters, regulatory changes, cybersecurity and information-technology failures. The filing states that known legal matters are adequately accrued and are not expected to have a material adverse effect, but outcomes cannot be predicted with certainty.
- The company faces potential tax and indemnification risks associated with the GXO and RXO spin-offs, including uncapped indemnification obligations and the possibility that a spin-off could be challenged as taxable.
- XPO received an investigation letter in August 2022 concerning alleged California underground storage tank, hazardous materials and hazardous-waste violations. Potential sanctions or costs were not estimable at the filing date.
- Seasonality typically results in lower revenue and profitability in the first and fourth quarters. Fourth-quarter 2022 included the $64 million goodwill impairment, $42 million of transaction and integration costs and $35 million of restructuring costs.
Important Facts for Investors to Verify
- Reconcile reported net income and EPS with continuing operations, given the substantial contribution from discontinued operations and the intermodal-sale gain.
- Assess the sustainability of North American LTL pricing, volume trends and the 21.8% adjusted EBITDA margin amid potentially weaker freight demand.
- Review the European Transportation impairment testing, foreign-currency exposure and the potential European-business divestiture.
- Evaluate 2025 debt refinancing and mandatory repayment requirements, including the $2.003 billion term loan balance and floating-rate exposure.
- Monitor 2023 capital expenditures, expected interest expense and the adequacy of approximately $930 million of liquidity.
- Review the tax treatment, indemnities and ongoing obligations related to the RXO and GXO spin-offs.
- Consider the effect of fuel, labor, driver availability, regulatory, cybersecurity, litigation and self-insurance risks on future margins and cash flow.
- The filing reports an unqualified audit opinion and effective internal control over financial reporting as of December 31, 2022.
