Yext, Inc. — FY2024 Form 10-K

Business context

  • Revenue increased 1% year over year. Direct-customer revenue rose 3% to $327.1 million; third-party reseller revenue fell 7% to $77.2 million, primarily due to attrition. Foreign exchange added approximately $1.3 million to FY2024 revenue.
  • Gross margin expanded 4.3 percentage points. Cost of revenue declined 16%, mainly reflecting lower headcount-related costs and lower depreciation.
  • Operating expenses declined 11% overall to $323.1 million. Sales and marketing fell 15%, general and administrative fell 9%, and research and development increased 2%.
  • Interest income was $7.1 million, up from $1.7 million. Adjusted EBITDA, a non-GAAP measure, was $54.6 million versus $15.8 million; non-GAAP net income was $42.3 million versus a $2.9 million loss. These measures exclude stock-based compensation and should be considered alongside GAAP results.
  • Annual recurring revenue was $387.4 million, down 3%. Direct-customer ARR declined 3% and reseller ARR declined 2%. Total dollar-based net retention was 92%, versus 96% a year earlier; direct retention was 91% and reseller retention 95%. Customer count was approximately 3,000.
  • Net cash provided by financing activities was negative $23.3 million, primarily reflecting share repurchases and taxes on net share settlement of equity awards. Yext repurchased 2.98 million shares for $22.9 million during FY2024.

Liquidity, debt and balance sheet

Yext reported $210.2 million of cash and cash equivalents and said it expects existing cash to fund projected operating requirements for at least 12 months. It had a $50 million secured revolving credit facility, with $36.4 million available and $13.6 million allocated to letters of credit at year-end; the filing does not clearly state a drawn borrowing balance. The facility matures December 22, 2025, and the company was in compliance with its covenants. Total operating lease liabilities were $106.4 million. Current assets were $359.9 million and current liabilities $267.8 million.

Changes, outlook and risks

  • Customer attrition: One of Yext’s top five customers left in the quarter ended January 31, 2024. The associated ARR reduction was $10.8 million, and management expects the revenue impact to become more apparent in FY2025. This contributed to weaker direct-customer retention and total ARR.
  • Organization and cost structure: The company underwent significant leadership changes, including the departure of its president and COO in September 2023. A workforce reduction initiated in early 2023 affected approximately 8% of headcount. Yext also plans to transition some professional services work to third parties; management says this may weigh on revenue growth.
  • Outlook: The filing gives no specific numerical revenue or earnings guidance. Management expects cash resources to cover at least the next 12 months, while warning that uncertain economic conditions could lead customers to reduce spending, seek concessions, delay purchases or not renew.
  • Principal risks: Revenue growth has slowed to 1%; the company has a history of GAAP losses and an accumulated deficit of $679.2 million. Other key exposures include customer renewals and reseller dependence, competition, reliance on third-party publisher integrations, macroeconomic and foreign-exchange impacts, privacy and cybersecurity obligations, and legal, compliance and reputational risks from generative AI.
  • Unusual operating event: A fire shut down a data center in July 2023. Yext failed over to a backup facility with minimal disruption to consumer-facing services, although some customers experienced administrative-service outages; the company did not expect a material financial effect.
  • Contingencies and controls: Yext reported no legal proceedings material to its business or financial condition. The auditor issued unqualified opinions on the financial statements and internal controls; management also concluded controls were effective. A previously identified sales-commission control weakness was reported as remediated.

Investor verification checklist

  • Track the lost large customer’s revenue and ARR impact in FY2025, along with direct retention and total ARR trends.
  • Assess whether reseller revenue, customer renewals and subscription expansion stabilize after recent declines.
  • Compare improving margins and cash generation with persistent low revenue growth, GAAP losses and stock-based compensation.
  • Confirm actual revolver borrowings, covenant headroom and liquidity needs, including lease obligations and remaining share-repurchase authorization.
  • Monitor the execution and customer impact of the professional-services transition, leadership changes and generative-AI product and compliance risks.
