  • Current assets were $144.5 and current liabilities $187.5. The reported balance sheet places $79.9 of convertible notes in current liabilities; the $80.5 principal notes mature March 15, 2024 unless earlier repurchased, redeemed or converted.
  • Notes payable and long-term debt had a $37.3 carrying amount, all classified current; bank acceptance payables were $8.6. The company reported $32.5 of unused borrowing capacity and compliance with its credit-facility covenants at quarter-end. AOI repaid the $5.8 CIT revolving balance on July 13, 2023.
  • Six-month operating cash flow was positive $5.9, versus use of $1.4 in 2022. Investing cash use was $1.9; financing cash use was $11.8. Cash generation reflected lower receivables and inventory and $8.7 of customer advance payments recorded as unearned revenue, partly offset by lower payables and accrued liabilities.

Material changes versus prior comparable periods

  • Q2 revenue fell 20.4% year over year; first-half revenue fell 9.5%. CATV revenue declined 60.6% in Q2, while data center revenue grew 28.3%. Telecom revenue declined 32.6% in Q2.
  • Gross margin improved 2.5 percentage points in Q2 and 1.2 points for the first half, which management attributed primarily to cost savings partly offsetting lower sales of certain CATV products. Gross profit dollars nevertheless declined.
  • Q2 operating expenses rose 10.9% to $23.9, including higher general and administrative expense. First-half operating expenses rose to $47.3 from $44.8, with higher general and administrative costs partly offset by lower R&D and sales and marketing expense.
  • Interest expense increased 54.4% in Q2 and 53.5% in the first half, attributed to higher average interest rates and loan balances. Other income included China local-government subsidies and favorable foreign-exchange transaction gains.
  • AOI sold 2.497 million shares through its ATM offering in June for $9.9 net proceeds, increasing shares outstanding and diluting existing holders. Inventory reserve expense was $2.4 in Q2 and $5.0 in the first half; direct inventory write-offs were $3.1 and $6.9, respectively.

Outlook, risks and unusual items

  • Management reported increased orders for 400G data center products from several large customers and, based on customer forecasts, expected demand to increase through the end of 2023. The filing provides no specific revenue or earnings guidance.
  • AOI has a Microsoft supply agreement, initially for five years with automatic renewal unless terminated earlier, covering design and supply-chain work for certain data center products. Top ten customers generated 88.1% of Q2 revenue and 90.6% of first-half revenue, underscoring customer concentration.
  • A proposed sale of China manufacturing facilities and certain transceiver and optical sub-assembly assets to Yuhan is expected to close in late 2023 or 2024, subject to conditions including U.S. and China regulatory approvals. The stated price is the RMB equivalent of $150 million less a holdback; AOI expects to invest 4%–10% of estimated proceeds for a 10% equity interest in the purchaser. Closing is uncertain, and the assets were not classified as held for sale at June 30.
  • The divestiture could disrupt customer, supplier and employee relationships, divert management attention, face delays or post-closing claims, and reduce earnings if lost revenue is not offset. The company also identifies potential write-offs, including goodwill and intangible assets, as a risk.
  • Management cited inflation in shipping, labor and certain raw-material costs and warned AOI may not be able to offset these costs through pricing or savings. The company reported a full valuation allowance against net deferred tax assets.
  • A Texas sales-and-use-tax audit assessment for 2016–2019 was approximately $1.0, including interest. AOI paid $0.4 and is challenging the remaining assessment; the matter had no updated action in Q2. Management stated it knew of no pending or threatened claims expected to have a material adverse effect.
  • AOI identified continued losses as an impairment trigger but reported no long-lived-asset impairment after its recoverability test. Management concluded disclosure controls and procedures were effective at June 30, 2023.

  • Liquidity and refinancing plans for the 2024 convertible notes, credit-facility availability and any additional equity issuance or dilution.
  • Outcome of the disputed Texas tax assessment and whether operating cash flow remains positive without similar working-capital movements or customer advances.
