Data center revenue was $50.6 million, down 36.4%; CATV revenue was $10.6 million, down 19.3%. Telecom revenue rose 13.1% to $3.6 million; FTTH revenue remained immaterial at $0.1 million. The ten largest customers accounted for 94.3% of revenue, versus 96.7% a year earlier.

Operating cash use reflected a $15.8 million inventory increase and a $6.1 million decrease in accrued liabilities, partly offset by collections of receivables and higher accounts payable. Investing outflows included $9.7 million for property and equipment and $5.6 million for land-use rights in China.

At March 31, cash, cash equivalents and restricted cash totaled $83.3 million, including $1.0 million restricted cash. Total debt was $65.2 million, compared with $49.6 million at year-end 2017; current debt was $2.7 million. The company reported $42.6 million of unused borrowing capacity and compliance with its credit-facility covenants. Total assets were $475.6 million and stockholders’ equity was $343.3 million.

Material changes versus the prior comparable period

  • Revenue contraction was concentrated in data center transceivers: management attributed the decline mainly to one customer reducing demand for 40G and 100G products as it changed its network architecture.
  • CATV sales were affected by reduced China-factory production capacity associated with Lunar New Year staff turnover. Management also cited lower capacity utilization in China and Taiwan as a factor in gross-margin compression.
  • Operating expenses increased 37.9% to $23.7 million. Research and development rose 57.9% to $11.7 million, reflecting personnel, equipment depreciation, materials and work orders; general and administrative expense rose 20.9% to $9.5 million.
  • Foreign-exchange transaction losses increased to $1.0 million from $0.6 million, attributed to unfavorable movements in Asian currencies against the U.S. dollar.
  • Financing changed materially: under a March 30 BB&T amendment, the revolving line increased from $50 million to $60 million, with additional facilities of up to $26 million for capital expenditures and $21.5 million for a real-estate term loan. At quarter-end, $38.4 million was outstanding on the line, $5.1 million on the CapEx loan and $21.5 million on the real-estate loan. The facilities are secured by substantially all business assets, including real estate and equipment.

Outlook, commentary and risks

AOI provided no quantified revenue or earnings guidance in the supplied filing text. Management said existing cash, operating cash flows and borrowing availability should meet anticipated needs for the next 12 months. Longer-term capital needs depend on growth, R&D, capacity expansion and product launches; additional debt or equity financing may be required and could constrain operations or dilute shareholders.

The Q1 income-tax line was a $1.0 million benefit despite $1.1 million of pretax income. Management reported an effective tax rate of (88.63%), affected by jurisdictional earnings mix, share-based compensation, GILTI and a $0.8 million measurement-period tax benefit related to the 2017 Tax Act. The transition-tax accounting remained provisional pending final foreign earnings calculations; potential taxes on repatriating foreign earnings were also unresolved.

Other notable risks include heavy customer concentration and purchase-order-based demand, product qualification and manufacturing-capacity risks, inventory obsolescence, foreign-currency exposure, and dependence on operations in China and Taiwan. A shareholder class action alleging securities-law violations related to 2017 statements about customer demand was pending; AOI disputed the allegations and intended to contest the case. The filing reports that disclosure controls were effective and that there were no material changes in internal control over financial reporting during the quarter.

Most important facts for investors to verify

  • Whether the affected data-center customer’s network changes and lower 40G/100G demand persist, and whether other customers or newer products offset the decline.
  • Whether the elevated inventory balance ($92.6 million, up from $75.8 million at year-end) converts to sales without additional write-downs; Q1 included a $0.9 million inventory reserve charge.
  • Actual utilization, production recovery and gross-margin trends following Lunar New Year disruptions, especially in China and Taiwan.
  • Final Tax Act transition-tax accounting, any decision to repatriate foreign earnings and the resulting tax effects.
  • Borrowing costs, collateral and covenant headroom under the amended BB&T facilities, together with cash use for planned expansion.
  • Developments and potential financial exposure in the shareholder class action; the filing states damages sought were unspecified and does not provide a clear loss estimate.
