Axcelis Technologies, Inc. — 2017 Form 10-K
Reporting period: Fiscal year ended December 31, 2017; this is an annual filing, not a standalone fourth-quarter report. Axcelis designs, manufactures and services semiconductor ion-implantation equipment. Ion implantation and related services generated 95.2% of 2017 revenue; sales are concentrated among semiconductor manufacturers worldwide.
Financial performance
| Metric | 2017 | 2016 |
|---|---|---|
| Revenue | $410.6 million | $267.0 million |
| Gross profit / margin | $150.2 million / 36.6% | $99.6 million / 37.3% |
| Operating income / margin | $47.8 million / 11.7% | $16.6 million / 6.2% |
| Income before taxes | $43.8 million | $11.0 million |
| Net income | $127.0 million | $11.0 million |
| Diluted EPS | $3.80 | $0.36 |
| Cash from operating activities | $56.3 million | $(8.8) million |
| Cash and cash equivalents at year-end | $133.4 million | $70.8 million |
| Working capital at year-end | $260.5 million | $193.0 million |
- Revenue rose 53.8%, primarily on higher system sales; system revenue increased 88.6%. Purion systems accounted for 89.0% of systems revenue.
- Product revenue was $387.1 million; services revenue was $23.4 million. Aftermarket revenue increased to $147.9 million from $127.7 million.
- Gross margin declined 0.7 percentage points. A $6.2 million fourth-quarter reserve for excess legacy tools and parts reduced 2017 margin by 1.5 percentage points. Management said margin excluding this charge would have been the highest annual level in 11 years.
- Operating expenses increased 23.4% to $102.4 million, including higher R&D spending of $43.1 million. Operating income nevertheless rose substantially as revenue grew.
- Net income included an $83.1 million income-tax benefit, principally from releasing the valuation allowance on deferred tax assets; the fourth-quarter benefit was $81.6 million. This was a major non-cash factor, so net income materially exceeded pre-tax income.
- Cash from operations improved by $65.1 million year over year. Capital expenditures were $7.3 million. The company reported no bank debt, but had a $47.7 million sale-leaseback obligation on the balance sheet.
Material changes and operating indicators
- Systems backlog, including deferred systems revenue, was $87.3 million at year-end, versus $17.5 million a year earlier; fourth-quarter bookings were $103.8 million versus $34.8 million.
- Two customers represented 24.9% and 13.1% of 2017 revenue; the ten largest customers accounted for 73.3%, compared with 70.2% in 2016. Samsung Electronics and SK hynix each contributed at least 10% of revenue.
- International revenue was 84.9% of total, and Asian customers represented 82.6% of ion-implant system shipment dollars.
- Services gross margin fell to negative 8.3% from 19.0%, which management attributed primarily to increased service-contract costs.
Outlook, risks and contingencies
- For 2018, management set strategic targets of $450 million in revenue and 39% full-year gross margin, with growth initiatives focused on Purion placements, China, leading-edge foundry/logic, Japan and customer-support products and services. These are management targets, not assurances of results.
- Management said current cash, cash equivalents and borrowing capacity should meet anticipated short- and long-term requirements. The company had no credit facility, though management believed borrowing would be available if needed.
- Key risks include semiconductor capital-spending cyclicality, dependence on a small number of large customers, competition, product-development and acceptance risks, aftermarket competition, international exposure, supplier constraints and possible inventory write-downs. Most customer orders may be cancelled or rescheduled with limited or no penalties, and backlog is not necessarily predictive of future sales.
- Contractual commitments included $83.5 million of purchase orders and $6.3 million of operating leases. The 22-year headquarters sale-leaseback has $120.6 million of scheduled future cash payments, including interest, against a $47.7 million recorded obligation. Outstanding letters of credit and surety bonds totaled $9.4 million.
- The 2017 Tax Act resulted in a preliminary $0.4 million transition tax liability, payable over eight years. The company retained a $7.1 million valuation allowance; realization of deferred tax assets depends on forecasts and remains exposed to industry volatility.
- The filing reports no litigation believed likely to have a material adverse effect, no material pending environmental matter, and no material cybersecurity impact to date. Ernst & Young issued an unqualified opinion on the financial statements and concluded internal controls over financial reporting were effective.
Investor verification priorities
- Assess the durability of revenue growth and backlog conversion, including shipment timing, customer acceptance and potential order cancellations.
- Separate recurring operating performance from the substantial deferred-tax benefit; review the assumptions supporting the valuation-allowance release and the remaining tax attributes.
- Investigate the negative services margin, service-contract costs and the sustainability of the 39% gross-margin target.
- Evaluate customer and geographic concentration, especially exposure to the two largest customers and Asian semiconductor investment.
- Review legacy inventory exposure, supplier commitments and the cash-flow effects of working-capital requirements.
- Consider the long-term sale-leaseback cash burden and verify progress against management’s 2018 revenue and margin targets.
