Livestreaming revenue grew 368% year over year. Its reported gross profit was RMB 28.1 million, approximately a 10.3% gross margin; substantial outsourcing technology costs contributed to cost of revenue. Tile revenue fell 74%, and the tile segment reported a RMB 3.5 million gross loss versus RMB 61.3 million gross profit in 2021. Continuing-operations selling and distribution expenses increased to RMB 16.4 million from RMB 0.02 million, largely due to advertising and commissions. Administrative expenses rose 42.5% to RMB 22.8 million. A RMB 2.8 million bad-debt reversal in continuing operations compared with a RMB 10.1 million expense in 2021 helped narrow its loss.
Cash and bank balances were RMB 3.9 million at year-end, down from RMB 27.9 million; an additional RMB 2.1 million was restricted cash. The cash-flow statement reports RMB 4.2 million of cash and equivalents including RMB 0.3 million held in the disposal group. The company reported no outstanding bank loans. It had an RMB 8.8 million carrying value unsecured note payable, related-party amounts payable of RMB 1.3 million, and lease liabilities of RMB 0.5 million in continuing operations. Total equity was RMB 6.5 million, down from RMB 49.6 million. The reported net current assets were RMB 27.8 million, although disposal-group assets and liabilities were presented separately.
Material changes and unusual items
- The livestreaming business became the dominant continuing operation, accounting for 84.5% of total revenue in 2022; the tile business contributed 11.6% and consulting 3.9%.
- Management agreed to sell the tile business for an unsecured four-year promissory note with US$8.5 million principal and 5% interest. At December 31, the disposal group had RMB 74.7 million of assets and RMB 88.5 million of liabilities, a reported net deficit of RMB 13.9 million. Shareholders approved the transaction in February 2023; it closed April 28, 2023.
- In December 2022, the company issued an unsecured note with original principal of US$1.3325 million for US$1.25 million gross proceeds. It bears 8% interest compounded daily, matures 18 months after funding, and includes redemption, prepayment, listing-maintenance and default provisions.
- A September 2022 share-and-warrant offering raised approximately US$1.0 million gross. The company reported 8,055,188 ordinary shares outstanding at December 31, 2022; later capital restructuring created one-vote Class A and 20-vote Class B shares.
Outlook, risks and controls
Management gave no numerical revenue or earnings guidance. It said it expects cash and operating cash flow to meet needs for the foreseeable future and plans to expand livestreaming through marketing, platform development, training and possible acquisitions. It also acknowledged that additional equity or debt financing may be needed; financing availability and terms are not assured. The filing reports no dividends since January 2015 and no expected near-term dividend.
Key risks include the livestreaming business’s short operating history, intense competition, dependence on third-party platforms and hosts, customer and supplier concentration, and the possibility that rapid growth may not translate into sustainable profitability or cash generation. The business remains concentrated in China and exposed to regulatory uncertainty, foreign-exchange and cash-repatriation controls, and evolving cybersecurity, data and overseas-listing requirements. The company’s Hong Kong auditor was within the PCAOB’s prior Hong Kong inspection determination, which was vacated in December 2022; future access remains a stated risk. Tile operations faced COVID-related disruption and the property-sector slowdown before divestiture. The company also disclosed no product-liability or business-interruption insurance.
The auditor issued an unqualified opinion on the IFRS financial statements. Critical audit matters concerned inventory valuation and expected credit losses on tile-business receivables. Management concluded disclosure controls and internal control over financial reporting were effective at year-end; the auditor did not express an opinion on internal-control effectiveness.
Important facts for investors to verify
- Reconcile the filing’s differing revenue presentations: RMB 324.0 million total revenue includes discontinued tiles, while RMB 286.3 million is continuing-operations revenue.
- Review audited notes for the discontinued operation’s deficit, sale-note terms, collectability and repayment schedule, and the treatment of the disposed business after the April 2023 closing.
- Assess unrestricted versus restricted cash, operating cash burn, working-capital needs, the December note’s redemption/default terms, and subsequent financing and dilution.
- Test whether livestreaming growth, gross margin and customer diversification are sustainable; two customers represented 17.7% and 16.2% of livestreaming revenue, while four vendors represented 31.5%, 20.1%, 18.9% and 15.1% of purchases.
- Check the filing’s internal consistency: the narrative attributes continuing-operations net loss of RMB 5.7 million to shareholders as RMB 9.9 million in one table, while consolidated attribution and other disclosures do not reconcile clearly. Confirm the audited statements and notes for the correct attribution.
- Confirm current PRC regulatory and PCAOB inspection status, and evaluate the company’s ability to transfer cash from China to the offshore holding company.
