PowerFleet, Inc. (formerly I.D. Systems, Inc.) — Q3 2019 Form 10-Q
Reporting period: Three and nine months ended September 30, 2019; filed November 13, 2019. The results cover I.D. Systems and subsidiaries, not Pointer. I.D. Systems was the accounting acquirer in the October 3, 2019 transaction that made PowerFleet a publicly traded holding company and added Pointer.
Business context and financial performance
The business provides wireless asset-management and telematics solutions across industrial truck management, logistics visibility, and connected vehicles. Results include CarrierWeb US from January 30, 2019 and CarrierWeb Ireland from July 30, 2019.

Revenue grew 26.1% in Q3 and 12.5% year to date. Q3 growth reflected connected-vehicle and logistics-visibility sales, including CarrierWeb contributions and Avis program deliveries and engineering services. Nine-month service revenue increased 50.4%, while product revenue declined 2.6%, principally reflecting the timing of Avis unit deliveries. The filing attributes lower margins to product mix, lower industrial-truck unit pricing, and increased service costs; acquisition and transaction expenses also weighed on operating results.
Cash flow, liquidity, and obligations
- At September 30, 2019, cash and cash equivalents were $5.6m, restricted cash $0.3m, and working capital $11.6m. Cash, cash equivalents, and marketable securities had totaled $15.0m at December 31, 2018.
- Nine-month operating cash use was $4.3m, versus $0.2m in 2018. Working-capital uses included increases of $4.5m in receivables and $5.1m in inventory, partly offset by an $8.3m increase in accounts payable and accrued expenses.
- Investing cash use was $0.3m, including $4.4m for acquisitions; financing cash use was $0.1m. No cash-flow or earnings guidance was provided.
- The September 30 balance sheet reported no borrowings under the later Pointer financing; it showed operating lease liabilities of $2.0m. Subsequent to quarter-end, Pointer Holdco borrowed $30m under senior secured term facilities and Pointer received a five-year $10m revolving facility. Management cited expected working capital, revenues, operating cash flows, and revolver availability as sufficient for capital needs through at least November 14, 2020.
Material changes, outlook, and risks
- October 3 combination: Former I.D. Systems shareholders received one PowerFleet share per I.D. Systems share; Pointer shareholders received $8.50 cash plus 1.272 PowerFleet shares per Pointer share. Financing included $50m from Series A convertible preferred stock, $30m of term loans, and $5m of convertible notes. Pointer’s results are not included in this quarter’s operating results.
- Preferred stock and notes: Series A carries cumulative dividends initially at 7.5% annually, with potential rate increases after 66 months, conversion and redemption rights, and investor governance and consent rights. The $5m notes bear 10% interest and were to convert into preferred stock subject to shareholder approval.
- Acquisitions and customer contract: CarrierWeb acquisitions contributed approximately $3.1m of nine-month revenue; related operating income was not separately identifiable. The preliminary purchase allocation included $2.0m goodwill. The Avis statement of work covers 75,000 units, maintenance for 60 months, and approximately $33m consideration; revenue depends in part on delivery and engineering progress.
- Risks and contingencies: Avis represented 25% of nine-month revenue and 20% of receivables. Management warns of customer concentration, uneven order timing, integration and synergy execution, continued operating cash outflows, and foreign-exchange exposure. A 1% adverse currency movement was estimated to result in a $64,000 loss for the nine-month period. The filing reported no material legal proceedings as of November 13, 2019 and no material off-balance-sheet arrangements.
- Management cautioned that actual results may differ from forward-looking statements; it did not provide specific revenue or profit targets. The filing states that working-capital funding depends on future revenues, cash flows, and borrowing availability.
Important facts for investors to verify
- Post-merger consolidated revenue, profitability, and cash generation, since this 10-Q excludes Pointer’s results.
- Actual borrowing, availability, covenants, and compliance under the $30m term facilities and $10m revolver.
- Series A dividend accrual, conversion dilution, redemption exposure, and investor voting and board rights.
- Whether acquisition integration produces expected customer growth, cost synergies, and cash-flow improvement.
- Avis delivery and contract performance, revenue concentration, and collection of receivables.
- The filing reports 29,686,727 PowerFleet common shares outstanding on November 12, 2019; verify current share count and fully diluted capitalization after the transaction and preferred-stock terms.
