AngioDynamics, Inc. — FY2012 Form 10-K Summary
Reporting period: Fiscal year ended May 31, 2012; the filing also reports fourth-quarter results. This is an annual report, not a standalone “2011 Q4” filing. AngioDynamics designs and sells minimally invasive medical devices across vascular access, peripheral vascular, oncology and surgery markets. Navilyst Medical was acquired on May 22, 2012, so FY2012 includes only ten days of its sales.

| Metric | FY2012 | FY2011 |
|---|---|---|
| Net sales | $221.8 million | $215.8 million |
| Gross profit / margin | $126.0 million / 56.8% | $125.7 million / 58.3% |

- Revenue increased 3%. Vascular sales rose 6% to $159.1 million; Oncology/Surgery sales fell 5% to $62.7 million, primarily reflecting the loss of LC Bead distribution. International sales increased 25% to $33.6 million, while U.S. sales were essentially flat.
- Fourth-quarter FY2012 sales were $57.7 million, gross profit was $31.2 million, and net loss was $7.0 million. Fourth-quarter FY2011 sales were $56.2 million and net loss was $0.9 million.
- Gross margin declined 1.5 percentage points year over year. Product recall costs of $2.8 million and quality-program costs of $2.3 million reduced FY2012 gross margin by approximately 1.3 and 1.1 percentage points, respectively.
- Cash, cash equivalents, escrow receivable and marketable securities totaled $40.1 million at year-end; working capital was $103.8 million and the current ratio was 2.9, down from 7.6 a year earlier.
- Total debt was $150 million, compared with $6.6 million a year earlier. The company also had an unused $50 million revolving facility. Total assets were $721.8 million and stockholders’ equity was $523.5 million.
Material changes and significant transactions
- The Navilyst acquisition was valued at approximately $362 million and funded with about $97 million of cash, $150 million of term debt and 9.5 million newly issued shares. Former Navilyst owners held approximately 27% of AngioDynamics’ shares and received rights to appoint two directors.
- Navilyst contributed $4.8 million of sales during the ten days included in FY2012. Purchase accounting added approximately $147.0 million of goodwill and $107.1 million of identifiable intangible assets; the allocation was preliminary.
- FY2012 acquisition and other items totaled $16.2 million, including Navilyst and Microsulis transaction costs, executive transition costs and costs related to the planned U.K. facility closure. FY2011 included $7.2 million of impairment and other charges.
- LC Bead U.S. distribution rights expired December 31, 2011. LC Bead sales were $21.3 million in FY2012, versus $28.3 million in FY2011.
- AngioDynamics invested $5 million for a 14.3% stake in Microsulis, with exclusive distribution rights outside the U.S. through December 2013 and an option to acquire substantially all of its assets through September 22, 2013.
Outlook, risks and contingencies
- The filing provides no formal revenue or earnings guidance. Management said cash and investments plus operating cash flow were expected to meet capital needs for at least 12 months. It forecast approximately $3 million in medical-device excise tax expense for FY2013.
- Management projected Navilyst-related accretion of at least $0.08 per diluted share in FY2013, cost savings of $5–$7 million in FY2013 and $10–$15 million by FY2015, and annual cash tax savings of $11.5 million during FY2013–FY2023. These are estimates subject to integration, operating and tax uncertainties.
- The company received FDA warning letters and Form 483 observations concerning marketing and manufacturing quality systems. It reported corrective actions and $2.3 million of quality-program costs, but warned that further FDA action could disrupt operations or result in restrictions, fines, seizures or recalls.
- Voluntary recalls involved VenaCure EVLT procedure kits, Morpheus CT PICCs, DuraMax dialysis catheters and the NanoKnife System’s ablation-zone estimates. FY2012 recall costs were approximately $2.8 million.
- The FDA disapproved the proposed NanoKnife pancreatic-cancer IDE trial in August 2012, requesting additional information and protocol changes. AngioDynamics said it intended to continue working with the FDA.
- Debt agreements impose financial covenants and restrictions; the term loan bears variable interest, with a June 2012 swap covering an initial $100 million notional amount at a fixed 3.26% rate. The filing says the company was in compliance with covenants at May 31, 2012.
- Contingencies include patent litigation involving implantable ports and endovenous ablation products, a Navilyst patent action, and Cardinal Health-related proceedings. Outcomes and potential financial effects were not determinable; the company did not record losses for certain cases because loss probability or amount could not be reasonably estimated.
- A $2.5 million Navilyst working-capital adjustment receivable was under negotiation and might not be realized. The company also held $1.85 million of auction-rate securities with failed auctions, although issuers remained current on interest.
Most important facts for investors to verify
- Progress on FDA observations, remediation, and the impact or status of the disclosed product recalls and NanoKnife trial application.
- Whether Navilyst integration delivers the projected savings, accretion and tax benefits, and how final purchase-price allocations affect goodwill and amortization.
- Post-acquisition operating cash flow, debt repayment, interest costs and ongoing compliance with credit-facility covenants.
- Resolution and collectability of the $2.5 million escrow receivable, and the status and potential exposure from disclosed litigation.
- Durability of sales after LC Bead distribution ended, and whether growth in Vascular, international and NanoKnife products offsets that loss.
