  • Quarterly revenue fell 12.1%; nine-month revenue fell 17.8%. AGP revenue declined 27.0% for the quarter and 30.6% year to date; ODS declined 2.1% and 9.8%, respectively.
  • Quarterly operating margin was approximately (6.5)%, versus 6.0% a year earlier. Revenue less revenue share and other direct costs was $63.7 million, or 44.6% of revenue, versus $79.6 million, or 49.0%, in the prior-year quarter.
  • The nine-month operating loss includes a $147.2 million non-cash, non-deductible AGP goodwill impairment recorded in the second quarter. Excluding that charge, operating loss was $19.4 million; this is a simple calculation from reported figures, not a company-reported adjusted measure.
  • Quarterly general and administrative expense rose 16.2% to $45.5 million, while nine-month expense rose 11.4% to $127.3 million. Nine-month interest expense increased 41.1% to $22.9 million.

Cash, debt and liquidity

  • At December 31, cash and cash equivalents were $49.0 million, down from $75.1 million at March 31, 2023. Net receivables were $217.2 million, up from $178.2 million.
  • Long-term debt, net of issuance costs, was $374.0 million; $376.0 million was drawn on the revolving facility. The company reported $149.0 million of remaining availability, subject to covenants, and compliance with covenants at quarter end. The facility matures April 29, 2026; its stated interest rate was 7.49% at December 31.
  • Nine-month investing cash use was $27.0 million, including $17.4 million in capital expenditures and $9.7 million in equity investments. Financing cash use was $39.3 million, including $62.1 million in debt repayments.
  • Management said it expects sufficient operating cash flow and liquidity to meet requirements for at least 12 months from the filing date, while noting that future cash generation and borrowing access depend on business and market conditions.

Changes, outlook and risks

  • Management attributed revenue weakness to softer advertising demand, consolidation and exit of certain legacy AdColony platforms and business lines, ended reseller and carrier partnerships, and lower mobile-device volumes. ODS application-media growth in the quarter partly offset lower content-media revenue.
  • Macroeconomic uncertainty, inflation, higher rates, weaker device sales, geopolitical developments, and potential restrictions on China-based apps could adversely affect results. The company has significant business presence in Israel and warned that escalation of the conflict could disrupt operations or reduce demand.
  • No formal revenue or earnings guidance is provided in the filing. The company expects continued costs for its multi-year business transformation, including ERP and related system deployments through early fiscal 2026; it reported $7.3 million of transformation costs for the nine-month period.
  • Hosting agreements carry approximately $278.6 million of minimum purchase commitments over the next four fiscal years. Securities class-action and related derivative litigation tied to the prior restatement remains unresolved; management said it could not estimate likely outcome or potential liability. A separate stockholder claim concerning CEO equity awards was dismissed following an amendment and a $180,000 attorneys’ fee settlement.
  • After quarter end, the company amended its credit agreement, changing leverage and interest-coverage covenants, increasing permitted annual investments to $75 million, and allowing a higher interest-rate spread of SOFR plus 1.50% to 2.75%. It also agreed to an initial $10 million investment in One Store, with further milestone-based investments and potential joint-venture funding. The company expects the initial investment in the quarter ending March 31, 2024.
  • The company completed its first ERP deployment phase in the quarter and modified or added controls for the new system. Management concluded disclosure controls were effective at the reasonable-assurance level.

Important facts for investors to verify

  • Whether AGP revenue and advertising demand stabilize, and whether further goodwill impairment indicators arise before the March 31, 2024 annual test.
  • Cash conversion and collection of receivables, particularly the increase in unbilled receivables, alongside the substantial hosting commitments and planned strategic investments.
  • Debt covenant headroom and the cost and terms of the February 2024 credit amendment, including the effect of variable rates.
  • Progress and performance milestones for One Store and the proposed European joint venture, and the amount of any additional funding ultimately required.
  • Developments in the securities and derivative litigation, the Israel-related business risks, and execution of the ERP transformation.
