ASML Holding N.V. — FY 2020 Form 20-F

Reporting period: Year ended December 31, 2020. This is an annual report, not a standalone Q4 filing; the supplied filing text does not provide a clear set of Q4-only financial results. Financial statements are prepared under U.S. GAAP and presented in euros.

Business context and key financial metrics

ASML develops, manufactures and services semiconductor lithography, metrology and inspection equipment. Its results depend on semiconductor makers’ investment cycles, technology roadmaps and demand for Logic and Memory production equipment. The company reported one operating segment.

Material changes versus FY 2019

  • Growth was led by EUV systems and the installed-base service and upgrade business. EUV revenue was €4.5 billion, up €1.7 billion; revenue was recognized for 31 EUV systems versus 26 in 2019.
  • Logic system sales increased to €7.393 billion from €6.565 billion; Memory system sales rose to €2.924 billion from €2.431 billion. Management said Memory recovery was substantial but below its initial growth expectation.
  • Service and field-option sales grew faster than systems sales, supported by a larger installed base and productivity and focus upgrades. DUV system unit shipments increased, although DUV net sales declined by €0.4 billion because of product mix.
  • R&D expense rose 11.8% to €2.201 billion. Capital expenditures rose to €962 million from €767 million. SG&A increased 4.7%, but fell as a share of sales to 3.9% from 4.4%.
  • The effective tax rate rose to 13.7% from 6.8%; the prior-year rate benefited from one-time restructuring and U.S. tax-reform effects.
  • ASML acquired Berliner Glas on October 30, 2020, for consideration of €257.1 million. The acquisition added €87.9 million of goodwill; its operating results were not included in 2020 statements of operations because ASML consolidated it on a one-quarter lag.

Outlook, management commentary and risks

  • Management expected 2021 to be another growth year, supported by healthy Logic demand, an anticipated Memory recovery, higher EUV sales and expansion of installed-base services. It forecast EUV revenue growth of approximately 30% in 2021.
  • Q1 2021 guidance was net sales of €3.9–€4.1 billion, gross margin of 50%–51%, R&D costs of €620 million, SG&A costs of €165 million and an annualized effective tax rate of 14%–15%. ASML expected 2021 capital expenditures of approximately €1.5 billion.
  • For 2025, the company cited revenue scenarios of €15–€24 billion, originally modeled in 2018, and said it planned to update expectations at its June 2021 Investor Day. These are scenarios, not firm guidance.
  • ASML proposed a total FY 2020 dividend of €2.75 per share, including €1.20 paid as an interim dividend and a proposed final €1.55. It repurchased shares worth €1.208 billion in 2020 and had a 2020–2022 buyback program of up to €6 billion, subject to liquidity needs and possible suspension or modification.
  • COVID-19 caused travel, logistics, supplier and customer-site challenges, but management said the pandemic had limited impact on annual results. Some EUV systems were shipped without the usual Factory Acceptance Test; revenue recognition followed after customer Site Acceptance Tests. Two Q4 systems were recognized under bill-and-hold arrangements. Revenue recognition, including identification of contract performance obligations and allocation of contract consideration, was the auditor’s critical audit matter.
  • Principal risks include semiconductor cyclicality and customer capex timing; concentration in a small number of customers and regions; export controls and geopolitical tensions; reliance on specialized, single-source suppliers, particularly Carl Zeiss SMT; execution and cost risks for EUV and High-NA development; cybersecurity and remote-work risks; and COVID-19 uncertainty.
  • Three customers accounted for 71.2% of FY 2020 sales, and the largest customer accounted for 31.4%. Taiwan and South Korea represented €4.731 billion and €4.152 billion of sales, respectively. The company also disclosed €5.243 billion of purchase obligations and €319.9 million of remaining High-NA funding commitments to Carl Zeiss SMT.
  • KPMG issued unqualified opinions on the U.S. GAAP financial statements and internal control over financial reporting. Management reported no material contingency considered probable or reasonably probable at year-end; it also disclosed a €70,000 environmental fine related to a Beijing facility permit.

Important facts for investors to verify

  • Review quarterly disclosures for Q4-specific sales, margins, orders and cash flow; the supplied annual filing text does not give a clear standalone Q4 results table.
  • Track whether the 2021 EUV growth outlook, Q1 guidance and planned €1.5 billion capital expenditures were achieved, and how shipment timing and customer fab readiness affected revenue.
  • Assess cash-flow quality and working-capital movements, including customer down payments, finance receivables, and €2.2 billion of accounts receivable factored during 2020.
  • Monitor customer and geographic concentration, export-license developments, and supply continuity and capacity at Carl Zeiss SMT and other critical suppliers.
  • Check the execution, affordability, timing and customer adoption of EUV and High-NA roadmaps, alongside gross-margin progress and the sizeable R&D and supplier-investment commitments.
  • Confirm approval and payment of the proposed final dividend, and the pace and remaining authorization of the 2020–2022 share-buyback program.
