Financial performance and liquidity
| Metric | FY2023 | FY2022 |
|---|---|---|
| Revenue | $113.3 million | $106.3 million |
| Gross profit / margin | $35.6 million / 31% | $39.5 million / 37% |

At September 30, 2023, cash was $13.1 million, working capital was $51.5 million and the current ratio was 2.7:1 (4.5:1 a year earlier). Debt and finance lease obligations totaled $10.7 million, including $10.6 million of term-loan borrowings; no revolving-credit balance was outstanding at fiscal year-end. Operating lease liabilities were $11.5 million. The filing reports no material off-balance-sheet arrangements.
Fourth-quarter revenue was $27.7 million, gross margin 10.1%, operating loss $11.7 million and net loss $12.0 million (loss per diluted share $0.85). The quarter included $5.2 million of intangible-asset impairment, of which $4.6 million was recorded in cost of sales.
Material changes versus the prior comparable period
- Revenue rose 7%, but Semiconductor revenue fell 12% to $77.6 million. Material and Substrate revenue rose 95% to $35.7 million, including $18.6 million from Entrepix, acquired in January 2023 for $39.2 million.
- Consolidated gross margin declined six percentage points. Material and Substrate margin fell to 18% from 47%, reflecting impairment and a $1.5 million polishing-machine inventory write-off, as well as a greater mix of lower-margin equipment sales. Semiconductor margin improved to 38% from 35%.
- SG&A rose 48% to $42.0 million, driven principally by Entrepix costs, acquisition transaction expenses and higher audit and consulting costs. The company recorded $0.7 million of severance, primarily related to its founder’s retirement.
- New orders decreased 9% to $103.9 million; Semiconductor orders fell 21%, while Material and Substrate orders increased 48%. Backlog increased 2% to $51.8 million. Three customers represented 27%, 21% and 14% of backlog.
- Cash fell $33.7 million, mainly due to the Entrepix acquisition. Operating cash use included increased inventory purchases; inventory rose to $34.8 million from $25.5 million.
- FY2022 results included a $12.5 million gain on the Massachusetts property sale, which helped make the prior-year profit comparison unusually favorable. FY2023 also included a $2.6 million income-tax benefit.
Outlook, management commentary and key risks
Management described a prolonged semiconductor-industry contraction, which it attributed mainly to weaker PC and smartphone demand following pandemic-era demand spikes. It identified electric and advanced mobility, supply-chain diversification and AI-related advanced packaging as growth opportunities. The Aurora next-generation reflow platform launched in 2023, with full production expected in early 2024; management also planned capacity and IT investments, and expected fiscal 2024 capital expenditures to remain relatively flat. No specific revenue or earnings guidance was provided.
Management said RD&E expense was expected to decrease in fiscal 2024 as product offerings are streamlined. Targeted labor reductions began in fiscal 2024 amid the industry slowdown and a shift toward contract manufacturing. The company opened a South Carolina SiC-consumables facility and planned to move its Massachusetts operation to a smaller leased facility in the third quarter of fiscal 2024.
Debt covenant and liquidity: At September 30, 2023, Amtech was not in compliance with its debt-to-EBITDA and fixed-charge-coverage covenants. On December 5, 2023, UMB Bank agreed to forbear from exercising remedies through January 17, 2025, subject to a modified credit agreement and revised covenants. The amendment increased revolving-credit availability from $8 million to $14 million, reduced the term-loan commitment to approximately $4.4 million and extended maturities. As of the agreement’s effective date, $10.0 million was drawn, including $5.6 million on the revolver. Further borrowing depends on borrowing-base availability and compliance with the amended terms. Failure to meet the agreement could make debt payable on demand.
Financial reporting controls: Management and the auditor concluded that internal control over financial reporting was ineffective as of year-end. Two material weaknesses concerned IT access, segregation of duties and change management, and controls over non-routine transactions and valuation reports. The auditor gave an adverse opinion on internal control, but an unqualified opinion on the financial statements. Entrepix was excluded from management’s controls assessment following its acquisition. Remediation was underway and not yet complete.
Other material risks include industry cyclicality, customer and backlog concentration, pricing and margin pressure, dependence on limited or single-source suppliers, inventory obsolescence, international and China-related trade/export restrictions, and the need to integrate Entrepix. Material and Substrate goodwill had only about 1% fair-value headroom over carrying value, and performance below assumptions could lead to future impairment. The filing says pending legal matters were not expected to materially affect the company, but outcomes remain uncertain.
Most important facts for investors to verify
- Whether the company meets the revised UMB covenants and maintains sufficient borrowing-base availability and liquidity through the forbearance period.
- Whether operating cash flow improves, inventory converts to shipments, and gross margins recover—particularly in Material and Substrate.
- Whether new orders, backlog and customer concentration support revenue after the reported Semiconductor order decline.
- Whether Entrepix integration and Aurora production deliver expected sales and economics, and whether Material and Substrate valuation assumptions remain supportable.
- Whether remediation of both internal-control material weaknesses is completed and tested effectively, including integration of Entrepix into the control environment.
