BICYCLE THERAPEUTICS PLC annual report, FY2021

Bicycle Therapeutics plc — FY2021 Form 10-K

Reporting period: Fiscal year ended December 31, 2021. This annual filing reports full-year results, not a standalone fourth-quarter summary. Bicycle is a clinical-stage biotechnology company developing synthetic bicyclic peptide medicines; it has no approved products and reported no product-sale revenue.

Business context

The company’s wholly owned oncology pipeline includes BTC candidates BT5528 and BT8009, and Bicycle TICA candidate BT7480, each in company-sponsored Phase I/II trials. BT1718 is in a Cancer Research UK-sponsored Phase I/IIa trial; BT7455 remains preclinical. Partnered programs span immuno-oncology and other therapeutic areas. Collaborations and equity and debt financing have funded operations.

Financial performance and liquidity

Amounts below are in U.S. dollars; financial statement figures are in millions except per-share data.

Basic and diluted loss per share$(2.67)$(2.66)Near-flat per share
Net cash used in operating activities$(14.8)$(17.8)Cash use decreased $3.0
Cash and cash equivalents at year-end$438.7$136.0+$302.7

Operating expenses substantially exceeded collaboration revenue. Calculated operating-loss and net-loss margins were approximately -561% and -571%, respectively; these ratios are not meaningful as conventional commercial-company margins given the company’s development-stage, collaboration-funded model. No product sales or sales-based royalties were reported.

Year-end current assets were $458.6 million and current liabilities were $36.2 million; working capital was approximately $422.3 million and the current ratio approximately 12.7x. These liquidity figures include cash and collaboration-related assets and liabilities.

Cash flow from financing was $320.7 million, including $188.4 million net proceeds from an October follow-on offering, $102.6 million net ATM proceeds, $15.0 million in new Hercules borrowing, and $7.6 million from the Ionis share issuance. Investing cash use was $2.0 million, primarily for equipment. Operating cash use was lower than net loss, in part because collaboration cash receipts increased deferred revenue.

Hercules borrowings were $30.0 million principal ($29.9 million carrying value after debt costs). The loan bears interest at the greater of 8.85% or prime plus 5.60%; the effective rate was 11.2% at year-end. The interest-only period was extended through February 2024, with scheduled maturity in October 2024. An additional $10 million was available subject to conditions and milestone achievement.

Material changes and notable items

  • Net loss widened as R&D spending and other costs rose, partly offset by higher collaboration revenue. R&D increases reflected program development, discovery/platform activity, staffing and share-based compensation; increased U.K. research incentives and grants partly offset expense growth.
  • Ionis contributed $4.2 million of recognized revenue in 2021. Its agreement included a $31 million upfront payment, alongside previously paid $3 million, and a further $3.4 million premium embedded in the share purchase arrangement. The filing recorded $34.1 million of deferred revenue related to the Ionis arrangements at year-end; revenue recognition depends on performance and option accounting.
  • Genentech recognized $5.7 million of 2021 revenue. It exercised an expansion option, adding a $10 million fee, and elected additional research services for a further $1 million payment. Genentech deferred revenue was $34.4 million at year-end.
  • Capital raised materially increased cash but diluted shareholders: the company issued 3.7 million ADSs in the follow-on offering and 3.8 million through the ATM in 2021. Ordinary shares outstanding were 29.6 million at December 31, 2021.
  • R&D and share-based compensation increased; total share-based compensation was $12.1 million, versus $6.5 million in 2020.

Outlook, risks and contingencies

  • Management said year-end cash was expected to fund operating expenses and capital expenditures for at least 12 months from the filing date. The company expects continuing losses and rising expenses, and says additional funding will be needed; there is no assurance it will be available on acceptable terms.
  • Management planned BT5528 expansion cohorts in urothelial and ovarian cancers and a basket of other tumor types in 2022, and expected interim BT8009 Phase I results in 2022. These are forward-looking plans, not guaranteed outcomes. BT7480 dose escalation was ongoing; BT7455 remained in IND-enabling work.
  • Early clinical signals are preliminary and from small patient groups. BT5528 reported a partial response among five EphA2-positive ovarian cancer patients and other preliminary activity; BT8009 reported confirmed responses, including a complete response, in dose-escalation patients. The filing cautions that early results may not predict later trials. Serious treatment-related adverse events were reported for BT5528 and BT8009; ongoing safety monitoring remains important.
  • Key risks include clinical failure or delay, adverse effects, patient enrollment, regulatory uncertainty for a new modality, dependence on collaborators and outsourced manufacturing, competition, intellectual-property challenges, and COVID-19-related trial, supply-chain or financing disruption. The company also disclosed foreign-exchange exposure and no currency hedging.
  • Contractual commitments included $17.0 million of operating lease payments and $38.2 million of debt obligations in the stated schedule. Separate contingent amounts include up to $92.4 million of future Pepscan milestones and Cancer Research UK-related development, regulatory and commercial milestones; timing and achievement are uncertain. These are not all presently payable obligations.
  • The 2020 Pepscan settlement resolved worldwide intellectual-property disputes; the company paid €3 million in 2020 and €1 million in 2021, with additional contingent milestones. A U.K. “TICA” trademark application was opposed and narrowed; the U.S. application was abandoned. The filing describes no other material legal proceedings.
  • PwC issued unqualified opinions on the financial statements and internal control over financial reporting. The Ionis collaboration’s initial revenue accounting was identified as a critical audit matter because it required significant judgment over performance obligations and standalone selling prices.

Important facts for investors to verify

  • Review subsequent clinical-trial disclosures for response durability, enrollment, dose selection, and adverse events, particularly for BT5528, BT8009 and BT7480.
  • Assess cash use against management’s runway estimate, including future trial costs, lease commitments, debt service and any additional financing or dilution.
  • Reconcile collaboration cash receipts with recognized revenue and deferred revenue; verify Ionis and Genentech research progress, option exercises and potential milestone eligibility.
  • Confirm Hercules loan terms, interest costs, remaining borrowing availability and compliance with covenants.
  • Track contingent Pepscan and Cancer Research UK payments, as well as the rights and economics governing BT1718 and other partnered programs.
  • Check later filings for changes in clinical plans, cash balances, share count, material risks, and audit or internal-control disclosures.
