BEL FUSE INC annual report, FY2021

Business context and reporting period

Bel Fuse Inc. designs, manufactures and sells electronic components used in power conversion and protection, connectivity, and magnetic applications. This is the company’s Form 10-K for the fiscal year ended December 31, 2021, not a standalone fourth-quarter report; the filing text does not provide a clear standalone Q4 income statement.

Bel reported through three product groups: Power Solutions and Protection, Connectivity Solutions, and Magnetic Solutions. It acquired rms Connectors for $9.0 million and EOS Power for $7.8 million net of cash acquired during 2021.

Sales rose 16.7%. Net earnings approximately doubled, while gross margin declined by 1.0 percentage point. Operating income included a $6.6 million gain on property sales, compared with $1.9 million in 2020. The effective tax rate was 9.2%, versus a 5.4% benefit rate in 2020.

Operating cash flow fell sharply, primarily reflecting higher accounts receivable, unbilled receivables, and inventory as demand increased. Cash declined by $23.2 million during 2021; acquisitions used $16.8 million net of acquired cash, and dividends totaled $3.4 million. The year-end revolving credit facility had $62.5 million of additional availability, and Bel was in compliance with its debt covenants.

Changes versus the prior comparable period

  • Sales increased across all product groups: Power Solutions and Protection rose 20%, Magnetic Solutions 20%, and Connectivity Solutions 9%. Acquisitions contributed to Power group growth.
  • Segment gross margins diverged: Power improved to 27.0% from 25.1%; Connectivity decreased to 26.4% from 28.0%; Magnetic decreased to 21.3% from 24.8%.
  • Material costs rose to 46.2% of sales from 43.3%. Management attributed pressure to component shortages and higher prices, labor and currency costs, and noted that an ERP-related reclassification shifted some costs from labor to materials.
  • Backlog at December 31, 2021 was $467.8 million, up $312.8 million from year-end 2020. Operating cash flow was substantially lower despite higher earnings.

Outlook, commentary, risks and unusual items

Bel did not provide a formal numerical earnings or revenue forecast. Management said it expects supply-chain and macroeconomic challenges to continue in 2022, while pursuing pricing actions, margin improvement, operational efficiency, and further cost streamlining. Backlog was approximately $498.0 million as of February 28, 2022; management estimated 70%–75% would ship by year-end, but cautioned that backlog may not reliably predict shipment timing or sales.

  • Supply and operations: Component shortages, port congestion, supplier delays, freight costs, and labor and wage pressures could constrain production and margins. Two manufacturing facilities in China were temporarily closed following COVID-19 restrictions announced in March 2022.
  • Geographic concentration: China accounted for 62% of associates and 73% of owned or leased manufacturing square footage at year-end, exposing Bel to operational, regulatory, currency, trade, and geopolitical risks.
  • Customer concentration: One direct customer represented 10.6% of 2021 sales; one ultimate end user accounted for approximately 18% through intermediary contract manufacturers.
  • Debt and tax: The $112.5 million revolver balance is due at facility maturity in September 2026. Uncertain tax-position liabilities were $28.4 million; timing of cash settlement was not estimable.
  • Other items: Bel recorded $1.2 million of restructuring charges and reported $4.4 million of annualized savings realized in 2021 from 2020 restructuring actions. The company filed a patent infringement action against Monolithic Power Systems; management said other legal matters were not expected to materially affect results or financial position. An Italian tax matter with an estimated $12.0 million liability is covered by an indemnification from ABB.

The independent auditor gave an unqualified opinion on the 2021 financial statements and internal controls; management and the auditor concluded internal control over financial reporting was effective.

Important facts for investors to verify

  • How much of the unusually high backlog converts into shipments and recognized revenue, given supply constraints and customers’ ability to delay or cancel orders.
  • Whether pricing actions can offset higher material, labor, and foreign-exchange costs and restore gross margins.
  • Why operating cash flow fell to $4.6 million, and whether inventory and receivables growth converts to cash as sales progress.
  • Debt covenant headroom, interest costs, and liquidity under the $112.5 million revolver, particularly if operating performance weakens.
  • Exposure to China-related shutdowns and other supply-chain disruptions, and the financial consequences of the tax contingencies and customer concentration.
