Third-quarter revenue rose 4.9%; nine-month revenue rose 7.6%. Product revenue was $876.8 million in Q3 and $2,560.3 million year to date. Q3 AVONEX revenue increased 11.0% to $643.6 million and TYSABRI increased 6.6% to $220.7 million. Unconsolidated joint-business revenue, mainly RITUXAN, fell 9.1% to $258.0 million in Q3, largely as rest-of-world royalties expired.

Operating income declined sharply in Q3 primarily because of a $205.0 million acquired in-process research and development charge related to Knopp; the nine-month period also included a $40.0 million milestone charge relating to the former Syntonix acquisition. Q3 net income attributable to Biogen Idec exceeded consolidated net income because of a $141.9 million net loss attributable to noncontrolling interests, principally associated with Knopp. Q3 basic and diluted EPS benefited from a substantially lower weighted-average share count following repurchases.

Financial position and liquidity

  • At September 30, 2010, cash and cash equivalents were $626.8 million and marketable securities totaled $757.8 million, or $1,384.6 million combined.
  • Working capital was $1,306.7 million, down from $1,765.7 million at December 31, 2009; current assets were $2,131.1 million and current liabilities $824.5 million.
  • Total borrowings were approximately $1,080.1 million, primarily senior notes. The $360 million revolving credit facility had no borrowings; the company reported covenant compliance.
  • Nine-month investing cash flow was positive $863.9 million, reflecting net proceeds from securities sales and maturities. Financing cash outflow was $2,010.8 million, including $2,077.6 million of share repurchases.
  • The company repurchased approximately 40.3 million shares for $2.1 billion during the first nine months, reducing shares outstanding approximately 15% from year-end 2009.

Material changes and management commentary

  • AVONEX growth reflected price increases and stronger rest-of-world demand, although U.S. sales volumes declined. TYSABRI growth reflected more patients and higher volumes, especially internationally.
  • RITUXAN rest-of-world revenue declined as royalty periods expired in several major markets; management expected further declines as remaining expirations continued through 2012.
  • Product revenue reserves for discounts, contractual adjustments and returns were $268.6 million for the first nine months, versus $212.3 million in the comparable period. Management attributed the increase in contractual adjustments partly to U.S. healthcare reform.
  • Management was reviewing strategic priorities under new CEO George Scangos and expected to announce and begin implementing the review’s results before year-end 2010. It said changes could affect priorities, operations and financial trends.
  • Management expected existing funds, operating cash flow and financing access to meet foreseeable requirements. It gave no general revenue or earnings forecast in the supplied filing text.

Outlook, risks, contingencies and unusual items

  • Management forecast a 2010 effective tax rate of 28%–30%, excluding possible renewal of the federal R&D tax credit. If renewed, it estimated a $14–$16 million full-year benefit. Acquired-intangible amortization was expected to be approximately $170–$210 million annually through 2015.
  • Management estimated U.S. healthcare reform would reduce 2010 revenue by approximately $40–$60 million. It also cited future Medicare Part D discounts and a branded-drug industry fee beginning in 2011, alongside uncertain implementation details.
  • TYSABRI carries a serious PML safety risk. Updated labeling addressed increased risk associated with prior immunosuppressant use and treatment duration; the company said safety-related changes and risk-mitigation efforts could affect prescribing and sales.
  • Other principal risks include competition in multiple sclerosis, pricing and reimbursement pressure, foreign-exchange exposure, delayed European collections, reliance on collaborators and third-party manufacturers, clinical and regulatory uncertainty, and patent litigation. Receivables in Greece, Italy, Spain, Portugal and Ireland totaled approximately $250.4 million; management reported no significant collection losses to date.
  • Massachusetts tax assessments for 2001–2006, including interest and penalties, totaled $142.4 million and were being contested. The company said an unfavorable resolution could materially affect future tax rates and results.
  • Patent disputes included RITUXAN-related litigation and disputes concerning AVONEX and competing MS products. A separate New York pricing-related matter was resolved out of court on October 21, 2010, with dismissal agreed; the company described the resolution as non-material. The filing also discussed potential exposure from a Genentech arbitration that could impose a RITUXAN collaboration cost.
  • After quarter-end, Biogen Idec sold its San Diego campus for approximately $128 million and agreed to a 15-month leaseback, accounting for the transaction as financing. It also amended its Genentech collaboration: Genentech would fund further ocrelizumab development and Biogen Idec would receive tiered U.S. royalties; Biogen Idec’s GA101 expense and profit shares would increase, with related changes to RITUXAN profit-sharing formulas.
  • Potential future collaboration and licensing milestone payments were up to approximately $1.7 billion, contingent on development, regulatory or commercial milestones and not recorded as liabilities. Uncertain-tax-position liabilities were $134.2 million; approximately $76.1 million was expected to be paid within 12 months.

Important facts for investors to verify

  • Whether revenue and patient growth in AVONEX and TYSABRI can offset competition, pricing pressure and TYSABRI’s PML-related risks.
  • The durability of RITUXAN collaboration revenue as international royalties expire and the amended Genentech arrangements change future economics.
  • The effect of the Knopp charge, future development spending and strategic-priority review on recurring earnings and cash requirements.
  • Cash generation and liquidity after substantial repurchases, including whether working capital and marketable securities remain adequate.
  • Outcomes of Massachusetts tax disputes, patent matters and healthcare-reform implementation, including impacts on revenue, tax expense and contingencies.
