Debt comprised $250 million of 7.875% senior secured notes due 2019; no revolver borrowings were outstanding. Revolver availability was $37.1 million, with $2.9 million of letters of credit outstanding.
- Capital expenditures were $10.3 million for the nine months. Management reduced its 2015 capex outlook to $16–$20 million from the previously disclosed $19–$22 million range.
Material changes versus prior comparable periods
- Q3 revenue fell 5.2%, principally as construction revenue declined; a $4.5 million unfavorable currency translation effect also weighed on revenue. Net income attributable to CVG more than doubled, to $2.6 million, while gross margin improved to 13.8%.
- For the first nine months, revenue rose 2.0%, reflecting stronger North American truck and aftermarket sales, partly offset by weaker construction revenue and $15.1 million of adverse currency translation. Operating income increased to $32.7 million and attributable net income to $9.4 million.
- GTB nine-month revenue increased 11.2% to $438.1 million and operating income rose to $45.6 million. GCA revenue declined 12.8% to $211.3 million and operating income fell to $7.3 million, reflecting weak construction and agriculture markets.
- Foreign-currency translation reduced accumulated equity: other comprehensive loss for the first nine months was $4.7 million, primarily from $5.0 million of currency translation loss.
Outlook, commentary, risks and unusual items
- Management estimated 2015 North American Class 8 production at 320,000–330,000 units and expected 2016 production to remain above the annual replacement level. It expected construction and agriculture equipment production in served markets to remain soft through the rest of 2015 and into 2016.
- Management expected cash, operating cash generation, and revolver availability to fund working capital, planned investment, and debt service for at least 12 months, but cautioned that this was not assured. It forecast covenant compliance over the next 12 months, subject to business conditions and assumptions.
- On October 15, 2015, after quarter-end, CVG called $15 million of notes for redemption on November 14 at 103.938% of principal plus accrued interest. The company said the transaction would leave $235 million outstanding and reduce annual interest expense by about $1.2 million.
- In Q3, the company established a $1.7 million valuation allowance for deferred tax assets at its Shanghai location, partly offset by releases in Belgium and Luxembourg. Management cited continuing operating losses and market weakness in China and the UK; it found no impairment of the related $6.3 million long-lived asset groups, but noted estimates could change.
- Warranty provision was $5.8 million at September 30. Nine-month results included $1.5 million of GTB plant-closure costs; the prior-year period included a $0.8 million loss on sale of the Norwalk facility. The company reported no material expected adverse outcome from ordinary-course litigation and said it was in compliance with debt covenants.
- Key risks include cyclical vehicle demand, construction-market weakness, foreign exchange exposure, customer or platform concentration, execution of strategic initiatives, potential asset impairment, and the ability to maintain credit-facility covenant compliance and liquidity.
Important facts for investors to verify
- Whether North American truck production and weaker construction/agriculture demand track management’s stated expectations, and how these trends affect GTB and GCA performance.
- Whether operating cash flow remains robust after working-capital movements, and whether planned capex stays within the revised $16–$20 million range.
- Completion and economics of the $15 million note redemption, including the premium paid and resulting interest savings.
- Availability under the revolver, covenant headroom if availability falls below $7.5 million, and the effect of debt and cash held overseas on practical liquidity.
- Developments in foreign tax valuation allowances, currency exposure, warranty claims, and recoverability of the China and UK long-lived assets.
