Revenue fell 59%, primarily as 5G messaging sales declined; management also cited pandemic disruption and strategic restructuring. 5G messaging generated $6.69 million, about 94.9% of total revenue. Acoustic-intelligence sales were at an early stage: the filing reports $136,884 of Hailijia product revenue in its market-results discussion, while its revenue note reports $196,940 for the broader acoustic-intelligence business. Verify the scope and reconciliation of these figures.

Gross profit declined 64%. Cost of revenue was $6.70 million. Operating expenses rose to $10.03 million, chiefly because general and administrative expense increased to $8.41 million; the company recorded $4.38 million of stock compensation expense, versus $642,000 in FY2022. Management reported a 4.8% gross margin, down from 5.6%.

Current assets were $1.29 million against current liabilities of $4.91 million, a $3.62 million working-capital deficit and a 0.26 current ratio. Debt included $594,906 of short-term loans and $1.40 million of noncurrent loan payables; related-party amounts payable were $1.16 million. Financing activities provided $3.11 million, mainly from loans and increases in amounts due to related parties. The company had no cash dividends and said it does not expect to pay them in the foreseeable future.

Material changes, outlook and notable items

  • Management is shifting emphasis toward intelligent acoustics and away from lower-margin 5G SMS activity. It plans to expand U.S. sales through Datasea Acoustics LLC, formed in Delaware on July 31, 2023, and to develop products including a skin-repair robot and sleep monitor. No quantified revenue or earnings guidance is provided.
  • Management described 5G top-up activity as recovering in the fourth quarter of FY2023 after China relaxed pandemic restrictions. It also cautioned that future pandemic effects and demand for disinfection products remain uncertain.
  • A reported October 2022 distributor agreement called for at least 100,000 Hailijia units worth approximately $20.5 million through November 2023. The filing does not establish how much of this commitment was delivered, collected, or recognized as revenue; confirm its current status.
  • The auditor issued an unqualified opinion on the financial statements but highlighted substantial doubt about the company’s ability to continue as a going concern. Subsequent equity financing provided important liquidity: the auditor reported $7.83 million received after June 30, 2023, which it said alleviated the uncertainty for at least 12 months from issuance. Separately, the filing describes a $5.71 million private placement received September 21, a second investor’s $714,286 initial payment with the remaining $3.29 million still due by October 15, and a September public offering with approximately $1.64 million net proceeds. These are post-period transactions, not FY2023 operating cash flow.
  • The company reported a Nasdaq market-value deficiency and an extension to October 2, 2023 to regain compliance; it also received a separate minimum-bid-price deficiency with a February 5, 2024 deadline. Delisting remained a risk. The September 2023 offering sold 5 million shares at $0.40 per share.
  • A proposed related-party office purchase from director Fu Liu for approximately $10.64 million, payable in shares, was followed by issuance and voluntary cancellation of 5,912,362 shares in July–August 2023. The filing says issuance may occur later once transfer requirements are met. Verify whether it was completed and on what terms.
  • Management concluded that disclosure controls and internal control over financial reporting were ineffective at June 30, 2023, citing unclear segregation of duties, insufficiently frequent testing, and a shortage of U.S. GAAP-trained accounting personnel. No material pending legal proceedings were reported.

Principal risks and investor verification points

  • Liquidity and going concern: Confirm the receipt, availability, and use of post-year-end financing, the outstanding investor subscription balance, and current cash needs. Year-end cash was only $19,728.
  • Revenue quality and concentration: Reconcile acoustic-revenue disclosures and check customer concentration, collections, margins, and delivery against the $20.5 million Hailijia agreement. FY2023 revenue remained heavily dependent on 5G messaging.
  • Dilution and related parties: Review issued and planned shares, including 3,459,500 shares granted for compensation during FY2023, subsequent offerings, and the status of the canceled property-purchase shares. Assess transactions involving executives and directors.
  • China structure and regulation: Datasea has no equity ownership in the VIE and depends on untested PRC-law contractual arrangements. Verify CSRC filing compliance for future overseas offerings and monitor VIE enforceability, data-security rules, currency controls, and the ability to move funds out of China.
  • Listing, governance and controls: Check the latest Nasdaq compliance status and remediation of disclosed control weaknesses. The company is controlled by insiders, and the filing identifies the company as a controlled company.
  • Product and execution risk: Independently assess the evidence supporting advertised disinfection efficacy, product approvals, commercial demand, outsourcing and supply-chain capacity, and the feasibility and funding of U.S. expansion and planned products.
