Q3 gross margin eased year over year, which management attributed to intangible-asset amortization and price, product and channel mix. Operating expenses rose 21% in Q3, below revenue growth; R&D increased with compensation and headcount, while SG&A growth included higher compensation and patent-litigation costs. Revenue growth was driven mainly by higher disposable-sensor volumes, customer growth and the shift to G7, partly offset by pricing and mix. Disposable sensor and other revenue was about 90% of Q3 sales.

For the first nine months, operating cash flow increased to $614.9m. Working capital included a $193.6m cash use from inventory, partly offset by higher accounts payable and accrued liabilities. Investing cash use was $922.1m, including net purchases of marketable securities and $184.1m in capital expenditures. Financing cash provided $313.3m, including $1.23bn net proceeds from 2028 convertible notes, offset in part by note conversions, capped calls and share repurchases.

At September 30, cash and cash equivalents were $643.7m and short-term marketable securities were $2.60bn, or approximately $3.24bn combined. Current assets were $4.70bn against current liabilities of $1.68bn; the company reported a 2.80 working-capital ratio and 2.40 quick ratio. Convertible-note principal totaled $2.58bn, with a $2.56bn carrying amount; $124.3m principal on the 2023 Notes remained due for settlement by December 1, 2023. No revolving-credit borrowings were outstanding; $192.7m was available, and the company reported compliance with facility covenants.

Changes, outlook and material matters

  • Growth and channels: U.S. revenue was 73% of Q3 sales and international revenue 27%. Distributors generated 86% of Q3 revenue and 85% for the first nine months. Each of four named major distributors generated at least 10% of nine-month revenue, creating channel concentration exposure.
  • Taxes: Q3 income tax expense was $119.7m versus $45.0m a year earlier, limiting net-income growth to 19% despite 64% growth in pretax income. The nine-month effective tax rate was 38.6%. An August intra-entity intellectual-property transfer generated $65.2m of net tax expense; a related $186.6m deferred tax asset was fully offset by a valuation allowance. Management estimated a 24.7% full-year 2023 effective tax rate for normal, recurring operations.
  • Liquidity and investment: Management expected positive operating cash flow and said available cash, investments, operations and credit capacity should cover anticipated needs for at least 12 months. It anticipated significant capital spending to expand Malaysia and Ireland manufacturing and scale capacity in Mesa, Arizona. The filing gives no specific revenue or earnings guidance.
  • Debt and capital returns: Dexcom issued $1.25bn principal of 0.375% convertible notes due 2028 and bought capped calls intended to reduce conversion dilution, subject to a cap. It repurchased $188.7m of shares in May 2023. Subsequent to quarter-end, the board authorized a new share-repurchase program of up to $500m, through October 31, 2024; the program does not require purchases.
  • Litigation: Dexcom and Abbott are pursuing patent and related claims in multiple jurisdictions, seeking injunctive relief and damages. A July Delaware jury verdict found Abbott unlicensed to 13 specified patent claims and licensed to five; Dexcom’s related patent claims were stayed pending patent-office decisions. Dexcom reported one favorable UK judgment and awaited two other rulings. The company said it could not reasonably estimate the ultimate outcomes.
  • Principal business risks: Management highlighted pricing and reimbursement pressure, competition, manufacturing scale-up and supply continuity, regulatory and product-quality obligations, international expansion, and cybersecurity and privacy risks. The filing also notes seasonal softness typically occurs in Q1 due to U.S. insurance deductible resets and flexible-spending-account patterns.

Investor verification points

  • Track whether sensor-volume growth and G7 adoption continue to offset pricing and channel/product-mix pressure on gross margin.
  • Review the resolution and potential financial or commercial impact of Abbott litigation across jurisdictions; outcomes and exposure remain uncertain.
  • Verify settlement of the remaining 2023 Notes and monitor conversion, dilution and cash requirements under the 2025 and 2028 Notes.
  • Monitor inventory levels, manufacturing capacity and planned capital spending in Malaysia, Ireland and Mesa, alongside operating cash conversion.
  • Assess the durability of reimbursement access and distributor relationships, and whether the new repurchase authorization is used.
  • Distinguish recurring tax expense from the discrete intellectual-property-transfer tax effects when evaluating reported earnings.
