Financial position, cash flow and capital allocation
- At year-end, cash and cash equivalents were $1.985 billion; short- and long-term non-equity investments were $3.689 billion. Together these totaled about $5.1 billion, down from $5.9 billion a year earlier. Management said available liquidity and expected operating cash flow were sufficient for material requirements over the next 12 months and foreseeable future.
- Total debt was $7.723 billion, including $750 million due within 12 months; fixed-rate senior notes had $7.8 billion aggregate principal. No commercial paper or credit-facility borrowings were outstanding at year-end. eBay repaid $1.2 billion of notes during 2023.
- Continuing investing cash flow was $240 million, reflecting substantial but largely offsetting investment purchases and maturities/sales; capital expenditures were $456 million.
- eBay repurchased $1.4 billion of shares and paid $528 million in dividends in 2023. The board authorized an additional $2.0 billion repurchase program in February 2024 and declared a quarterly dividend of $0.27 per share.
- Equity investments totaled $5.0 billion, primarily Adevinta. Adevinta’s fair-value change produced a $1.782 billion gain in 2023, compared with a $2.693 billion loss in 2022. The Adyen warrant generated a $150 million gain in 2023, versus a $230 million loss in 2022.
Material changes and management commentary
- Revenue rose despite lower GMV, mainly because take rate increased with expanded Promoted Listings and payment services and the launch of eBay International Shipping. Traffic fell in most markets amid geopolitical events, inflation, elevated interest rates, currency volatility and weaker consumer confidence.
- Operating margin contracted as operating expenses grew 12% to $5.338 billion and cost of revenue rose 6%. Product development increased 16%; general and administrative expense increased 24%, including $141 million of restructuring costs and higher legal accruals.
- Transaction-loss provision rose to $360 million from $332 million, partly due to the international shipping program. Cost of revenue also included higher international shipping, authentication and customer-support costs.
- Management expected macroeconomic and consumer-spending pressures to continue into 2024. It expected revenue to continue outpacing GMV, but to a lesser extent, and expected higher interest expense and interest income trends to continue into 2024. The filing provides no specific numerical full-year 2024 revenue or earnings guidance.
- Beginning January 1, 2024, eBay extended the estimated useful life of servers and network equipment from three to four years; management estimated this would increase 2024 operating income by about $55 million for assets already in service.
- In January 2024, eBay announced a workforce reduction of approximately 1,000 employees, or 9%. The filing also describes 2023 workforce reductions and related charges.
Risks, contingencies and unusual items
- Legal and regulatory matters: An EPA-related DOJ civil lawsuit filed in September 2023 remained unresolved; eBay said it would defend itself. In January 2024, eBay settled DEA-related allegations for $59 million and agreed to enhanced monitoring and reporting processes. Also in January, eBay entered a three-year deferred prosecution agreement concerning former employees’ 2019 conduct, paid a $3 million penalty and became subject to an independent compliance monitor. A related civil action seeks unspecified damages. eBay reported $132 million of aggregate probable-loss accruals for these matters at year-end and $64 million as of the filing date; further losses could be material in a period.
- Adevinta transaction: eBay agreed to sell half its Adevinta shares for an estimated $2.2 billion and exchange the remainder for an approximately 20% stake in a newly privatized company. Closing was expected in the second quarter of 2024, subject to conditions and approvals.
- Taxes: The 2023 income-tax provision was $932 million, versus a $327 million benefit in 2022; the effective tax rate was 25.1%. Gross unrecognized tax benefits were $613 million, and audits could change the balance. The auditor identified income taxes, including uncertain tax benefits and foreign earnings, as a critical audit matter.
- Principal operating risks: Intense competition; discretionary-spending weakness; currency and geopolitical exposure; evolving marketplace, privacy, payments and AI regulation; fraud, cyberattacks and service interruptions; third-party service dependence; and litigation and tax uncertainty. The company also has significant indebtedness and material exposure to Adevinta’s share price.
