Current assets of $89.6 million exceeded current liabilities of $6.9 million. The term loan’s net carrying value was $22.5 million; there was no other outstanding debt instrument reported at quarter end. Operating cash burn increased year over year. Cash increased during the quarter primarily because of net financing proceeds of $12.0 million, including a $22.5 million loan advance partly offset by repayment of the prior loan.

Material changes versus the prior period

  • Operating expenses rose $6.1 million year over year. R&D increased $2.0 million, reflecting higher personnel costs and EG-70 manufacturing and clinical activity.
  • G&A increased $4.2 million, largely due to legal, accounting, audit, public-company systems and insurance costs following the October 2023 business combination.
  • Net loss grew by $3.3 million. The prior-year period included fair-value expenses on warrants and convertible-debt derivatives that were no longer applicable after the business combination; higher current-period interest income partly offset increased operating costs.
  • Comparative per-share losses are not directly comparable: the reverse recapitalization caused retrospective share-count restatement, and weighted-average shares were 23.2 million in Q1 2024 versus 651,074 in Q1 2023.

Outlook, risks and unusual items

  • After quarter end, the company closed a private placement on February 20, 2024, issuing 20.0 million shares at $10 per share for $200 million gross proceeds and approximately $187.5 million net proceeds. Management said cash, including these proceeds, is expected to fund operations, debt obligations and capital expenditures into 2027. The financial statements also state that cash is expected to cover at least 12 months from issuance.
  • Management plans to advance the pivotal-stage LEGEND study of EG-70 and has stated an objective of filing a U.S. Biologics License Application in Q1 2026. It is also pursuing potential EG-70 expansion and preclinical programs. These plans depend on clinical, regulatory, manufacturing and financing outcomes.
  • The Hercules facility provides up to $50 million, of which $22.5 million had been drawn at quarter end. It carries cash interest of at least 9.25% plus 1.15% payment-in-kind interest; principal amortization is scheduled to begin in 2025, subject to milestone-based extensions. The debt is secured, includes restrictive covenants, and future tranches are conditional or uncommitted.
  • The CEO announced an intended resignation for personal family and health reasons, with a successor search underway. A transition agreement modifies the CEO’s option exercise terms and is expected to result in approximately $1 million of incremental share-based compensation.
  • Management identified unremediated material weaknesses in financial reporting controls and concluded disclosure controls were ineffective as of January 31, 2024. Remediation is underway, but completion is not assured.
  • The company has incurred recurring losses and operating cash outflows and expects them to continue. It relies on third-party clinical and manufacturing providers, faces clinical and regulatory execution risks, and holds cash deposits above insured limits. No legal matters expected to have a material financial impact were reported.
