  • Quarterly revenue declined 14%; nine-month revenue declined 20%. Management attributed the declines to lower unit sales and selling prices. Microinverter shipments fell 9% in Q3 (869,000 versus 950,000) and 10% for the nine-month period (2.276 million versus 2.528 million). Revenue per watt fell approximately 7% and 14%, respectively.
  • Gross margin fell 12.7 percentage points in Q3 and 13.7 points for the nine months. Management cited a more competitive pricing strategy introduced in late 2015; Q3 cost of revenue also reflected higher warranty expense and expedited battery delivery costs.
  • Q3 operating expenses included $2.7 million in restructuring charges. Sales and marketing expense included increased bad-debt expense: $1.6 million more year over year in Q3, reflecting customer financial difficulties.
  • At September 30, cash and cash equivalents were $24.1 million, working capital was $44.3 million, total assets were $176.4 million, and stockholders’ equity was $10.2 million. The company reported an accumulated deficit of $237.3 million.
  • For the nine months, operating cash outflow was $28.6 million, investing cash outflow was $10.3 million, and financing cash inflow was $34.6 million. Cash declined $4.3 million to $24.1 million. Operating cash flow benefited from higher payables and deferred revenue, among other working-capital movements.
  • Debt at quarter-end included $12.45 million drawn on the revolving facility and a $25.0 million term loan (carrying amount $24.0 million after unamortized discount and issuance costs). The term loan has a 10.25% minimum stated rate, interest-only payments through June 2017, and maturity on July 1, 2020. The revolver’s weighted-average rate was 5.0%; $8.8 million of additional borrowing was available under the stated borrowing-base and liquidity restrictions.

Material changes and notable items

  • Enphase completed a public offering of 13.0 million shares at $1.20 per share in September, with approximately $14.0 million in net proceeds. The underwriter exercised an additional 1.95 million-share option in October, generating approximately $2.2 million in additional net proceeds, not reflected in the September 30 financial statements. The filing reports 61.9 million shares outstanding as of October 31.
  • In July, Enphase borrowed the full $25.0 million term-loan commitment. The loan includes a 3.3% commitment fee, a 10.0% closing fee payable in installments, and a 1%–3% prepayment fee. In July, the revolver’s minimum-liquidity covenant was amended to require $12.5 million of undrawn availability within a $15.0 million total liquidity minimum. Enphase reported compliance at September 30.
  • The Q3 restructuring reduced global headcount by approximately 11% and eliminated certain non-core projects. Charges were $1.3 million for severance and benefits and $1.4 million for non-cash asset impairments; completion was expected by the end of Q4 2016.
  • Enphase began shipping its 1.2 kWh AC Battery to distributors in Australia and New Zealand in Q3. It expected customer shipments in the United States, France, the United Kingdom, and the Netherlands in Q4 2016. The company expected its IQ 6 microinverter system in North America in Q1 2017 and IQ AC modules in the United States and Canada in Q2 2017.

Outlook, liquidity, and risks

  • Management said cash on hand, the reduced cost structure, and expected revolver availability should fund operations, working capital, capital purchases, debt payments, and commitments for at least the next 12 months. This outlook is conditional: failure to meet performance targets or align inventory with demand could impair liquidity and require additional financing; availability on acceptable terms is not assured.
  • The filing provides no specific revenue, earnings, or margin guidance. Management expected average selling prices to continue declining, which could pressure revenue and margins.
  • Key risks include sustained losses, intense price competition, customer credit problems and customer concentration, demand and inventory forecasting, warranty costs, reliance on contract and limited-source suppliers, solar-policy and incentive changes, and execution risks for new storage and product launches. The company reported $39.6 million of purchase obligations, including component inventory commitments and a take-or-pay supply agreement.
  • Enphase reported no material legal proceedings and no off-balance-sheet arrangements. Management concluded disclosure controls were effective at a reasonable-assurance level; no material change in internal control over financial reporting was identified during the quarter.

Most important facts for investors to verify

  • Whether pricing and shipment trends stabilize, and whether new products deliver revenue without further margin deterioration.
  • Whether the company can reduce operating costs as planned while managing customer credit exposure, receivables, and inventory.
  • Liquidity headroom under the revolver’s borrowing-base and minimum-liquidity covenant, and the cash burden of the high-cost term loan and its fees.
  • Whether management’s 12-month liquidity assessment remains supportable given continuing cash burn and contractual commitments.
  • The effect of the September and October equity offerings on share count and dilution; reconcile reported offering proceeds across the filing’s disclosures.
