FY2020 adjusted EBITDA was $542.5 million (29.2% of sales), versus $436.8 million (27.5%) in 2019; non-GAAP EPS was $2.54 versus $1.93. These are company-defined non-GAAP measures and should be considered alongside GAAP results.
Fourth quarter: Sales were $517.6 million, gross profit $230.9 million, net income $86.6 million, and diluted EPS $0.63. In Q4 2019, these were $427.0 million, $197.6 million, $57.4 million, and $0.42, respectively. Q4 2020 gross margin was 44.6% and operating margin 21.9%.
Liquidity and debt: At year-end, cash and cash equivalents were $580.9 million, working capital $931.6 million, and the current ratio 4.08. Debt carrying value was $1,085.8 million; principal debt was $1,095.0 million. The company had no revolving-facility borrowings and approximately $300 million of revolving capacity. It reported compliance with applicable debt covenants.
Sales grew 17%, reflecting stronger semiconductor demand, particularly for liquid filtration and advanced deposition materials, plus $43.1 million from acquired businesses and $8.0 million of favorable currency translation. All three segments grew: SCEM sales increased 16% to $609.5 million; MC increased 17% to $742.2 million; and AMH increased 18% to $538.7 million. Segment profits also rose in each segment.
Material changes and unusual items
- Gross margin improved from 44.7% to 45.7%, attributed to higher factory utilization and favorable product mix.
- SG&A fell 7% to $265.1 million, mainly because 2019 included higher deal and integration costs. R&D increased to $136.1 million, or 7.3% of sales.
- Operating income rose substantially; 2019 results included a $122.0 million net Versum termination fee in other income, which did not recur in 2020. This makes year-over-year pretax comparisons less representative of underlying operations.
- 2020 other income included $9.8 million of foreign-currency transaction gains, partly offset by $2.4 million of debt-extinguishment losses.
- The company acquired Sinmat for $75.6 million net of cash acquired and GMTI for $36.3 million. The acquisitions contributed to goodwill and intangible assets; their 2020 results were included from their respective acquisition dates.
- Operating cash flow increased by $64.4 million. Inventory rose to $323.9 million, partly reflecting precautionary purchases to mitigate pandemic-related supply risks.
Outlook, commentary, and risks
Management cited strong demand from leading-edge customers, including server and data-center end markets, and expects semiconductor complexity, process-step growth, and demand for higher-purity materials to support its business. However, management noted that some 2020 customer orders may have reflected inventory build-up to guard against supply disruptions, potentially pulling forward future demand. The filing provides no specific revenue or earnings guidance.
Management expected 2021 capital expenditures of approximately $200 million for growth capacity, including about $40 million for the initial stage of a planned Taiwan facility investment of roughly $200 million over three to five years. Entegris believed domestic cash and expected operating cash flows would cover ordinary-course needs for the next twelve months, while acknowledging pandemic-related uncertainty.
- COVID-19 caused temporary operational interruptions and supplier and transport pressures; the company increased selected inventory levels. Further outbreaks or restrictions could affect production, R&D, customer qualification, costs, and demand.
- Semiconductor cyclicality, limited backlog, customer order changes, pricing pressure, and customer concentration may make results volatile. The top ten customers represented 46% of 2020 sales; TSMC accounted for approximately 11%.
- International operations and sales create exposure to foreign exchange, trade restrictions, tariffs, export controls, and geopolitical risks. China represented approximately 13% of sales.
- Single- or limited-source raw materials, manufacturing disruptions, hazardous materials, environmental regulation, cybersecurity threats, and acquisition integration are additional disclosed risks.
- Debt obligations and covenants may constrain financing and capital allocation. Contractual obligations included $1.095 billion of principal debt and $273.7 million of projected interest; timing of payments for $17.4 million of unrecognized tax benefits was not reliably estimable.
The company reported no material legal proceedings or material off-balance-sheet arrangements. The financial statements received an unqualified audit opinion, and management and the auditor reported effective internal control over financial reporting; the assessment excluded the acquired Sinmat and GMTI businesses.
Important facts for investors to verify
- Whether elevated 2020 demand and customer inventory levels persisted, and how much demand may have been pulled forward.
- Whether margin and profit improvements reflect sustainable operating performance, considering the 2019 Versum fee and other acquisition-related adjustments.
- Execution, spending, and expected returns for the Taiwan expansion and other planned 2021 capital investments.
- Debt repayment capacity, covenant terms, interest-rate exposure, and the effect of foreign cash balances on available liquidity.
- Customer concentration, export-control developments affecting China, and resilience of critical single-source supply chains.
- Integration progress and realized contribution from Sinmat and GMTI, including acquired goodwill and intangible-asset assumptions.
