Equillium, Inc. annual report, FY2023

Equillium, Inc. — 2023 Form 10-K Summary

Reporting period: Fiscal year ended December 31, 2023; filed March 25, 2024. This is an annual report, not a standalone fourth-quarter report. Equillium is a clinical-stage biotechnology company with no revenue from product sales.

Business context and pipeline

The company is developing treatments for severe autoimmune and inflammatory disorders. Its principal programs are EQ101, a peptide targeting IL-2, IL-9 and IL-15; itolizumab (EQ001), an antibody targeting CD6; and EQ302, an oral peptide targeting IL-15 and IL-21.

  • EQ101: Phase 2, open-label alopecia areata study completed enrollment of 36 patients. Topline results were expected in the second quarter of 2024. A subcutaneous formulation is in development.
  • Itolizumab: EQUATOR, a pivotal Phase 3 study in acute graft-versus-host disease (aGVHD), is planned for up to 200 patients; the interim review of the first approximately 100 patients was expected in the third quarter of 2024. In the 17-patient EQUALISE lupus nephritis study, the company reported that 73% achieved a greater-than-50% reduction in urine protein-to-creatinine ratio by week 28, and reported complete responses in 40% of subjects. These were company-reported study results.
  • EQ302: In preclinical development; further work is required before a potential IND filing. Equillium discontinued further development of EQ102 in favor of EQ302 after EQ102’s initial formulation showed lower-than-expected bioavailability.

  • All 2023 revenue came from the Ono agreement: $27.0 million of development funding and $9.1 million of amortized upfront consideration. Revenue is not product sales. Deferred revenue under the agreement was $15.7 million at year-end.
  • Revenue rose $20.3 million year over year, while net loss narrowed by $49.1 million. The loss comparison is substantially affected by $23.0 million of acquired in-process R&D expense recorded in 2022 for the Bioniz asset acquisition.
  • Cash, cash equivalents and short-term investments totaled $40.9 million at year-end ($23.2 million and $17.7 million, respectively). Accumulated deficit was $185.7 million. Management expected these resources to fund planned operations into the second half of 2025, assuming no further stock repurchases; the filing also states management believed resources would cover at least 12 months from the filing date.
  • Equillium used $21.8 million in operating cash, used $4.8 million in investing activities and used $9.2 million in financing activities in 2023. The investing outflow primarily reflected net purchases of short-term investments.
  • The company repaid and terminated its loan in May 2023, paying $9.1 million during the year; no notes payable remained at year-end. No meaningful product gross margin is reported because the company has no product sales.

Material changes, outlook and risks

  • Ono paid $26.4 million upfront for an exclusive option to acquire Equillium’s itolizumab rights in the United States, Canada, Australia and New Zealand. Ono funds itolizumab R&D during the option period. Equillium expected Ono’s option decision in the second half of 2024; exercise would trigger a further ¥5.0 billion payment, approximately $33.1 million at the exchange rate cited in the filing, and Equillium may qualify for up to $101.4 million in development and commercial milestones. These amounts are contingent, not assured.
  • The company may sell up to $21.95 million of stock through its ATM facility; it had made no sales under it as of the filing. Its $7.5 million repurchase authorization runs through December 31, 2024; $0.3 million had been spent through year-end. The cash runway estimate assumes no further repurchases.
  • Equillium expects continued operating losses and negative operating cash flows and will need additional funding to advance development and potential commercialization. Additional capital may dilute shareholders, constrain operations or require granting rights to programs. There is no assurance that financing or Ono’s option exercise will be available on favorable terms, or at all.
  • Major execution risks include clinical efficacy and safety, trial timing and enrollment, regulatory approval, reliance on CROs and contract manufacturers, and competition. Itolizumab is manufactured by Biocon in India; disruption, regulatory issues or export restrictions could affect supply. The company also relies on an OFAC general license for clinical work on itolizumab because of its Cuban-origin pharmaceutical status.
  • Itolizumab safety monitoring includes transient lymphocyte-count reductions; the filing identifies infection as a potential risk. Early or interim clinical results may change with additional data and verification. Equillium also faces intellectual-property, licensing and milestone obligations, including potential Biocon payments of up to $30 million in regulatory milestones and $565 million in sales milestones, plus royalties if applicable.
  • The company reported no legal proceedings. KPMG issued an unqualified opinion on the consolidated financial statements. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor was not engaged to audit internal controls.

Important facts for investors to verify

  • Whether Ono exercised its itolizumab option, and the resulting payment, development responsibilities and any milestone economics.
  • Final, verified results and safety findings from EQ101’s alopecia areata study, EQUALISE, and the EQUATOR interim review, including whether announced timelines were met.
  • Updated cash, cash burn and runway, including any ATM issuance, repurchases, financing or changes to planned R&D spending.
  • Progress toward an EQ302 IND and the implications of discontinuing EQ102 for pipeline priorities and costs.
  • Biocon manufacturing and license status, contingent milestone and royalty obligations, and continued authorization for itolizumab-related activities under OFAC rules.
