Material changes and notable items
- First-lien debt increased to 56.3% of portfolio fair value from 53.0% at year-end; second-lien debt declined to 16.7% from 21.3%. The company invested $204.0 million and received $146.4 million from sales and repayments during the first nine months, compared with $268.0 million and $128.3 million, respectively, in 2022.
- Fidus sold 3.7 million shares under its ATM program in the first nine months, raising $71.6 million net; the program ceiling was increased to $150 million in August. Shares outstanding rose to 28.45 million from 24.73 million at year-end. The stockholder-approved authority to issue shares below NAV runs through the earlier of June 8, 2024 or the 2024 annual meeting, subject to a 25% issuance limit per offering.
- PIK interest income rose to $2.8 million in Q3 from $0.4 million and to $4.7 million for nine months from $1.3 million. PIK is accrued income rather than cash received and may nonetheless affect required RIC distributions.
- After quarter-end, the board declared $0.80 per share for December 2023: $0.43 regular, $0.27 supplemental and $0.10 special. The company also disclosed new investments and full repayments of several debt positions in October and November.
Outlook, risks and other disclosures
- No formal earnings or investment-return guidance is provided. Management expects to fund investments and distributions through cash, investment receipts, securities offerings and borrowings, but outcomes depend on portfolio performance and continued access to capital.
- Key risks include borrower credit deterioration, illiquid Level 3 valuations, higher funding costs, inflation, economic slowdown, supply-chain and labor pressures, and market volatility. The filing notes that substantially all LIBOR-linked loans had transitioned to CME Term SOFR or an adjusted version; replacement benchmarks may not produce the same economics as LIBOR.
- Interest-rate sensitivity analysis estimates that a 100-basis-point increase would raise annualized NII by approximately $4.6 million, while a 100-basis-point decrease would lower it by approximately $4.7 million, assuming no changes in investments or borrowings. These are estimates, not forecasts.
- Most portfolio investments are valued using significant unobservable Level 3 inputs; changes in assumptions or company performance can materially alter reported fair values. The filing identifies four non-accrual exposures, including Suited Connector and Virtex, newly on non-accrual during 2023.
- Portfolio funding commitments totaled $7.3 million unfunded at quarter-end. The company reported compliance in all material respects with its Credit Agreement and no material legal proceedings. Management concluded disclosure controls were effective and reported no material third-quarter changes in internal control over financial reporting.
Important facts for investors to verify

- The drivers and recoverability of the Hallmark equity gain, and the subsequent performance and valuation of impaired or non-accrual investments.
- How ATM share issuance, future distributions and any below-NAV issuance authority affect per-share NAV and shareholder dilution.
- Debt maturity and refinancing plans, the availability and conditions on unused SBA and Credit Facility capacity, and the effect of rates on net interest income and funding costs.
- The assumptions behind Level 3 fair values, portfolio-company leverage and repayment capacity, and management’s stated liquidity assessment for the next 12 months.
