GH Research PLC annual report, Q4 FY2022

GH Research PLC — FY2022 Form 20-F

Reporting period: Fiscal year ended December 31, 2022. This is an annual report, not a quarterly filing; standalone Q4 results are not provided in the filing text. Financial statements are audited and prepared under IFRS in U.S. dollars.

Business context

GH Research is a clinical-stage biopharmaceutical company with no approved products and no revenue. Its pipeline focuses on mebufotenin (5-MeO-DMT): GH001, an inhaled candidate; GH002, an intravenous candidate; and GH003, an intranasal candidate. The lead program targets treatment-resistant depression (TRD).

Financial performance and position

MetricFY2022FY2021
RevenueNoneNone
Research and development expense$20.5 million$8.6 million
General and administrative expense$10.1 million$6.5 million
Operating loss$30.6 million$15.1 million
Net loss$22.5 million$9.2 million
Net loss per share, basic and diluted$0.432$0.211
Net cash used in operating activities$26.2 million$15.3 million

At year-end, cash and cash equivalents were $166.0 million and marketable securities were $85.7 million, totaling $251.7 million. Total assets were $254.4 million, liabilities $4.5 million, and equity $249.8 million. The company reported no bank loans or other debt. Management said available cash and securities should fund operating and capital needs for at least 12 months from issuance of the statements, while noting estimates depend on assumptions and funds could be exhausted sooner.

There are no meaningful operating margins to assess because the company has no revenue. FY2022 finance income was $0.9 million. A $7.2 million foreign-exchange gain materially reduced the reported net loss; the gain chiefly reflected translation of U.S.-dollar cash held by the euro-functional subsidiary. Other comprehensive loss was $29.0 million, including currency translation losses and fair-value movements on securities.

Changes versus FY2021

  • Net loss increased by $13.3 million, as operating loss more than doubled, reflecting expanded clinical, technical, device, manufacturing and staffing activity.
  • R&D expense rose $11.9 million; G&A expense rose $3.5 million.
  • Operating cash use increased $10.9 million. Investing cash use was $84.7 million, mainly purchases of marketable securities; financing cash flow was nil versus $286.4 million in FY2021, when the company raised capital through its Series B financing and IPO.
  • Cash and cash equivalents declined from $276.8 million to $166.0 million, partly because $84.6 million was invested in marketable securities. Total cash and securities declined from $276.8 million to $251.7 million.

Outlook, programs and key risks

  • Management expects expenses and operating losses to rise as clinical development, device work, manufacturing preparation and public-company costs expand. The company expects no product-sales revenue for several years, if ever, and anticipates needing substantial additional funding over time.
  • GH001’s small Phase 1/2 TRD study reported remission in 7 of 8 patients at day seven in its open-label individualized-dose cohort. The filing cautions that small samples, short follow-up and open-label design limit reliability and do not establish later-stage efficacy.
  • A randomized, placebo-controlled Phase 2b GH001 TRD trial was initiated, targeting approximately 80 patients. Phase 2a studies in bipolar II depression and postpartum depression, each expected to enroll 15 patients, and a GH002 healthy-volunteer study were also underway; management expected these studies to complete in Q4 2023.
  • Following development progress on a proprietary GH001 aerosol device, management expected to submit an FDA IND in Q3 2023. The planned initial study would be a healthy-volunteer pharmacology/bridging study; this shifted the earlier plan to use a third-party device and conduct a patient imaging study first.
  • Material execution risks include uncertain clinical and regulatory outcomes, the need to develop and validate delivery devices and manufacturing, dependence on third-party suppliers and CROs, and controlled-substance restrictions. Mebufotenin is Schedule I in the United States and must be rescheduled before commercial marketing; no favorable DEA decision is assured.
  • The company reported ineffective disclosure controls and material weaknesses in internal control over financial reporting for 2020–2022, attributed to insufficient trained accounting personnel and inadequate formal controls, segregation of duties and IT controls. Management said remediation was ongoing; the auditor did not provide an internal-control attestation because GH Research is an emerging growth company.
  • Other investor-relevant exposures include foreign-exchange sensitivity, interest-rate and credit risks on investments, competitive and patent-protection uncertainty, and potential U.S. PFIC tax treatment. The company stated it believed it was a PFIC in 2022 and likely would be in 2023.

Most important facts to verify

  • Confirm the audited financial statements and reconcile the reported foreign-exchange gain with the underlying cash currency exposures.
  • Check actual cash burn, liquidity runway and marketable-securities maturities against the company’s 12-month funding estimate.
  • Verify subsequent progress and results for GH001’s controlled Phase 2b trial, the other clinical studies, and the proprietary-device IND and bridging plan.
  • Assess whether the internal-control remediation has been implemented and operated effectively, and whether further weaknesses or reporting issues have been disclosed.
  • Review controlled-substance rescheduling requirements, device and supply arrangements, patent status, and the annual PFIC determination for implications to commercial prospects and U.S. investors.
