Genasys Inc. — FY2021 Form 10-K

Business context and reporting period. Genasys provides critical-communications hardware and software, including LRAD acoustic devices, mass-notification systems and SaaS emergency-management products. This annual report covers the fiscal year ended September 30, 2021; figures below are in U.S. dollars unless noted. FY2021 results include the Amika Mobile and Zonehaven acquisitions. The filing does not provide standalone FY2021 fourth-quarter results.

Financial results and liquidity

MetricFY2021FY2020
Revenue$47.0 million$43.0 million
Gross profit / margin$23.4 million / 49.8%$22.6 million / 52.6%
Operating income$1.1 million$6.0 million
Net income$0.7 million$11.9 million
Diluted EPS$0.02$0.35
Adjusted EBITDA$4.1 million$7.8 million
Cash from operating activities$6.2 million$6.9 million
  • Revenue grew 9.3%. Hardware segment revenue was $44.2 million, up 6.9%; software revenue was $2.8 million, up 71.5%. Software remained loss-making at the segment operating level, with a $6.8 million loss versus a $2.7 million loss in FY2020.
  • Gross margin fell 2.8 percentage points. Management attributed pressure to product mix and investment in software personnel, including acquired engineering staff. SG&A rose 44.7% to $17.4 million, mainly from personnel, acquisition-related amortization and professional services.
  • Net income declined sharply, in part because FY2020 included a $5.7 million income-tax benefit following release of a valuation allowance; FY2021 recorded $0.4 million of tax expense. Higher operating expenses also reduced pretax income.
  • Cash and cash equivalents were $13.2 million at year-end, versus $23.3 million; marketable securities totaled $7.6 million, and restricted cash was $1.4 million. Working capital was $18.0 million, down from $29.8 million, largely due to acquisition spending.
  • Investing activities used $15.6 million, including $15.8 million net cash paid for acquisitions. Cash from financing activities was $0.01 million.
  • Notes payable totaled $0.3 million. The $10 million MUFG revolving credit facility was undrawn at year-end; the company reported covenant compliance. Operating lease liabilities were $6.6 million.

Changes, outlook and material matters

  • Backlog for products deliverable within 12 months was approximately $36.0 million at September 30, 2021, compared with $16.6 million a year earlier. Orders are subject to customer delivery schedules and government budget cycles.
  • One customer represented 58% of FY2021 revenue, compared with 63% in FY2020. U.S. government direct and indirect sales represented approximately 68% of FY2021 net sales, versus 64% in FY2020. Two customers made up 84% of year-end accounts receivable.
  • Genasys paid total consideration of $22.6 million for Zonehaven and $8.4 million for Amika Mobile. Acquisitions added substantial goodwill and intangible assets; their valuation depended on forecasts and discount-rate assumptions. The auditor identified acquired intangible-asset valuation as a critical audit matter, but issued an unqualified opinion on the financial statements.
  • Management plans to pursue growth in government, defense, public safety, emergency warning and enterprise markets; expand software products and sales capacity; and continue product development. The filing gives no quantified FY2022 revenue or earnings guidance.
  • Management said it believed available capital was sufficient for at least the next 12 months, while cautioning that additional financing might be needed if cash flows, orders or expenditures differ from plan. COVID-19 had not materially affected FY2021 results, but supply constraints, component shortages, inflation and operational disruption remained risks.
  • Key risks include customer and government-spending concentration, uneven and lengthy sales cycles, reliance on a sole-source LRAD compression-driver supplier, supply-chain disruptions, competitive pricing and margin pressure, acquisition integration and valuation, cybersecurity, and possible need for additional capital. The company also disclosed a fixed-revenue, multi-year foreign military maintenance contract whose costs could exceed revenue.
  • The FY2020 balance sheet had an immaterial presentation error: prepaid expenses and accrued liabilities were each overstated by $5.205 million because a foreign-currency forward contract was presented gross rather than net. The filing says there was no effect on FY2020 operating results or cash flows, and the contract was settled in FY2021.
  • Management concluded disclosure controls and internal control over financial reporting were effective as of September 30, 2021. The auditor did not attest to internal control, as the company was a smaller reporting company.

Important facts for investors to verify

  • Whether backlog converts to shipments and revenue on schedule, and how much is concentrated in the largest customer and government programs.
  • Whether software growth improves segment economics and company-wide gross margins as acquisition and staffing costs continue.
  • Whether the company can reduce customer, receivable and supplier concentration, particularly its reliance on one LRAD compression-driver supplier.
  • Acquisition integration progress and the assumptions supporting acquired goodwill and intangible-asset valuations.
  • Cash requirements, working-capital trends, and compliance with the MUFG facility’s covenants if the undrawn line is used.
  • Exposure to supply constraints, inflation, contract maintenance costs and other contingencies that could affect margins or liquidity.
