Grant revenue declined about 60% for the quarter and 41% for the six-month period year over year. Net loss increased about 136% and 50%, respectively. The filing attributes lower R&D costs mainly to reduced vaccine manufacturing and NIH subcontract costs; lower G&A reflected reduced patent, investor-relations, and stock-compensation expenses. Grant revenue fluctuates with grant-related spending, and its decline outpaced the reduction in operating expenses. No commercial gross margin is reported.

At June 30, cash and cash equivalents were $1.817 million, versus $1.168 million at December 31, 2011; working capital was $1.730 million, versus $476,468. Total assets were $2.290 million and current liabilities were $379,989. The filing reports no long-term debt or committed credit lines. Financing activities provided $2.309 million in the first half, including approximately $2.0 million net proceeds from a preferred-stock financing. There were no capital expenditures in the first half.

Business developments, outlook, and risks

  • GeoVax’s HIV vaccine candidates were in human clinical evaluation for preventive and therapeutic use. NIH/HVTN support covered the ongoing Phase 2a preventive trial and a Phase 1 trial of a GM-CSF-adjuvanted vaccine that began in April 2012. A Phase 1 therapeutic trial was planned for early 2013, and a Phase 2b preventive trial was being discussed for late 2013 or early 2014; future external funding was not assured.
  • The NIH IPCAVD grant had an original aggregate award of $20.4 million. About $2.5 million remained available at June 30; in July 2012, the period for using those funds was extended to August 31, 2013.
  • Management said cash resources and expected grant proceeds should support planned operations into the first quarter of 2013, and anticipated raising additional capital during 2012 or 2013. The company warned that unavailable or costly financing could force it to scale back or terminate operations, or seek a merger or acquisition.
  • March financing issued $2.2 million of Series A convertible preferred stock gross, with about $2.0 million net proceeds, plus warrants. Remaining preferred shares were convertible into about 1.39 million common shares at June 30. The company reported 11.28 million warrants outstanding and 13.87 million common shares reserved for potential issuance, creating substantial potential dilution.
  • Unrecorded firm purchase commitments were approximately $221,000 ($188,000 expected in 2012 and $33,000 in 2013). Remaining lease payments were $61,080 for the rest of 2012, $125,180 in 2013, and $128,920 in 2014. Amounts payable to related party Emory University were $275,668 at June 30.
  • Management expected continuing losses and rising R&D costs as development advances. Key risks include clinical or regulatory failure, inability to obtain future grant support or capital, and the possibility that candidates never generate product revenue. Management reported no material change to previously disclosed risk factors, no legal proceedings, and effective disclosure controls.
