Revenue increased 54% in the quarter and 53% year to date. Bromine generated 95% of six-month revenue: sales volume rose 16% and average selling price rose 37% year over year. Crude-salt revenue declined 4%; chemical-products and natural-gas revenue was nil. Six-month gross margin improved from 10% to 15%, while crude-salt margin fell from 48% to 23%, principally because of higher salt-pan amortization. The company continued to record costs for facilities that have not resumed production.

Six-month operating cash flow was negative $4.24 million, including a $12.02 million increase in accounts receivable. Investing cash flow was positive $12.75 million, mainly from $14.44 million of repayments on third-party loans, partly offset by $1.70 million of capital expenditure. Financing cash flow was positive $0.28 million. Cash ended the period at $9.19 million, compared with $3,793 at December 31, 2025.

At June 30, current assets were $30.96 million and current liabilities $11.69 million, a current ratio of approximately 2.65x. Receivables, net, were $15.48 million, up $12.21 million since year-end. Short-term bank borrowings were $5.36 million; finance-lease liabilities were $5.43 million and operating-lease liabilities $6.63 million. Stockholders’ equity was $113.41 million. Management said available funds and operating cash flows should cover expected needs and obligations for the next 12 months.

Material changes and unusual items

  • Quarterly results moved from a net loss of $0.81 million to net income of $1.14 million, mainly reflecting higher bromine revenue and gross profit. The six-month net loss narrowed from $5.48 million to $2.78 million.
  • The 2025 comparative financial statements were restated after errors in classifying buildings without ownership certificates as fixed assets rather than lease right-of-use assets. Restated 2025 results include higher depreciation-related expenses; reported per-share data also reflects the October 2025 1-for-10 reverse stock split.
  • The company issued 274,000 shares through private placements during the six months, raising approximately $1.04 million in aggregate. Shares outstanding were 1,813,531 at June 30.
  • Top five customers accounted for 70.9% of six-month sales, and the company sourced 100% of raw materials from its top four suppliers.

Outlook, risks and contingencies

  • No quantified revenue, earnings or production guidance was provided. Management says it intends to focus on SCHC, SHSI and DCHC. Chemical facilities remain closed pending relocation, and natural-gas operations remain suspended pending government approvals. Factories No. 2 and No. 10 also await governmental approval.
  • A $2.94 million bank borrowing was past due at June 30 because of a dispute with the bank; the filing also describes a separate $2.42 million borrowing maturing in March 2027. Confirm the classification, status and resolution of the disputed debt.
  • The company disclosed continuing land-use and planning enforcement risks concerning bromine facilities, including possible penalties, demolition or operational disruption. Management considers enforcement-related losses remote and recorded no additional accrual. Separately, a prior court auction related to guaranteed third-party borrowing left $515,666 of principal and interest accrued at June 30.
  • Taxes payable included $267,459 overdue, associated with VAT invoice deductions from 2018 and 2019. Related-party amounts payable were $1.91 million.
  • Disclosure controls and internal control over financial reporting were ineffective at June 30 due to material weaknesses involving accounting expertise, governance oversight and control design. Remediation actions were underway but not complete.
  • The company filed this report on September 30, 2026, after Nasdaq granted an extension through October 12. It says it is awaiting Nasdaq’s determination on restored filing compliance; delisting remains a risk. The filing also describes risks from PRC regulation, permits, and PCAOB inspection access.

Key facts investors should verify

  • Collection of the sharply higher receivables, particularly balances owed by major customers, and the resulting operating cash needs.
  • Current status and repayment terms of the overdue bank loan, other borrowing, lease obligations and accrued guarantee liability.
  • Progress toward Nasdaq filing compliance and remediation of the disclosed internal-control material weaknesses.
  • Developments in bromine-facility approvals and land-use proceedings, and the timing and cost of completing the chemical-plant relocation.
  • Effects of customer and supplier concentration, bromine price and volume trends, and the restated 2025 comparative financials.
