Segments and changes versus prior year
- Bromine: Revenue was $57.95 million, down 4%; operating income was $9.50 million, down about 28%. Sales volume was nearly flat, while the average selling price declined about 4%. Segment gross margin remained 25%.
- Crude salt: Revenue was $10.75 million, down 22%; operating income fell about 81% to $0.72 million. Sales volume edged up, but the average selling price fell 22%; gross margin declined from 31% to 15%.
- Chemical products: Revenue rose 2% to $44.96 million and operating income rose about 8% to $14.43 million. Higher oil-and-gas additive demand supported results; segment gross margin increased from 33% to 35%.
- Company gross profit and net income declined, reflecting weaker bromine and crude-salt pricing. 2013 operating results also included a $2.50 million gain on relocation of Factory No. 3, which did not recur.
Outlook, developments and risks
- Management expected bromine and crude-salt prices to remain near then-current levels through Q1 2015 if China’s economic tightening continued. This is management’s stated near-term expectation, not formal financial guidance.
- Management planned about $10 million of 2015 enhancement work at Factories No. 10 and 11, funded from cash, plus about $1 million of ordinary repairs and maintenance. The company also intended to invest about $10 million in Sichuan exploration if commercially viable.
- After year-end, the company completed its acquisition of SCRC on February 4, 2015 for approximately $80.8 million: $66.2 million cash and 7,268,011 shares issued at $2.00 each. SCRC’s sellers guaranteed 2014 audited net income of at least approximately $11.4 million, subject to purchase-price adjustment. Pro forma acquisition information was unavailable because initial accounting was incomplete.
- The company announced a natural-gas discovery beneath its Sichuan bromine well in January 2015; geological, complexity and economic assessments were still pending. Commercial viability and permits were not established.
- Key operating and regulatory risks include no proven or probable brine reserves; mining permits for Factories No. 5–11 remained under application (with written local consent noted for Factories No. 5–9); annual license renewals; and missing land-use/property certificates that could impair operations or access to bank financing.
- Customer and supplier concentration is significant: top five customers generated 43.3% of 2014 sales, while top five suppliers provided 89.4% of raw materials. Most cash was held in PRC financial institutions and was not insured or otherwise protected. PRC-resident affiliates, including Chairman Ming Yang, had not completed initial SAFE registrations, potentially affecting capital contributions or dividend remittances.
- Other material risks include RMB exchange-rate and currency-control exposure, PRC legal and policy uncertainty, environmental and safety obligations, declining brine concentration, power interruptions and dependence on key management. The company said it did not expect to pay dividends in the foreseeable future.
Audit and controls
The independent auditor issued an unqualified opinion on the consolidated financial statements. The auditor was not engaged to audit internal control over financial reporting; management stated that disclosure controls and internal controls were effective at December 31, 2014.
Important facts for investors to verify
- Reconcile reported bromine selling-price figures: the filing cites approximately $2,866 per tonne in one discussion and $2,886 elsewhere for 2014.
- Confirm SCRC’s acquired results, purchase-price adjustment, integration progress, and cash and share consideration effects.
- Track renewal and issuance of required mining permits, land/property certificates, and compliance with SAFE registration requirements.
- Assess brine-resource sustainability and the commercial, permitting and funding case for Sichuan natural-gas and brine projects.
- Monitor crude-salt and bromine prices, margins, customer/supplier concentration, and collection of receivables; receivables were $42.00 million, with 84% of balances aged over 90 days settled by February 28, 2015.
