Revenue growth was led by chemical products, up 36.9% to $11.39 million. Bromine revenue was nearly flat at $11.76 million, while crude salt revenue declined 0.4% to $2.44 million. Chemical-products operating income rose to $3.77 million; bromine operating income was $1.02 million and crude salt was $0.64 million. Management attributed improved margins across all three segments to stronger chemical-product demand, lower bromine raw-material costs and lower allocated costs in crude salt.

Cost of revenue increased 4% to $18.73 million. General and administrative expense fell 33% to $1.32 million, partly reflecting the absence of legal costs related to a class-action suit settled in early 2014 and a favorable intercompany currency-translation gain. The effective tax rate was 24%, versus 28% a year earlier.

Liquidity, debt and balance sheet

  • Cash was $119.26 million at March 31, up from $107.83 million at December 31, 2013. Operating cash flow was positive; investing activities used $0.35 million, and exchange-rate changes reduced cash by $1.04 million.
  • Working capital was approximately $156.4 million. Current assets were $166.66 million and current liabilities $10.31 million; total liabilities were $13.22 million.
  • Capital-lease obligations totaled $3.17 million, including $0.25 million current. No major financing activity was reported for the quarter. The company reported no purchase commitments, but disclosed future operating-lease obligations of $26.54 million and capital-lease payments of $5.19 million before imputed interest.
  • Total assets were $309.61 million, broadly unchanged from year-end. Property, plant and equipment, net, declined to $138.32 million from $146.40 million.

Outlook, risks and notable items

  • Management expects bromine and crude-salt selling prices to remain near Q1 levels through the end of 2014 if current PRC economic-tightening policies continue. It plans to resume channel and duct enhancement work at Factories 10 and 11 in Q2 and Q3, weather permitting; no such work occurred in Q1 due to weather.
  • Management believes available funds and operating cash flow will cover ongoing needs for the next 12 months, but says additional capital may be needed for bromine-property acquisitions, chemical-capacity expansion and a proposed Sichuan production line. It may seek credit facilities and may issue shares or incur debt; funding availability and terms are not assured.
  • Customer and supplier concentration is significant: the top five customers accounted for 39.5% of Q1 sales, and the top five suppliers provided 89.8% of raw materials. One customer represented 13.4% of revenue. The company warned that loss of key relationships could have a severe near-term impact.
  • Receivables were $41.34 million; about 68% of balances older than 90 days at quarter-end were reportedly collected in April. Substantially all cash is held with PRC banks and is uninsured or otherwise unprotected. The company reported no doubtful-account allowance.
  • The company lacks land-use certificates for certain township-owned parcels and property certificates for buildings and salt pans on those parcels. Related carrying values included approximately $0.96 million for affected land-use rights and $38.66 million for affected buildings and salt pans. Management reported no indicators of long-lived-asset impairment.
  • All operations and assets are in the PRC, exposing the company to country and currency risks. Q1 foreign-currency translation reduced comprehensive income by $2.90 million. Management does not anticipate cash dividends in the foreseeable future and intends to retain cash for expansion.
  • The filing reports no class-action matter as a current legal proceeding and no changes to the risk factors disclosed in the 2013 Form 10-K. Management concluded disclosure controls were effective; no material internal-control changes were reported.

Key facts for investors to verify

  • Confirm April collections of aged receivables and monitor subsequent receivable aging and customer concentration.
  • Assess whether cash held in PRC banks is accessible for planned investment and whether expansion funding can be secured on acceptable terms.
  • Track bromine pricing, raw-material costs, chemical-products demand and progress on the delayed factory enhancement work.
  • Review the legal and operating implications of missing land-use and property certificates, as well as the long-term lease commitments.
  • Reconcile segment revenue disclosures against consolidated statements if using the filing’s segment table; that table contains apparent inconsistent revenue figures, while the consolidated statement reports Q1 2014 revenue of $25.59 million.
