Net margin was 19.5%, compared with 18.2% a year earlier. Investment advisory fees were $5.665 million and shareholder service fees were $0.479 million. Interest income increased to $0.786 million from $0.467 million, more than offsetting a modest increase in interest expense; management attributed the increase to higher rates and cash balances. The effective tax rate was 27.0%, versus 25.8%.

Assets under management (AUM) were $3.280 billion at December 31, 2023, up 9.0% from a year earlier, primarily due to market appreciation and the CCM Small/Mid-Cap Impact Value Fund acquisition, partly offset by net outflows. Quarterly AUM changes included $262.3 million of market appreciation, $12.4 million of acquisition inflows, $226.6 million of organic inflows and $253.1 million of redemptions. Average AUM was approximately $3.0 billion, essentially unchanged year over year.

Material changes versus the prior comparable period

  • Revenue was effectively flat, while operating expenses rose 3.9% to $4.719 million. General and administrative expense increased 9.9%, primarily due to professional services; fund distribution and other expense increased 56.8%, largely reflecting a full quarter of ETF operating costs. Sub-advisory fees declined 6.0%.
  • Operating income fell 11.2%, and operating margin contracted by 2.9 percentage points. Net income nevertheless rose 7.2%, mainly because interest income increased.
  • Operating cash flow improved to positive $0.416 million, primarily due to payment timing and higher net income. Cash declined $0.871 million during the quarter after investing outflows of $0.250 million and financing outflows of $1.037 million, including dividends.
  • Monthly redemptions as a percentage of AUM averaged 2.8%, down from 3.4% in the prior-year quarter. Net outflows persisted overall; the largest quarterly fund outflows were from the Focus Fund ($49 million) and Gas Utility Fund ($21 million), while the Cornerstone Mid Cap 30 Fund had the largest inflow ($81 million).

Liquidity, debt and capital

At December 31, 2023, total assets were $145.0 million and total liabilities were $56.8 million. Current assets of $62.9 million substantially exceeded current liabilities of $2.8 million. Notes payable were $39.2 million net of issuance costs; the notes have $40.25 million principal, bear interest at 4.875%, and mature December 31, 2026. Their reported fair value was approximately $38.2 million. The notes may be redeemed at the company’s option on or after December 31, 2023. The company paid a quarterly cash dividend of $0.1375 per share.

Management stated that cash and other liquid assets should be sufficient for capital requirements for at least one year from the report’s issuance and for longer-term requirements. If needed, management may seek bank financing or access capital markets, with no assurance that additional capital would be available.

Outlook, commentary and risks

The company gave no quantitative earnings or revenue guidance. Management’s strategy is to pursue acquisitions and organic growth by retaining existing fund assets and generating inflows. It emphasized investment performance and investor service. Management cited market, economic, interest-rate, inflation, redemption, competitive and regulatory factors as risks, and expects regulatory developments to add administrative and compliance costs. It described the market’s expectation of rate cuts in 2024, while noting that stronger-than-expected economic or labor-market conditions could challenge that expectation; these are market observations, not company guidance.

The CCM Core Impact Equity Fund asset purchase received shareholder approval on January 31, 2024; the assets were expected to be reorganized into the Hennessy Stance ESG ETF on February 23, 2024. The earlier CCM Small/Mid-Cap Impact Value Fund acquisition closed in November 2023 and added approximately $12 million of AUM at closing. Management reported no impairment of management contract assets as of quarter-end. Contractual expense-ratio limitations for the Midstream and Technology Funds were due to expire February 28, 2024 unless extended; the ETF limitation was due to expire December 31, 2024 unless extended. No material change to the risk factors in the 2023 Form 10-K was reported. Disclosure controls were assessed as effective, with no material change in internal control over financial reporting.

Important facts for investors to verify

  • Whether AUM growth continues to depend primarily on market appreciation and acquisitions, given ongoing net outflows and fund-specific redemption trends.
  • Whether expense growth—particularly professional services and ETF operating costs—continues to pressure operating margins.
  • The status and financial contribution of the CCM Core Impact Equity Fund transaction and the timing of its expected reorganization.
  • Cash generation after dividends, the company’s plans for its 2026 Notes, and its liquidity assumptions under weaker markets or higher redemptions.
  • Whether contractual fund expense limits are extended and how any expirations or extensions affect fund costs and the company’s results.
