Hesai Group annual report, Q4 FY2022

Business context and reporting period

Hesai Group is a Cayman Islands holding company whose operations are conducted mainly through subsidiaries in mainland China. It develops, manufactures and sells LiDAR products for advanced driver-assistance systems (ADAS), autonomous mobility and robotics, as well as gas-detection products.

This Form 20-F covers the fiscal year ended December 31, 2022, not a standalone 2022 fourth quarter. The filing text does not provide clear standalone Q4 financial results. Financial statements are prepared under U.S. GAAP. The company completed its Nasdaq IPO in February 2023, after the reporting period.

Current assets were RMB3,135.1 million and current liabilities were RMB955.5 million at year-end. Long-term borrowings were RMB18.5 million; the company also had a RMB700 million facility restricted to manufacturing-facility property and equipment, of which RMB681.5 million remained unused. Cash and short-term investments combined were RMB1,859.1 million, down from RMB2,792.1 million a year earlier.

LiDAR revenue was RMB1,122.2 million, or 93.3% of revenue; gas-detection revenue was RMB24.0 million. The company recognized revenue from approximately 80,400 LiDAR units sold, compared with 14,000 in 2021. It reported average LiDAR selling prices of approximately US$2,000 in 2022 versus US$7,700 in 2021.

Material changes versus the prior comparable period

  • Revenue increased 66.9%, principally due to higher LiDAR unit sales. Revenue from LiDAR products rose 63.8%.
  • Gross margin fell from 53.0% to 39.2%. Management attributed the decline to greater shipments of lower-margin ADAS products during early production ramp-up and low utilization of in-house capacity.
  • Net loss widened 22.8%, and operating loss increased 42.6%. R&D expense rose 50.7% to RMB555.2 million, while sales and marketing expense rose 51.4% to RMB104.8 million. General and administrative expense declined 15.1%, partly because 2021 included one-off reorganization-related tax costs.
  • Operating cash outflow increased to RMB696.0 million, principally reflecting inventory growth of RMB305.6 million and increased accounts receivable. Inventory rose to RMB646.9 million; 2022 inventory write-offs were RMB39.4 million, versus RMB16.6 million in 2021.
  • Accounts receivable rose to RMB485.0 million from RMB85.8 million. Receivables, contract assets and related-party receivables turnover days increased to 113 from 94.
  • Net loss attributable to ordinary shareholders was RMB747.2 million, including a RMB446.4 million deemed dividend from accretion of redeemable shares. This accounting charge is distinct from the RMB300.8 million net loss.

Outlook, commentary and risks

  • The filing provides no specific revenue, earnings or margin guidance. Management expects gross margin to fluctuate as product mix changes, new products are priced, and production ramps; it also noted newer ADAS products may have lower selling prices and margins.
  • A new Jiading manufacturing facility was expected to begin operations in 2023. The company expects capacity from completed new facilities to eventually reach approximately 1.2 million units annually. It disclosed RMB326.5 million of committed capital expenditures for the Jiading facility and estimated a further RMB730.7 million investment in manufacturing expansion and equipment.
  • Management said existing cash, short-term investments and IPO proceeds were expected to cover working capital and capital expenditure needs for at least 12 months. However, operating cash burn, rising inventory and receivables, and restrictions on cross-border cash transfers remain relevant liquidity considerations.
  • Risks include customer and product concentration, pricing pressure, dependence on third-party chips and other suppliers, uncertain LiDAR adoption, production-ramp execution, COVID-related disruption, and PRC regulatory, data-security, foreign-exchange and geopolitical risks. One customer represented 24.3% of 2022 revenue; another represented 13.7%. One supplier represented 12.3% of purchases.
  • The company reported one material weakness in internal control over financial reporting: insufficient staff with U.S. GAAP expertise. Management concluded disclosure controls were not effective at December 31, 2022 and described remediation efforts. The auditor issued an unqualified opinion on the financial statements but did not audit internal-control effectiveness.
  • Post-year-end matters include an April 2023 securities class action related to the IPO and Ouster patent complaints filed in U.S. court and with the ITC. The company said outcomes and potential losses could not then be determined. A royalty agreement also requires annual payments through 2030, generally with a US$3 million base payment from 2023, subject to the disclosed sales-based terms.

Most important facts for investors to verify

  • Whether growth in LiDAR shipments can translate into improved gross margin and lower operating cash consumption.
  • Collection quality and customer concentration behind the sharp increase in receivables; customer A represented 61.0% of accounts receivable, contract assets and related-party receivables at year-end.
  • Progress, costs, approvals and utilization of the Jiading and planned Hangzhou facilities, and whether the stated eventual capacity target is achievable.
  • How management remediates the material weakness and whether subsequent filings show effective financial-reporting controls.
  • The status and potential financial effects of the 2023 litigation and regulatory proceedings, along with ongoing royalty obligations.
  • The IPO proceeds disclosure: the filing reports approximately US$174.5 million net proceeds in its use-of-proceeds section, while a financial-statement note reports approximately US$179.8 million. Reconcile the amounts and their definitions.
