  • Expense and earnings drivers: General and administrative expense was $25.9 million, up $22.3 million, primarily due to $20.8 million of additional legal costs related to Meta litigation and higher personnel costs. Interest and other income included investment and derivative gains as well as interest income; it is not solely recurring operating revenue.
  • Cash and investments: Cash and cash equivalents were $91.1 million at quarter-end, versus $56.1 million at December 31, 2023. Cash, cash equivalents and current investments totaled $179.1 million, up from $160.4 million; total assets were $244.7 million. Approximately $63.4 million of cash, cash equivalents and short-term investments was held by foreign subsidiaries and may be subject to repatriation tax effects.
  • Liquidity and debt: Current assets were $193.8 million and current liabilities $30.1 million. Total liabilities were $43.2 million, including deferred revenue and other liabilities; the balance sheet presents no borrowings. Management said it expects sufficient capital resources for working-capital needs for the next 12 months and beyond.
  • Cash flow and capital allocation: Operating cash flow rose by $26.4 million year over year, helped by net income and working-capital changes, including Nintendo-related deferred revenue and higher income taxes payable. Investing activities provided $6.9 million; financing activities used $1.7 million, chiefly dividends. The company paid $1.5 million in dividends and made no share repurchases during the quarter.
  • Taxes: The effective tax rate was 24.5%, compared with 15.4%. The filing reports $6.1 million of tax provision. It also gives differing figures for unrecognized tax benefits: the financial-statement note states approximately $4.9 million, while MD&A states approximately $7.5 million in total, of which $4.9 million could be payable in cash.

Material changes and significant developments

  • Revenue increased sharply, mainly because of fixed-fee license revenue recognized following the February 2024 Meta patent license and settlement agreement. The agreement resolved the parties’ litigation and related patent reviews; Immersion received approximately $17.3 million after deductions for legal fees and other liabilities. Meta received a non-exclusive license to Immersion’s patent portfolio for use in its products.
  • Per-unit royalty revenue declined 12%, chiefly because gaming royalties fell, partly offset by higher automotive royalties. Revenue mix shifted substantially: North America represented 88% of revenue, compared with 12% a year earlier; Asia represented 11%, compared with 84%.
  • Immersion received an $8.5 million non-refundable, non-creditable Nintendo license payment in March. The renewed license commences September 27, 2024, so the payment was recorded as current deferred revenue, not Q1 revenue. Total deferred revenue was $20.5 million at March 31; the company expects to recognize $17.2 million over one to three years and $3.3 million over more than three years for specified performance obligations.
  • Stockholders’ equity increased to $201.5 million from $183.1 million at year-end, primarily reflecting quarterly net income. A $0.045-per-share dividend was declared in February and paid in April. The board’s repurchase program, extended through December 29, 2024, had $41.7 million available at quarter-end.

Outlook, risks and contingencies

  • Management expects license and royalty revenue to remain major sources of future revenue, but says fixed-fee revenue may fluctuate with the timing of agreements and royalties with customer unit shipments. No specific revenue or earnings forecast was provided. Capital expenditures for the remainder of 2024 are expected to be less than $1.0 million.
  • Immersion is pursuing patent-infringement cases against Xiaomi in Germany, France and India and against Valve in the United States. Xiaomi’s Indian injunction hearing was rescheduled for July 22, 2024; German proceedings include scheduled 2024 hearings. The Valve case was stayed on April 4, 2024 pending patent-review proceedings. Outcomes, timing and potential recoveries are uncertain.
  • In the LGE Korean withholding-tax matters, Immersion has made provisional deposits of approximately $5.0 million and $2.3 million. A lower Korean court ruled in Immersion’s favor on the earlier matter, but the tax authorities appealed; a separate later-period claim was dismissed by the Korea Tax Tribunal and is under appeal. The company had accrued $0.3 million related to the later-period matter and may record additional expense if it does not prevail.
  • Subsequent event: On April 16, 2024, Immersion agreed to invest through a wholly owned subsidiary in a Barnes & Noble Education rights offering and private placement. The agreement includes a purchase of 900 million shares at $0.05 per share and a backstop commitment of up to $35 million for unsubscribed rights, in addition to a separate purchase of 900 million shares at that price. Closing is subject to BNED shareholder approval. BNED also agreed to pay $2.5 million for the backstop commitment and reimburse eligible expenses up to $2.5 million. These transactions occurred after quarter-end.
  • The company reported no material changes to the risk factors in its 2023 Form 10-K. It stated that disclosure controls were effective as of March 31, 2024 and that no material change to internal control over financial reporting occurred during the quarter.

Important facts for investors to verify

  • How much of Q1’s unusually high fixed-fee revenue and net income is attributable to the Meta agreement, and what revenue or cash effects recur in later periods?
  • Reconcile the $4.9 million versus $7.5 million unrecognized-tax-benefit disclosures and monitor outcomes, potential cash exposure and recoverability of the LGE deposits.
  • Review the complete BNED transaction terms, total potential funding obligation, expected ownership impact, approval status and effect on Immersion’s liquidity.
  • Track Xiaomi and Valve litigation and patent-review outcomes, related legal costs, and whether any further settlements or licenses are obtained.
  • Assess the sustainability of investment and derivative gains, royalty trends, deferred-revenue recognition, and the board’s future dividend and repurchase decisions.
