  • Revenue and cost of revenue fell to zero after the company completed its remaining computational biology services contracts in September 2022 and its final biosample-storage contract in December 2022. Gross profit was zero in Q1 2023; the prior-period gross profit was $92,852.
  • R&D expense increased 12.7%, with direct spending on IMM-1-104 up $1.2 million, partly offset by lower spending on earlier-stage programs. G&A expense increased 12.9%.
  • At March 31, cash and cash equivalents were $77.4 million and current marketable securities were $14.1 million, totaling approximately $91.5 million. Current assets were $94.2 million and current liabilities $5.5 million. The company reported $9.9 million in total liabilities, principally lease liabilities; no borrowings were reported.
  • Cash increased $4.8 million during the quarter, as $19.0 million of marketable-security maturities more than offset operating cash use. This increase reflects investment maturities, not positive operating cash flow.
  • Management estimated that cash, cash equivalents and marketable securities, including proceeds from the April 2023 offering, would fund operations into 2025. It cautioned that this estimate depends on assumptions and capital could be consumed sooner.

Business developments, outlook and risks

  • IMM-1-104 was in a Phase 1/2a trial for advanced solid tumors with RAS mutations. In an April 18, 2023 update, the company described preliminary PK, pharmacodynamic and safety observations from a very small group: data from four patients across the first three dose levels, and tolerability information from one patient at 320 mg. At 160 mg, it reported pERK inhibition above 90% versus baseline; no dose-limiting toxicities or serious adverse events were reported in those patients at the time. These early observations are not evidence of efficacy and may change as more data become available.
  • Based on the preliminary data, management moved its expected announcement of the recommended Phase 2 dose to early 2024 from mid-2024. It planned to submit an IND for IMM-6-415 in Q4 2023; IMM-6-415 was in IND-enabling studies.
  • In February 2023, the company suspended early-stage neuroscience programs to focus on oncology. Management expects losses and expenses to continue and R&D and G&A spending to increase as development advances. It does not expect product revenue for several years, if ever.
  • After quarter-end, on April 20, 2023, Immuneering sold 2,727,273 shares at $11 per share in an underwritten offering, receiving approximately $28.2 million net of underwriting discounts and commissions, before estimated offering costs of $0.4 million. No shares were sold under its $50 million at-the-market program in Q1.
  • Key risks include clinical and regulatory uncertainty, possible trial delays or adverse effects, dependence on third-party manufacturers and CROs, need for additional capital, potential dilution, and limited patent protection. The company reported no material legal proceedings and no material off-balance-sheet arrangements. Management stated that disclosure controls were effective as of March 31, 2023.

Important facts for investors to verify

  • Review subsequent IMM-1-104 trial data, including patient numbers, dose escalation, safety, and whether the preliminary pharmacodynamic findings persist.
  • Track the recommended Phase 2 dose announcement and the timing and regulatory status of the planned IMM-6-415 IND.
  • Assess actual cash burn and spending against management’s runway estimate through 2025, including the net proceeds and share dilution from the April offering.
  • Monitor enrollment, trial execution, manufacturing supply, and whether development costs or timelines change.
  • Consider potential dilution from outstanding options: 5.29 million options were outstanding at March 31, 2023; weighted-average common shares were 26.44 million for the quarter.
