Indaptus Therapeutics, Inc. annual report, FY2022

Indaptus Therapeutics, Inc. — 2022 Form 10-K

Reporting period: Fiscal year ended December 31, 2022; filed March 17, 2023. This is an annual report, not a standalone fourth-quarter results release. Indaptus is a clinical-stage biotechnology company with no approved products and no product revenue.

Business context and development

The company is developing Decoy20, an intravenously administered immunotherapy made from attenuated, killed, non-pathogenic Gram-negative bacteria. In May 2022, the FDA cleared its IND, and Indaptus initiated a Phase 1 trial in December 2022 in patients with advanced solid tumors whose approved treatment options have been exhausted. The open-label study is designed to assess safety, tolerability, dose, pharmacokinetics and preliminary clinical activity. The company reported supportive preclinical findings; these are not evidence of clinical efficacy.

General and administrative expense$8.59 million$5.21 million
Total operating expenses / operating loss$14.91 million$7.73 million

R&D expense rose 150%, primarily reflecting higher personnel costs and Phase 1, IND and manufacturing work. G&A increased 65%, mainly due to payroll and stock-based compensation, directors’ and officers’ insurance, professional fees and public-company costs. Other income included an approximately $365,000 reversal of an LTS-related accrual, interest income and realized gains. The filing does not provide meaningful revenue or profit margins because the company has no product sales and operates at a loss.

At year-end, cash and cash equivalents were $9.63 million and marketable securities were $16.81 million, totaling approximately $26.4 million. Current assets were $27.24 million and current liabilities $3.43 million. Total liabilities were $3.43 million; the filing reports no material financing commitments such as credit lines or guarantees. Operating cash use increased year over year. Investing activities used $16.43 million, principally reflecting purchases of marketable securities; there was no financing cash inflow in 2022. The company reported that year-end cash, equivalents and marketable securities, together with potential Lincoln Park facility sales, were expected to fund ongoing activities into the second quarter of 2024.

Material changes, outlook and risks

  • Net loss increased 86% from 2021, while weighted-average shares rose to 8.26 million from 4.09 million; loss per share nevertheless decreased from $1.89 to $1.73.
  • Indaptus expects R&D and G&A costs to increase as it advances Decoy20, expands operations and meets public-company requirements. It expects continued losses and says additional financing will be needed.
  • Management’s runway estimate depends partly on the $20 million Lincoln Park committed equity facility, under which the company may sell shares at its discretion. No shares had been sold under that facility by year-end. The separate ATM facility allowed up to $6.3 million in gross proceeds; no shares had been sold under it by year-end.
  • The financial statements state the company has adequate funds for at least one year after issuance, but also describe substantial ongoing losses and dependence on additional capital. Management says financing plans are not entirely within its control and cannot be assessed as probable. Failure to raise funds could force delays, reductions or termination of development programs.
  • Key risks include clinical and regulatory uncertainty, potential immune-related adverse effects, patient enrollment, reliance on third-party research and manufacturing, limited staffing, financing and dilution, intellectual-property protection, reimbursement and competition. COVID-19 and macroeconomic conditions, including supply-chain pressures, inflation and interest rates, may affect development and access to capital.
  • The LTS contract dispute was settled in February 2023 for €800,000 (approximately $860,000), after a 2022 payment of approximately €1 million. The settlement reduced the prior accrual by approximately €345,000 (about $365,000), recognized as 2022 other income. The filing reported no pending material legal proceedings as of March 17, 2023.
  • The independent auditor issued an unqualified opinion on the financial statements and reported no critical audit matters. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor did not attest to internal controls.

Most important facts for investors to verify

  • Latest Decoy20 Phase 1 enrollment, dosing, safety findings and timing of any data updates; the filing reports trial initiation, not clinical outcomes.
  • Actual cash burn and remaining runway, including whether and on what terms the company uses the Lincoln Park or ATM facilities.
  • Potential dilution from the equity facilities, outstanding warrants and stock options; 8,401,047 common shares were outstanding as of March 17, 2023.
  • Whether development, manufacturing and clinical-trial costs or timing differ materially from management’s plans, and whether additional financing becomes necessary.
  • Resolution and accounting treatment of the LTS settlement, and any subsequent material legal, financing or clinical developments.
