- Products revenue fell 19% in Q3 and 14% year to date; services revenue rose 20% in both comparisons. Organic revenue declined 19% in Q3 and 16% for the nine months, excluding incremental acquired-company revenue.
- Identity Management revenue declined 9% in Q3 and 4% year to date. ID Products revenue declined 21% and 16%, respectively. ID Products gross margin weakened to 31% in Q3 and 33% year to date, primarily due to lower transponder sales and manufacturing overhead absorption. Identity Management year-to-date gross margin improved to 47% from 45%.
- Operating results include noncash impairment charges of $26.4 million for goodwill and $24.8 million for long-lived assets during the first nine months. The filing says these charges do not require future cash expenditures. A $5.7 million year-to-date credit from remeasurement of acquisition earn-outs partly offset expenses.
- Cash used in operating activities was $6.9 million for the first nine months, versus $5.5 million in 2011. Investing activities used $2.3 million; financing activities used $2.2 million. Cash and cash equivalents fell to $6.3 million from $17.2 million at year-end 2011.
Financial position, liquidity and debt
- At September 30, 2012, current assets were $36.9 million and current liabilities were $39.1 million, producing negative working capital of approximately $2.2 million. Total assets were $101.8 million; total liabilities were $57.8 million; total equity was $43.9 million.
- Financial liabilities totaled $5.9 million, including $2.0 million current and $3.9 million non-current. The company also reported $8.6 million of related-party liabilities, largely tied to long-term payment obligations from the Hirsch acquisition. The filing lists $31.1 million of contractual obligations, including purchase commitments and debt-related obligations.
- Restricted cash was $2.0 million. The company had factored approximately $1.5 million of receivables; it recorded the arrangement as secured borrowing and terminated it on October 30, 2012, requiring repurchase of the receivables sold.
- After quarter-end, Identive entered a secured loan agreement for up to $10 million and received an initial $7.5 million advance. The note matures November 1, 2015, bears interest at the greater of prime plus 7.75% or 11%, and is secured by substantially all company assets. Additional advances are conditional; the agreement also includes fees, covenants and prepayment charges. Management said available resources, anticipated operating cash flows, cost savings and borrowings should cover requirements for at least 12 months, subject to achieving forecasts and complying with loan covenants.
Changes, outlook and risks
- Management attributed the revenue decline to the absence of German national ID program orders that contributed $6.2 million of 2011 revenue, delayed transponder projects, and government budget constraints in the U.S. and Europe. These were partly offset by U.S. government reader and access-control sales and revenue from acquisitions.
- A June 2012 restructuring included an approximately 11% workforce reduction and other cost actions. The company recorded $0.3 million of restructuring charges through September and expected remaining actions in Q4, with annualized savings of $7 million expected to accrue from 2013.
- Management anticipated improved revenue and profit margins over the following 12 months and expected lower cash needs than historically, while continuing investment in NFC, cloud-based credential management and other offerings. It also expected lower R&D investment in coming quarters and modest reductions in selling and marketing as a percentage of sales. These are expectations, not guarantees.
- Key risks include continuing losses and cash burn, weak or delayed customer demand, government budget uncertainty, execution and integration of acquisitions, possible further impairments, supplier and inventory risks, foreign exchange exposure, and the possibility that cost savings or forecasts are not achieved. The filing identifies material weaknesses in internal controls over financial reporting, including accounting staffing and revenue-recognition controls; remediation was ongoing and the controls were not yet considered effective.
- No material change in market-risk exposure was reported. Management said ordinary-course legal claims were not expected to have a material effect. Identive reported that it regained Nasdaq minimum-bid-price compliance in October 2012 after receiving a deficiency notice in August.
Important facts for investors to verify

- Whether further impairment charges, acquisition-related valuation changes or working-capital pressures arose.
- Whether the company remediated and tested its disclosed material weaknesses in internal controls.
- Potential dilution: common shares outstanding were approximately 60.8 million at September 30, and the filing disclosed substantial outstanding warrants and equity-plan share reservations.
