Janux Therapeutics, Inc. — FY2022 Form 10-K
Reporting period: Fiscal year ended December 31, 2022. This is an annual report, not a standalone fourth-quarter results report. Janux is a clinical-stage biotechnology company developing tumor-activated immunotherapies; it had no product sales or approved products.

| Metric | FY2022 | FY2021 |
|---|---|---|
| Collaboration revenue | $8.6 million | $3.6 million |
| Research and development expense | $53.4 million | $26.2 million |
| General and administrative expense | $22.3 million | $10.3 million |
| Operating loss | $67.1 million | $32.9 million |
| Interest income | $4.0 million | $0.3 million |
| Net loss | $63.1 million | $32.7 million |

| Net cash used in operating activities | $42.9 million | $17.0 million |
Revenue came from the Merck research collaboration, not product sales. Operating expenses rose 107% year over year, with R&D increases reflecting program advancement, preclinical work, hiring and facilities; G&A also increased, including stock-based compensation. Interest income rose with higher rates. As a development-stage company without product revenue, conventional product margins are not meaningful.
At year-end, cash and cash equivalents were $51.4 million and short-term investments were $275.6 million; together they totaled $327.0 million. Including $0.8 million of restricted cash, cash, cash equivalents and short-term investments were approximately $327.8 million. Current assets were $332.4 million and current liabilities $16.5 million. Total liabilities were $43.3 million, including $25.3 million of operating lease liabilities; the filing reports no borrowings or financial debt. Accumulated deficit was $110.5 million.
Operating cash use increased from $17.0 million to $42.9 million. Investing activities provided $58.3 million, mainly from net maturities of short-term investments, while financing activities provided $0.5 million. The 2022 comprehensive loss included a $1.3 million unrealized loss on available-for-sale securities, attributed primarily to interest-rate and market conditions; no credit-loss allowance was recorded.
Material changes versus FY2021
- Revenue increased $5.0 million, primarily from more FTE research services under the Merck agreement.
- Net loss widened by $30.4 million as operating expenses increased by $39.1 million; higher interest income partly offset the increase.
- Operating cash use increased by $25.9 million. The year-end investment balance declined as investments matured and funded operations and capital spending.
- The San Diego office and laboratory lease commenced in 2022. The lease has a stated 126-month contractual term in MD&A; the lease note describes a 130-month term from its accounting commencement date. Future minimum payments were $37.7 million before $12.4 million of imputed interest.
Pipeline, outlook and key risks
- JANX007 (PSMA-TRACTr): First patient dosed in a Phase 1 trial in October 2022; Janux anticipated an interim clinical update in the second half of 2023.
- JANX008 (EGFR-TRACTr): FDA IND clearance was reported in January 2023, after year-end; the planned Phase 1 study is in advanced EGFR-expressing solid tumors.
- TROP2-TRACTr: Candidate selection was expected in 2023. JANX009 (PD-L1xCD28 TRACIr): Janux planned to submit an IND in 2023.
- Management cited non-human-primate and preclinical results as supporting the potential for reduced cytokine release syndrome and healthy-tissue toxicity, and for longer half-life. These are not established human clinical benefits; the platform is novel and its candidates remain early in development.
- Management estimated existing cash and investments would fund operations and capital needs for at least 12 months following the report/financial-statement issuance, while stating that resources would not fund candidates through regulatory approval. Additional financing may be needed and could dilute shareholders, constrain operations or require licensing rights.
- Merck selected both collaboration targets. Janux may receive development and regulatory milestones of up to $142.5 million per target, commercial milestones of up to $350 million per licensed product, and tiered royalties; these contingent amounts are not guaranteed. Merck controls development after the research term and may terminate at its discretion.
- Key risks include clinical failure or safety events, enrollment and regulatory delays, reliance on third parties (including a single-source bulk drug substance manufacturer), competition, intellectual-property challenges, and future financing needs. Janux reported no material legal proceedings and no material operating disruption from COVID-19 or inflation to date.
Important facts for investors to verify
- Latest JANX007 human safety, dose, pharmacokinetic and efficacy data, and whether the stated clinical-update timing was achieved.
- JANX008 trial initiation and progress, and whether the expected TROP2 candidate-selection and JANX009 IND milestones occurred.
- Current cash, investment maturities, operating cash burn and updated runway assumptions; the runway estimate is management’s forecast, not a guarantee.
- Merck research funding, recognized revenue, remaining deferred revenue, milestone status and any changes to the collaboration.
- Manufacturing capacity and supply continuity, lease obligations, and any equity issuance under the $100 million at-the-market program or $400 million shelf registration.
