Liquidity, debt and capital
- Cash and cash equivalents were ZAR 965.8m at year-end, compared with ZAR 731.7m a year earlier. Current assets were ZAR 1,462.8m and current liabilities ZAR 789.4m.
- Term loans totaled ZAR 59.9m; lease liabilities totaled ZAR 120.7m. The ZAR 925m Standard Bank revolving facility (ZAR 75m committed, ZAR 850m uncommitted) and ZAR 75m overdraft facility were unused at year-end. The company reported compliance with loan covenants.
- Management said cash from operations, cash on hand and available revolving credit should cover working capital and capital expenditure for at least the next 12 months.
- The company paid ZAR 331.3m in dividends during FY2023. A subsequent interim dividend of US$0.85 per share was declared on May 8, 2023, payable July 3, 2023.
Material changes versus the prior year
- Subscribers grew 13% to 1.717m, adding 191,105 net subscribers, versus 219,972 net additions in FY2022. Management attributed slower additions partly to challenging South African trading conditions and consumer caution amid inflation.
- Cartrack subscription revenue increased 17%; its segment operating profit rose 28% to ZAR 915.0m. Group gross margin declined from 66.4% to 64.8%, while adjusted EBITDA margin fell from 44.1% to 40.7%, reflecting business mix and investment for growth.
- Carzuka revenue rose to ZAR 250.8m from ZAR 67.3m, but its operating loss widened to ZAR 37.8m from ZAR 13.3m. Karooooo Logistics revenue increased to ZAR 179.6m from ZAR 42.0m and moved to ZAR 4.7m operating profit from a ZAR 2.9m loss.
- Operating expenses rose 24%, including increased sales and marketing, administration, research and development, hiring and expansion costs. Cash generated from operations improved, and free cash flow rose 44% despite higher capital expenditure.
Outlook, commentary and risks
- The filing provides no quantified revenue, earnings or subscriber guidance. Management describes plans to grow subscriptions, expand internationally—particularly in Asia-Pacific and the Middle East—and invest in Carzuka, Logistics, platform development and customer acquisition. It says these newer businesses show potential but continues to invest cautiously.
- Management reported 99.9% platform uptime for FY2023 and said operating cash generation supports investment in growth. It expects sales and marketing and research and development expenses to rise in absolute terms; its stated long-term objectives include reducing general and administration costs as a percentage of subscription revenue.
- Key risks include South African economic, currency, inflation and electricity-supply conditions; dependence on cellular/GNSS networks and component suppliers; competition and embedded vehicle telematics; customer acquisition and retention; data privacy and cybersecurity; and execution of international expansion. The company does not hedge foreign currency risk.
- During FY2022, management uncovered collusion involving insurance brokers and staff, resulting in a ZAR 15.3m write-off of capitalized commission assets. The filing says mitigation procedures were introduced, criminal charges were filed and relevant staff dismissed; no similar instances were noted in FY2023.
- Management reported no pending legal proceedings known to it that would have a material adverse effect. Certain contracts include stolen-vehicle recovery warranty coverage of up to ZAR 1.0m; the company states it has not established a liability reserve under these warranties. Separately, since March 2018, SVR operations had resulted in one fatality and three other injuries through February 2023.
- Related-party matters include a ZAR 25.8m interest-free loan to an entity connected to the CEO, repayable on demand, and a ZAR 404.1m estimated total redevelopment cost for the South African head office in the MD&A disclosure. The financial-statement commitments note separately reports ZAR 45.0m of capital expenditure commitments and an estimated redevelopment cost of ZAR 294m; reconcile these disclosures.
Important facts for investors to verify
- Reconcile the different disclosed estimates for the South African head-office redevelopment and confirm remaining committed and expected spending.
- Review subscriber additions, churn and ARPU trends: year-end subscribers rose 13%, while the filing attributes a 3% ARPU increase partly to currency effects.
- Track gross margin and adjusted EBITDA margin as Carzuka and Logistics expand, and assess the cash required to scale these businesses.
- Assess South African concentration, rand exposure and operating resilience to electricity interruptions; management reports no foreign-exchange hedging.
- Review the status and governance of the related-party loan, dividend decisions, and the company’s reliance on emerging-growth-company and foreign-private-issuer reporting exemptions.
