Interest income increased to $32.9 million from $7.1 million, primarily because of higher interest rates on cash and investments. The effective tax rate increased to 20.8% from 9.1%, partly due to higher GILTI expense and the absence of some prior-year valuation allowance releases. Total cash, cash equivalents and short-term investments were $759.4 million at September 30, 2023, down $16.1 million year over year and equal to 50.6% of total assets.

The Company reported no outstanding borrowings under its $150 million unsecured overdraft facility. It had $3.1 million of outstanding bank guarantees, $182.6 million of inventory purchase obligations, and $47.7 million of U.S. transition tax payable. Total liabilities were $325.2 million and shareholders’ equity was $1.175 billion.

Material changes versus the prior comparable period

  • Revenue declined across all categories, led by Ball Bonding Equipment, which fell 68.4% to $287.5 million. Wedge Bonding Equipment declined 9.6%, Advanced Solutions 23.7%, APS 18.5% and All Others 57.1%.
  • Bookings fell to $656.2 million from $1.227 billion, while backlog declined to $423.8 million from $510.1 million. A majority of orders may be cancelled or deferred with limited or no penalties.
  • Revenue declines reflected semiconductor inventory corrections, lower customer utilization, weaker consumer and industrial demand, trade-related pressure in China and reduced capital spending.
  • Operating expenses increased 14.7% to $319.2 million. SG&A rose 9.2% and R&D rose 5.7%, while impairment charges increased to $21.5 million from $1.3 million.
  • The Company recorded a $9.8 million non-cash goodwill impairment and a $6.9 million non-cash developed-technology impairment related to the Lithography reporting unit. It also recorded a $5.0 million impairment of a non-marketable equity security.
  • On February 22, 2023, K&S acquired Advanced Jet Automation for $38.1 million in cash, including $4.0 million held in escrow. The acquired advanced dispensing business contributed an insignificant amount of consolidated revenue and a $3.0 million net loss in fiscal 2023.
  • Inventory increased to $217.3 million from $185.0 million, including $21.3 million of reserves, as slower utilization and long-lead-time materials affected working capital.
  • The Company repurchased approximately 1.515 million shares for $68.1 million and paid $42.0 million of cash dividends. Quarterly dividends were declared at $0.19 per share, or $0.76 per share for the year. Approximately $181.0 million remained available under the repurchase authorization at year-end.

Guidance, outlook, commentary and risks

Management expects fiscal 2024 capital expenditures of approximately $23 million to $27 million, primarily for research and development, manufacturing enhancements, information technology security, ERP implementation and leasehold improvements. Management believes cash, investments, available facilities and expected operating cash flow will be sufficient for liquidity and capital requirements for at least the next twelve months and beyond.

Management expects the semiconductor industry’s long-term growth trajectory to normalize but reports limited visibility and continued near-term volatility. Demand is affected by customer inventory reductions, excess semiconductor supply-chain inventory, macroeconomic weakness, inflation, interest rates, trade restrictions and geopolitical tensions. The Company stated that the prolonged Ukraine/Russia conflict did not materially affect fiscal 2023 results.

The Israel-Hamas conflict began after the fiscal year-end. K&S reported that its Haifa operations remained functional as of the filing date, with no material facility damage or utilities interruption, but warned that escalation could affect employees, manufacturing, suppliers, transport, cybersecurity and liquidity. Other significant risks include Taiwan-China tensions, U.S.-China export controls, customer and geographic concentration, sole-source suppliers, inventory obsolescence, foreign-exchange volatility, cybersecurity, ERP implementation, intellectual-property disputes and alternative packaging technologies.

The Singapore tax incentive that reduces tax on certain income is scheduled to expire in fiscal 2025. If it is not renewed or applicable conditions are not met, the Singapore tax rate could increase to 17% on affected income. The Company reported $17.7 million of unrecognized tax benefits including accrued interest, and $9.0 million of uncalled private-equity-fund commitments.

Management stated that a material weakness in segment-reporting controls identified in the prior year was remediated as of September 30, 2023. Management and the auditor concluded that internal control over financial reporting was effective, although the newly acquired K&S Hi-Tech subsidiary, representing less than 1% of consolidated assets and revenue, was excluded from the assessment.

Most important facts for an investor to verify

  • Confirm the intended period: this filing covers fiscal 2023, while the request metadata references 2022 Q4.
  • Assess whether bookings, backlog and customer inventory corrections indicate stabilization or continued weakness in fiscal 2024.
  • Review segment results, particularly the sharp decline in Ball Bonding Equipment and operating losses in Advanced Solutions and All Others.
  • Evaluate inventory aging, reserves and the $182.6 million of inventory purchase commitments against expected demand.
  • Review the Lithography impairment assumptions, including the 11.7% discount rate and 2.5% terminal growth rate, and the risk of additional impairments.
  • Monitor the fiscal 2025 expiration of the Singapore tax incentive and potential effects on the effective tax rate.
  • Verify the impact and integration progress of the AJA acquisition, including the escrow and potential earn-out obligations.
  • Track geopolitical, export-control and supply-chain developments affecting China, Taiwan and Israel.
  • Review the sustainability of dividends and share repurchases relative to operating cash flow and cyclical demand.
