The company paid $0.64 per share in dividends.

Credit: The allowance for loan losses was $3.1 million, or 0.45% of loans, compared with $3.6 million, or 0.62%, in 2013. Net charge-offs rose to $1.4 million from $0.4 million; non-accrual loans increased to $5.6 million from $3.0 million. Non-accrual, 90-day-past-due accruing, and accruing restructured loans together were $20.1 million, or 2.87% of loans, down from 3.20%.

Changes versus the prior period

  • Net income increased 12.4%, while diluted EPS declined from $1.10 to $1.05, reflecting a larger share count following the 2013 public offering and First Capital merger.
  • Net interest income increased $6.5 million on a tax-equivalent basis, driven mainly by growth in average earning assets, including Eaton National; the average earning-asset yield declined, but lower funding costs helped lift NIM.
  • Total non-interest income was nearly flat at $9.1 million. Higher trust and deposit fee income was largely offset by lower securities-sale and mortgage-sale gains.
  • Non-interest expense rose $4.6 million to $30.8 million, primarily due to Eaton National staffing and branch costs. Merger-related expenses were $1.4 million, versus $1.4 million in 2013.
  • Loans grew by $125.1 million and deposits by $160.4 million, chiefly reflecting Eaton National’s acquired loans and deposits. The acquisition added $13.5 million of goodwill.
  • Q4 2014 net income was $3.2 million, compared with $2.3 million in Q4 2013.

Outlook, risks and unusual items

  • LCNB agreed to acquire BNB Bancorp for a stated transaction value of approximately $12.6 million; closing was expected in Q2 2015, subject to shareholder and regulatory approvals. BNB reported historical assets of approximately $108.8 million and deposits of $97.9 million at year-end; acquisition-date fair values were not yet determined. The contractual cash payment was $4.4 million.
  • Management expected low interest rates and the yield curve to continue pressuring net interest margin, although its rate-sensitivity model showed higher one-year net interest income under modeled rate increases. The filing cautions that these models are not forecasts.
  • Key risks include acquisition integration and execution, commercial real estate and business-loan concentration, potential credit losses, competition, regional economic conditions, interest-rate changes, securities valuation, regulatory changes, cybersecurity, and funding or deposit pressures.
  • Basel III capital rules began phasing in January 2015. At year-end the company and bank were categorized as well capitalized; reported bank Tier 1 risk-based capital was 13.03% and total capital was 13.50%.
  • Management reported no material pending legal proceedings beyond routine matters. Outstanding lending commitments totaled $93.3 million, including $0.6 million of standby letters of credit; amounts drawn may be lower than commitments.

Investor verification priorities

  1. Separate organic growth from acquisition-driven asset, loan, deposit, and earnings growth; assess BNB closing terms, integration costs, and expected benefits.
  2. Review the rise in net charge-offs and non-accrual loans, commercial real estate exposure, acquired impaired loans, and the adequacy of the allowance.
  3. Reconcile higher net income with lower diluted EPS and weaker ROAA/ROAE; monitor expense growth and net interest margin sensitivity.
  4. Assess deposit stability, time-deposit maturities, borrowing capacity, contractual obligations, and the sustainability of dividends given regulatory limits.
  5. Check capital ratios against Basel III phase-in requirements and review the effects of securities valuation changes and acquisition-related goodwill.
