- Revenue more than doubled, up about 107%. Royalties were $5.83 million, material sales $1.54 million, and collaborative R&D and other revenue $4.29 million. The filing attributes growth to higher Promacta and Kyprolis royalties, Captisol purchase timing, and the Spectrum melphalan license.
- Operating margin was approximately 33.7% (operating income divided by revenue). Cost of sales rose to $0.66 million; R&D declined to $2.47 million, while G&A increased to $4.50 million, primarily from share-based compensation and headcount-related costs.
- Net income included a $0.19 million gain from discontinued Avinza operations; Q1 2012 included a $2.05 million pre-tax Avinza gain. Q1 2013 continuing results also included a $1.84 million non-cash increase in contingent liabilities, principally related to CyDex CVRs.
- Cash declined by $7.34 million, mainly reflecting $9.71 million of debt repayments, including a $7 million prepayment in March. Debt carries fixed rates of 8.64% and 8.9012% and matures August 1, 2014.
- Total assets were $98.36 million and total liabilities $67.77 million at quarter-end. Restricted cash and investments were $3.93 million; this balance includes restricted amounts and should not be treated as freely available cash.
Changes, outlook, and notable matters
- Management expects cash flows to improve through Captisol sales, partner-product royalties—particularly Promacta and Kyprolis—and license and milestone revenue. It believes available resources and expected revenues will cover anticipated operating and capital needs for at least 12 months, but says additional financing could be required if results fall short. No quantified financial guidance was provided.
- In March, Ligand licensed Captisol-enabled propylene glycol-free melphalan to Spectrum, receiving a nonrefundable $3 million license fee and becoming eligible for milestones and royalties. The program was enrolling patients in a pivotal trial.
- After quarter-end, Ligand paid Selexis $3.5 million for rights to potential royalties and milestones across more than 15 programs, with another $1 million payment due on the first anniversary of closing.
- CyDex contingent liabilities were valued at $12.7 million at March 31, up from $10.9 million at year-end; potential payments include clinical and regulatory milestones and revenue-sharing obligations through 2016.
- Liquidity remains a concern: current assets of $17.74 million were below current liabilities of $33.02 million, and accumulated deficit was $681.3 million. Management says discretionary spending could be reduced and acknowledges that financing may be needed.
- Disclosure controls were deemed ineffective at March 31 because of material weaknesses in accounting for non-routine transactions and determining contingent-liability fair values. Ligand added a corporate controller and plans further remediation; weaknesses will remain until remedial controls are tested and found effective. The filing notes prior-period restatements.
- Key risks include dependence on Promacta and expected Kyprolis royalties, sole-source Captisol supply, partner and regulatory execution, patent protection, and potential financing needs. A securities lawsuit naming Ligand and its CEO remained pending; the outcome was not determinable.
