- Revenue fell 12.5%. Water systems, spare parts and related services declined 26% to $5.30 million; ceramics (DPFs and membranes) declined to $6.84 million; plastics revenue was $3.53 million. Management attributed the overall decrease mainly to lower system sales and adverse currency translation.
- Gross margin contracted as energy and other input costs rose, activity weakened, and the sales mix shifted away from higher-margin systems. FY2022 gross profit also reflected inventory provisions and other costs.
- Operating expenses rose 6.8% to $13.10 million, including $1.89 million in restructuring charges. Excluding those charges, management said expenses were 9% lower year over year; Q4 operating expenses were approximately 34% below Q4 2021.
- Net loss widened by $3.04 million. Factors included restructuring, costs tied to early repayment of the prior convertible note, increased stock compensation, China facility closure, CEO transition, and lower gross margin.
- Year-end net working capital was $21.58 million, including $16.60 million of cash and restricted cash. Total liabilities were $16.82 million. The $15 million 2021 convertible note was repaid in June 2022; the company issued $6 million of senior promissory notes, recorded at $5.48 million net of discount. These notes are due in June 2024, carry no interest for 24 months, and then bear 10% interest, stepping up monthly to a 16% maximum if unpaid.
- Finance lease liabilities totaled $2.78 million and operating lease liabilities $3.27 million at year-end. The filing reports a $1.44 million guaranteed credit line secured by a cash deposit.
Material changes, outlook and risks
- In May 2022, the company raised approximately $26.45 million gross through a public offering of common shares and pre-funded warrants; reported net proceeds were approximately $24.42 million. It also issued the $6 million senior notes and warrants. The equity raise materially increased shares outstanding.
- The 2022 restructuring included workforce reductions of approximately 25%, suspension of the planned China manufacturing investment, renegotiation of capital commitments, and equipment and inventory write-downs. The company reported $1.89 million of restructuring costs, settled by year-end.
- Management’s strategy emphasizes industrial water filtration, oil-and-gas produced-water applications, direct membrane sales, and aftermarket services. It announced distribution and cooperation agreements related to produced-water treatment and phosphoric-acid purification. The filing provides no quantified revenue or earnings guidance.
- Going concern: The auditor’s report includes an explanatory paragraph stating that recurring losses and a net capital deficiency raise substantial doubt about the company’s ability to continue as a going concern. The company reported $16.60 million of cash at year-end and management said projected cash and operating cash generation should cover requirements for the next 12 months, but also stated it depends on additional financing and gave no assurance funding will be available. These disclosures indicate significant funding and execution uncertainty.
- Key operating risks include inflation and European energy costs, macroeconomic and geopolitical disruption, supply-chain availability and pricing, order delays or cancellations, customer concentration, and dependence on a limited number of customers. The four largest customers represented approximately 31% of FY2022 net sales; no firm long-term volume commitments were disclosed.
- Potential warranty remediation related to marine wastewater systems delivered in 2019 was estimated at $1.5 million. The company disputed the claim and signed a settlement agreement; it expected remediation work in 2023 to be covered by its warranty accrual.
- Disclosure controls and internal control over financial reporting were assessed as ineffective due to material weaknesses. Management described remediation efforts, including finance staffing, a new ERP system, updated approval authority, and process documentation; it said the weaknesses were not yet remediated. The auditor did not audit internal controls.
- Nasdaq had granted an extension through June 20, 2023 to regain compliance with the $1.00 minimum bid-price requirement. The company had not regained compliance as of March 22, 2023.
Important facts for investors to verify
- Whether subsequent operating cash burn, order intake, and available financing support the company’s liquidity and going-concern position.
- Whether gross margins recover as energy costs, capacity utilization, and product mix change, and whether cost reductions are sustainable.
- The potential dilution from 31.44 million pre-funded warrants outstanding at year-end, other warrants, and equity awards; verify current share and warrant counts.
- Progress on Nasdaq bid-price compliance and remediation of the reported material weaknesses in financial controls.
- The outcome and actual cost of the marine-system warranty remediation, and collection risk on concentrated customer receivables.
