Sales fell 9%. Peripherals revenue declined 9% to $1,962.8 million; retail sales fell 8% and OEM sales fell 24%. Video-conferencing revenue fell 7% to $137.0 million. Tablet accessories were a notable growth area: sales rose 174% to $119.8 million. Gross margin was nearly flat year over year, as supply-chain and pricing improvements were largely offset by product mix, currency effects, inventory revaluation and restructuring-related costs.

The annual operating loss primarily reflected a $214.5 million non-cash goodwill impairment charge for the video-conferencing reporting unit and $43.7 million of restructuring charges. Total impairment expense was $216.7 million, including $2.1 million related to the digital video-security product line. A $35.6 million tax benefit from U.S. tax-audit settlements helped reduce the net loss; the settlements did not create a cash tax liability.

Cash used in investing activities was $50.2 million, including $46.9 million of capital expenditures. Cash used in financing activities was $209.8 million, including a $133.5 million dividend and $90.0 million of share repurchases. The company reported no borrowings under its $250 million revolving facility or $55.8 million of other bank lines at year-end. However, it was out of compliance with the revolving facility’s interest-coverage covenant, making that facility unavailable until compliance is restored. Management stated it expected sufficient liquidity for at least 12 months.

Changes, outlook and risks

  • Strategic reset: Logitech planned to divest remote controls and digital video security and discontinue other non-strategic products, including speaker docks and most console-gaming peripherals, by the end of FY2014. Workforce reductions affected approximately 560 non-direct-labor employees across two restructuring plans.
  • Market and execution risks: Management cited continued weakness in the PC market, shifting demand toward mobile devices, intense competition, uncertain adoption of tablet and digital-music accessories, and challenges in video conferencing. Digital-music launches did not meet expectations; management cited weak differentiation and limited lifestyle-brand marketing investment.
  • Outlook: The filing gives no specific quantified FY2014 revenue or earnings guidance. Management’s stated priorities were to improve profitability in core categories, invest in mobile/tablet accessories, digital music, emerging markets and enterprise sales, and reduce portfolio complexity. Benefits from restructuring and growth initiatives were uncertain.
  • Other unusual matters: Management and the auditor identified a material weakness in internal control over financial reporting involving review of support for cash-flow and comprehensive-income statements and financial-statement disclosures. Disclosure controls were judged ineffective, although the auditor issued an unqualified opinion on the financial statements. The filing also reports revisions to certain prior-year geographic sales and other disclosures; these revisions did not affect previously reported consolidated statements of operations or balance sheets.
  • Contingencies and obligations: The company reported several ordinary-course legal claims and proceedings, which it considered not expected to have a material adverse effect based on information then available. It had $102.0 million of unrecognized tax benefits and related interest and penalties; outcomes of tax examinations in other jurisdictions could adversely affect results. Contractual obligations totaled $486.8 million, including $158.9 million of inventory purchase commitments.

Important facts for investors to verify

  • Whether sales declines stabilize and tablet-accessory growth can offset weakness in PC peripherals, OEM and other categories.
  • Progress toward restoring compliance with the revolving-credit-facility covenant and whether the facility becomes available again.
  • Actual cost savings and completion costs from restructuring, and execution of planned divestitures and discontinuations.
  • Whether LifeSize performance improves after the goodwill impairment, and whether further impairment charges are required.
  • Remediation of the material weakness and any related revisions to interim financial statements or disclosures.
  • Resolution of outstanding tax examinations and the potential effect of uncertain tax positions.
