Revenue rose 153% year over year and 16% sequentially; shipments were $808 million, up 128% year over year and 16% sequentially. Gross margin improved year over year, which management attributed primarily to higher revenue, favorable product mix, and greater factory and field utilization. R&D was $86.4 million and SG&A was $72.1 million.

Cash and cash equivalents were $628.3 million, short-term investments $305.0 million, and restricted cash and investments $165.2 million, totaling approximately $1.10 billion, versus $991.7 million at June 27, 2010. Restricted cash of approximately $164.9 million secures certain facility leases. Current assets were $1.92 billion and current liabilities $612.4 million. Balance-sheet debt and capital leases totaled $20.3 million, including $3.9 million of long-term debt. Operating, capital-lease, purchase, and debt obligations totaled $453.5 million; this includes $141.7 million of guaranteed lease residual values.

Changes versus comparable periods

  • The strong revenue and earnings recovery reflected improved customer demand, higher foundry utilization, and increased next-generation DRAM and NAND conversions.
  • Operating cash flow increased substantially year over year. During the quarter, Lam spent $19.1 million on capital expenditures and intangible assets and $144.8 million on treasury-stock purchases.
  • Operating expenses were $153.3 million, versus $105.2 million a year earlier, but decreased from $165.7 million in the prior quarter. The sequential reduction primarily reflected a $5.2 million restructuring reversal, compared with approximately $13 million of restructuring charges in the prior quarter.
  • The year-ago quarter included a $23.3 million credit from reversal of Section 409A liabilities. This unusual item, alongside the low prior-year earnings base, affects year-over-year comparisons.

Outlook, risks, and unusual items

  • Management expected the wafer-fabrication-equipment market and Lam’s customer shipments to grow in calendar 2010 versus 2009, supported by market expansion and anticipated market-share gains. It cautioned that customer input suggested shipments could flatten or decline slightly in the first half of calendar 2011. No specific revenue or EPS forecast was provided.
  • Management said available cash, cash equivalents, and short-term investments, together with expected operating cash flows, should fund anticipated operations, investment, debt service, and capital expenditures for at least 12 months.
  • The semiconductor-equipment industry is cyclical, and quarterly results may be volatile. Key risks include changes in customer capital spending and system acceptance timing, reliance on a limited number of customers and products, competition and technology shifts, supplier or outsourcing disruptions, international and currency exposure, and intellectual-property claims.
  • The effective tax rate was 13.1%, versus 41.8% a year earlier; management attributed the difference mainly to income levels and geographic mix. Gross unrecognized tax benefits were $196.9 million, with tax examinations ongoing. Management said it could not estimate whether unrecognized benefits would materially change in the next 12 months.
  • Lam completed the remaining amount under its previous $250 million repurchase authorization and announced a further $250 million authorization. The new authorization has no defined end date and may be suspended or discontinued.
  • Facility leases carry residual-value guarantees generally up to approximately $141.7 million and, under certain default circumstances, potentially up to $164.9 million plus related obligations. Patent and other intellectual-property claims could also result in costs or adverse outcomes; the filing does not quantify a likely material loss.

Important facts for investors to verify

  • Whether customer demand, shipments, and system acceptances support management’s calendar 2010 growth outlook, and whether the indicated first-half 2011 flattening or decline develops.
  • How much reported earnings growth reflects operating improvement versus the unusually low prior-year comparison and the prior-year Section 409A credit.
  • The pace and price of any purchases under the new $250 million repurchase authorization, alongside cash generation and investment needs.
  • Developments in tax examinations and unrecognized tax benefits, and the company’s exposure under facility lease guarantees and intellectual-property matters.
