Material changes and management commentary
- Revenue growth came mainly from e-commerce and new Lyte XL and Nautica launches. Lucyd.co and Amazon sales grew more than 400% and 150%, respectively. Wholesale revenue fell approximately 72%, with management attributing the decline to a shift toward larger national retailers with longer approval and purchasing cycles.
- Sales and marketing expense increased 155% to $661,295, reflecting higher advertising and promotional spending. General and administrative expense rose 12% and research and development rose 43%; management expects lower G&A in future quarters after certain one-time costs.
- Gross margin declined as prescription-lens costs rose disproportionately, including from premium lens products and a greater share of direct website sales. Management is exploring lower-cost lens suppliers and expects scale and a greater wholesale mix could improve margins.
- Cash fell by $1.64 million during the quarter. Operating cash use was $1.47 million; investing cash use was $95,538 and financing cash use was $75,988.
- As of March 31, 2024, the Company had more than 350 retail stores selling its products, 45 retailer display systems deployed, and more than 20,000 cumulative online orders since inception. It plans to launch Eddie Bauer and Reebok collections and additional Vyrb app features in 2024; Vyrb revenue-generating features were still not launched.
Liquidity, outlook, and risks
- Management states its forecasts indicate sufficient liquidity for at least the next 12 months, citing cash, subsequent financing, potential ATM proceeds, and access to a related-party facility of up to $1.25 million. The facility bears 10% interest and had not been drawn as of March 31. Management also expects operating losses could continue.
- After quarter-end, the Company raised approximately $1.0 million gross in a May 1 registered direct offering of 4,200,822 shares and warrants, with additional placement-agent warrants. The filing gives conflicting net-proceeds figures: approximately $837,000 in Note 10 versus approximately $732,000 in MD&A. An ATM program also generated approximately $13,000 gross and $12,000 net through April 28; the remaining stated facility amount was reduced after the May offering.
- Future funding needs may require further equity or debt financing; additional equity could dilute shareholders, and access to capital is not assured. As of May 8, 2024, 17,501,066 common shares were issued and outstanding.
- Minimum royalty payments under existing brand licenses total $14.01 million through 2033, including $436,000 in 2025; the filing reports no remaining future payment obligation under the separate patent license signed in January 2024.
- The Company reported material weaknesses in internal control over financial reporting and concluded disclosure controls and procedures were not effective as of March 31, 2024. It reported no material change in internal control during the quarter.
- The Company settled an ITC-related matter on January 3, 2024 and entered a multi-year, non-exclusive smart-eyewear patent license. It reported no material pending legal proceedings.
Key facts for investors to verify
- Reconcile the inconsistent May offering net proceeds reported as $837,000 and $732,000.
- Track gross-margin recovery, particularly prescription-lens costs, pricing discounts, and sales-channel mix.
- Assess cash burn and the timing and availability of the stated financing sources against management’s 12-month liquidity outlook.
- Evaluate dilution from the May share-and-warrant offering, the ATM program, and any additional capital raising.
- Monitor execution of planned national retail expansion, co-branded launches, and Vyrb monetization, alongside the substantial future minimum royalty commitments.
- Follow remediation of the disclosed material weaknesses in internal controls.
