MAGNITE, INC. annual report, FY2020

Business context and reporting period

Magnite, Inc. (Nasdaq: MGNI), formerly The Rubicon Project, filed this Form 10-K for the fiscal year ended December 31, 2020. It operates an independent sell-side platform that automates the buying and selling of digital advertising. The April 1, 2020 stock-for-stock merger with Telaria expanded the business into connected TV (CTV); results include Telaria from the merger date. COVID-19 reduced advertising demand, especially in the first half, while revenue returned to growth in the third and fourth quarters.

Key financial metrics

MetricFY 2020FY 2019
Revenue$221.6 million$156.4 million
Operating loss$54.2 million$27.6 million
Net loss$53.4 million$25.5 million
Adjusted EBITDA (non-GAAP)$43.1 million$25.7 million
Cash from operating activities$(12.1) million$32.0 million
Cash and cash equivalents at year-end$117.7 million$88.9 million

Revenue grew 42% year over year, primarily reflecting $60.1 million of post-merger Telaria revenue; excluding the merger impact, revenue increased 3%. Approximate gross margin was 65% (revenue less cost of revenue); operating margin was approximately negative 24%. Annual revenue mix was CTV $34.3 million (15%), mobile $108.4 million (49%), and desktop $79.0 million (36%).

Fourth-quarter revenue was $82.0 million, compared with $48.5 million in Q4 2019. Q4 operating income was $8.0 million and net income was $5.9 million, versus operating income of $1.0 million and net income of $1.5 million in Q4 2019.

Operating cash flow declined to an outflow of $12.1 million, with working-capital changes using $35.1 million, mainly from higher receivables and payables. Capital expenditures were $14.3 million and capitalized internal-use software costs were $7.7 million. Year-end accounts receivable were $471.7 million and accounts payable and accrued expenses were $509.3 million; the filing notes these balances are large relative to reported net revenue because the company bills buyers gross and generally reports revenue net of amounts remitted to sellers.

The company had no borrowings under its $60 million revolving credit facility at year-end; $53.7 million was available after letters of credit. Total liabilities were $557.3 million. The filing states existing cash and available borrowing capacity should cover requirements for at least 12 months, subject to operating and working-capital risks.

Material changes versus prior period

  • Revenue increased $65.2 million, with Telaria contributing $60.1 million after closing on April 1. CTV revenue was newly reported at $34.3 million; mobile rose 23% and desktop rose 16%.
  • Net loss widened to $53.4 million from $25.5 million. Expenses increased substantially, including acquired-intangible amortization and merger and restructuring costs of $17.6 million, compared with $2.0 million in 2019.
  • Despite the GAAP loss, Adjusted EBITDA increased to $43.1 million from $25.7 million. It excludes significant items including stock compensation, depreciation and amortization, and acquisition-related costs.
  • Cash from operations moved from a $32.0 million inflow to a $12.1 million outflow, substantially affected by working capital.

Outlook, commentary and risks

Management expects 2021 revenue to increase, with CTV the primary growth driver. It expects higher 2021 cost of revenue, sales and marketing, technology and development, and general and administrative expenses, including a full year of merger-related costs and investment. The company reported annual run-rate Telaria merger cost synergies exceeding $20 million. It is targeting more than $35 million in run-rate operating cost synergies from the proposed SpotX combination, with more than half expected in the first year after closing.

On February 4, 2021, Magnite agreed to acquire SpotX for $560 million in cash plus 14 million shares, subject to customary conditions and regulatory approval; closing was expected in Q2 2021. The company planned to fund the cash consideration partly from its balance sheet and partly through a proposed senior secured term loan of up to $560 million. Completion, financing, integration, increased leverage and dilution are significant uncertainties.

Key risks include lingering COVID-19 effects on advertising demand and collections; reliance on a small number of buyers and concentrated CTV sellers; competition and fee or take-rate pressure; the uncertain transition away from third-party cookies and evolving privacy laws; and technology, cybersecurity, fraud and service-continuity risks. Two buyers represented approximately 40% of 2020 revenue through their buying activity; two buyers represented 45% of year-end accounts receivable. The company reported no material adverse effect expected from known legal matters. Deloitte issued an unqualified audit opinion and concluded internal control over financial reporting was effective, but the assessment excluded certain Telaria controls representing 25% of revenue and 25% of assets.

Investor verification priorities

  • Verify SpotX closing status, final purchase consideration, financing terms, resulting debt and share dilution, and realized synergies.
  • Track organic revenue growth separately from acquisition contributions, including CTV, mobile and desktop trends and changes in take rate and transaction mix.
  • Monitor operating cash flow, receivable aging and collections, buyer concentration, seller-payment obligations, and compliance with credit-facility covenants.
  • Assess whether projected cost synergies and revenue recovery translate into improved GAAP profitability and cash generation; reconcile Adjusted EBITDA to GAAP results.
  • Follow privacy and identity-solution developments, including cookie deprecation, and their effects on inventory access, advertising value and compliance costs.
