Gross R&D expense rose to $44.9 million from $36.4 million, while Janssen reimbursements—recorded as an offset to R&D expense—increased to $22.6 million from $13.3 million. Reported R&D expense consequently declined to $22.3 million from $23.1 million. G&A rose to $12.8 million from $11.3 million, primarily due to higher legal and accounting fees. Lower license revenue and higher operating expenses contributed to a larger operating loss; the smaller net loss primarily reflected a $3.9 million foreign-exchange gain versus a $2.6 million loss a year earlier, partly offset by higher interest expense.
At March 31, current assets were $121.5 million and current liabilities were $81.1 million. The company reported total liabilities of $197.9 million and shareholders’ equity of $90.2 million. The $75 million secured notes carried a 14.34% annual rate at quarter-end, plus $5.2 million of accrued interest; they mature August 2, 2026 and are interest-only during the term. The balance sheet reports the note payable net at $71.3 million after debt discount.
Material developments, outlook and risks
- On May 5, 2023, the company closed a private placement of 10,773,913 ordinary shares at $5.75 per share, generating $62 million gross proceeds before expenses. Management estimated cash, Janssen receivables and expected collaboration funding, together with the placement proceeds, would fund operating and capital needs into Q2 2025; this is an estimate based on assumptions and could prove shorter.
- Management said Phase 3 LUMEOS dosing of bota-vec for X-linked retinitis pigmentosa was continuing and the program remained on track for a 2024 BLA submission. The debt agreement requires enrollment in a Phase 3 AAV-RPGR trial by June 30, 2023.
- Management expected to present full AQUAx Phase 1 data for AAV-hAQP1 in Q2 2023 and intended to initiate a Phase 2 study in Q2 2023. AAV-GAD Parkinson’s trial enrollment was expected to be completed in Q3 2023.
- The debt agreement also requires the Shannon manufacturing facility to meet applicable GMP requirements by December 31, 2023. It includes restrictions on additional debt, liens, distributions and other actions, and is secured by manufacturing facilities, certain cash and subsidiary equity. An additional $25 million tranche is subject to the lender’s discretion.
- Major risks include continued losses and need for future capital; uncertain clinical and regulatory outcomes; manufacturing capacity and GMP compliance; reliance on Janssen and other third parties; and foreign-exchange and floating-rate debt exposure. The filing estimates that a 10% unfavorable currency movement would have caused an approximately $25.4 million foreign-currency loss for the quarter, and a 1% SOFR increase would add approximately $0.8 million to annual interest expense, assuming unchanged borrowings.
- No material legal proceedings or new material commitments and contingencies were reported. Management stated disclosure controls were effective and reported no material change in internal control over financial reporting during the quarter.
Investor verification priorities
- Track LUMEOS trial progress, the stated 2024 BLA target, and compliance with the June 30, 2023 enrollment covenant.
- Verify delivery of the AAV-hAQP1 data and Phase 2 start, AAV-GAD enrollment progress, and Shannon facility GMP readiness by year-end.
- Reconcile cash runway assumptions with actual operating cash burn, Janssen receivable collections and collaboration funding; Q1 operating cash use increased substantially year over year.
- Review the private placement’s dilution and resulting share count, as well as the secured notes’ variable interest cost, collateral and covenant compliance.
- Assess clinical, regulatory, manufacturing, currency and financing risks; management cautions that its forward-looking expectations are uncertain.
