MKS Instruments, Inc. — FY2021 Form 10-K
Reporting period: Fiscal year ended December 31, 2021. This is an annual report, not a standalone fourth-quarter report; the supplied filing text does not provide clear Q4-only financial results. Unless noted, amounts are U.S. dollars in millions.
Business context
MKS supplies instruments, systems, subsystems and process-control solutions for advanced manufacturing, with semiconductor customers as its largest market. It reports three segments: Vacuum & Analysis (V&A), Light & Motion (L&M), and Equipment & Solutions (E&S). Semiconductor sales were 62% of revenue in 2021; international sales were 57%.

Revenue increased 26.6% year over year; net income rose about 57%. Gross margin improved 1.8 percentage points, reflecting higher volumes and favorable product mix, with improved service utilization also contributing. Operating cash flow increased, although receivables and inventory rose with higher business levels. Working capital was a $72 million use of cash in 2021.
Year-end debt principal was approximately $824 million, including $9 million current and $815 million long-term net of financing costs; the term loan rate was 1.8%. MKS had not drawn its $100 million ABL facility. Cash and short-term investments exceeded reported debt by approximately $218 million, before lease liabilities. Current assets were $2,147.3 million and current liabilities $460.8 million.
Changes and notable items
- Semiconductor revenue rose $439 million, or 32%, year over year. Segment revenue was V&A $1,861.5 million, L&M $813.4 million and E&S $274.7 million; all increased, though E&S semiconductor sales declined as certain non-core products were discontinued.
- Advanced-market revenue increased 19% to approximately $1,120 million, led by industrial technologies. Research and defense demand recovered from pandemic-related closures.
- MKS acquired Photon Control in July 2021 for approximately $303 million gross consideration, funded with cash. The acquisition contributed $168 million of goodwill and $121 million of identified intangible assets; its post-close operating contribution was described as immaterial to consolidated results.
- Acquisition and integration costs rose to $29.8 million from $3.8 million, related to Photon Control, the pending Atotech acquisition and a proposed Coherent acquisition. Restructuring and other costs were $11.1 million.
- Dividends paid were $47.6 million, or $0.86 per share, versus $44.0 million, or $0.80 per share, in 2020.
Outlook, risks and contingencies
- Management expected supply-chain disruptions and component shortages to persist in the near term and potentially weigh on revenue in the quarter ending March 31, 2022. Constraints had increased costs and affected sales, margins and timely fulfillment; customer ordering may also reflect efforts to build protection against shortages.
- The pending Atotech transaction was valued at approximately $5.1 billion when announced, with closing expected in Q1 2022 subject to China regulatory approval and Royal Court of Jersey approval. The planned financing included a $5.3 billion term loan and a $500 million revolving facility. Management highlighted higher leverage, variable-rate debt, integration challenges, and exposure to a specialty-chemicals business and its environmental liabilities. No numerical earnings or revenue guidance was provided.
- Business risks include semiconductor cyclicality, customer concentration (Lam Research and Applied Materials together represented approximately 27% of 2021 revenue), reliance on sole- and limited-source suppliers, international operations, U.S.-China trade restrictions, foreign exchange, cybersecurity, and product and environmental liabilities.
- The filing describes an appeal in Newport shareholder litigation; management said the ultimate disposition of the matters described was not expected to materially affect results, financial condition or cash flows. MKS also disclosed continuing investigation, monitoring and remediation obligations at a former California facility; future costs are difficult to predict.
- The auditor issued unqualified opinions on the financial statements and internal control over financial reporting. Photon Control, representing approximately 1% of relevant consolidated assets and revenue, was excluded from the internal-control assessment and audit.
Investor verification priorities
- Track Atotech closing, final consideration, debt actually drawn, post-close leverage and progress toward integration benefits.
- Assess whether supply constraints ease and whether customer orders normalize after elevated ordering and longer lead times.
- Monitor semiconductor exposure and concentration in top customers, alongside growth and profitability across all three segments.
- Reconcile operating cash generation with rising inventories and receivables, and monitor capital spending, debt service and dividend capacity.
- Review the Newport litigation appeal, California remediation exposure, and any material developments in trade, regulatory or cybersecurity matters.
